I have two questions about the above referenced update.
1. You state the QPS certification will be completed once additional capital is secured. Who does this apply to? QPS or Fuelpositive?
2. You state it will take three weeks for QPS to complete the certification. Has that effort begun/completed.
The total lag time to full certification and start up could be 5-7 weeks or longer. Looking at an operational system not before January 2025 if not later. Most disturbing is the need to secure additional capital. The who, how much and when were not defined.
So the way I interpret this Pr: The end of this week final requirements will be submitted to Manitoba Inspection and Technical Services (ITS): Then it should take them a week for final approval. Upon final approval we will finally be able to say we have an operational device, certified on farm producing Ammonia... This could be big IMO.

Full power likely is required to run the FP300 for certification (I'm assuming) IMO this should end uncertainty that has led to the wavering share price. NEWS -- FuelPositive Closes First $1.5m Tranche of Non-Brokered Private Placement
WATERLOO, Ontario, May 28, 2024 (GLOBE NEWSWIRE) -- FuelPositive Corporation (TSX.V: NHHH) (OTCQB: NHHHF) (the “Company”) is pleased to announce that it has closed the first tranche of its non-brokered private placement (the “Offering”). In connection with completion of the first tranche of the Offering, the Company has issued 28,123,818 units (each, a “Unit”) at a price of $0.055 per Unit for gross proceeds of $1,546,810. Each Unit consists of one common share of the Company and one common share purchase warrant (each, a “Warrant”) allowing holders to purchase an additional common share at a price of $0.07 for a period of sixty months.
The Company anticipates completing a further tranche of the Offering to raise total proceeds of up to $3,000,000 and will provide further details regarding closing of this additional tranche as soon as all participation has been finalized.
The net proceeds from the Offering will be utilized for general working capital purposes. In connection with completion of the first tranche of the Offering, the Company has paid finders’ fees of $5,390 and issued 98,000 Warrants to an arms-length brokerage firm who assisted in introducing subscribers to the Company. All securities issued in connection with the Offering are subject to a statutory hold period of four-months-and-one-day in accordance with applicable securities laws.
The Company also announces that it has revised the debt settlement (the “Debt Settlement”) transaction previously announced on May 17, 2024. The Company will now settle outstanding indebtedness totaling $110,075 owing to certain arms-length creditors in consideration for the issuance of 2,001,364 Units at a deemed price of $0.055 per Unit. Completion of the Debt Settlement remains subject to the approval of the TSX Venture Exchange.

New Manitoba Farmer-Partner and FuelPositive Advisor: Chad Berry
FuelPositive is delighted to announce the appointment of its new Farmer-Advisor, Chad Berry. Mr. Berry partners in and operates the 12,000-acre Under the Hill Farms in Glenboro, Manitoba. Mr. Berry, a third-generation potato grower, has extensive experience in regenerative and sustainable farming practices.
Mr. Berry was introduced to FuelPositive by Dr. Mario Tenuta, Senior Industrial Research Chair in 4R Nutrient Management and Professor of Soil Ecology at the University of Manitoba. WATERLOO, Ontario, April 15, 2024 (GLOBE NEWSWIRE) -- FuelPositive Corporation, a leading Green Ammonia Company (TSX.V: NHHH) (OTCQB: NHHHF) (the "Company" or "FuelPositive") is pleased to announce that the Factory Acceptance Testing (FAT) was successfully completed by FuelPositive’s farmer-partner and advisor, Curtis Hiebert, from Sperling, Manitoba and shipment of the world’s first FuelPositive FP300 system has commenced.
Curtis Hiebert took time out of his busy spring season schedule to visit the team at FuelPositive's new small-batch manufacturing facility in Waterloo, Ontario, to complete the FAT and mandatory safety training for the first FP300, which will be delivered on-farm this week. Tracy and Curtis Hiebert were selected as recipient of the World’s first FuelPositive’s demonstration pilot for the FuelPositive's on-farm Containerized Green Ammonia system.
"The Hiebert Factory Acceptance Testing was completed successfully, and our team is thrilled and incredibly proud of this collaborative achievement," stated Nelson Leite, FuelPositive's Chief Technology Officer and Board Member. "The system was demonstrated at our Waterloo facility installed the way it will be installed in Manitoba. FuelPositive’s team will be in Sperling, Manitoba, this week to receive the first FP300 and begin its commissioning."

Manitoba-based multi-generational precision agriculture grain farmers Daniel and Scott Kroeker and Corey Park, General Manager of Rutherford Farms, which is one of the top seed producers in Canada and a near "net-zero" farming enterprise joined the event.

Success??? I really hope for it. I have money on the line as do 100+ others. Now I would be happy to see a plant producing at a farm site. We need hard figures going forward. Not "spring" summer" of any other nice sounding term. Machines on the farm. Sold Machines under construction at the Waterloo plant. Planned delivery dates for those machines. Financial figures with gross sales dollar amounts. These are the things that success is based on. We know there is a Waterloo plant because they took a politician to it. We "INVESTORS" need hard numbers to justify our involvement.

The sweet smell of success? Seriously, I don't blame doubters, it has taken way too long to get this synthesizer unit on the farm, and IMHO with insufficient transparency, so it's reasonable to wonder what's going on. On the other hand, I'm quite hopeful. This date of April 15 has slipped a little (originally March31), but it is an actual date, as opposed to years of meaningless "weeks and months" nonsense. So, God help me, I do think this time it's different. Lots of factors point to that. If it is ready to go, it still may slip a little, but if I am right, we should know a lot by the end of the month. They seem to be trying to forge bonds with both the Manitoba and national governments, and any help from government, if it comes, will be quite welcome.
Well, I was wrong again. Another private placement for over 100 million shares for just $3 million. They soon will have a billion shares outstanding and still no plant working on a farm. Bring in more politicians. Maybe they will "donate" a few hundred million. There is something that just smells here.
