It's just an uneducated guess, like everyone else's on here. We won't know until it is filed and set in stone. So for now, everything is just a wild guess.
In my experience the outline of such a deal would be:
>CHRI and HBRM-board check the logic of the transaction and whether both sides are interested in an aquisition. (They are)
>conditions for the deal are determined between the owners/managers(price,future management involvement, earn out-clauses etc., under certain assumptions being made)
>Management of HBRM informally agrees to the deal, so the majority of the capital is "safe" for CHRI. Now it is required an officiel bid for all shareholders (up to 100%) but it is not really necessary for CHRI to take up all shares to gain control.
>officially the LOI is announced by both sides to show the real interest (That´s where we are now)
>The official DD starts, verifying the assumptions made before in the negotiations ( takes 1-2 weeks)
>afterwards the deal is (hopefully) confirmed and put into a contract, the price will be made public.
>If the shareholders agree (remember, HBRM-board has given the committment already), the offer will be executed and you get CHRI-shares or cash or whatsoever.
>If not, you stay with your shares as they are.
=> Since my assumption is that the real deal is already done, I do not think there will be a bidding up in the price, the 100% qouta would only be good for efficiency, taking HBRM from the stock exchange. but that can be done later as well.
Be aware: I am long since 2 years in CHRI
next PR must have some sort of buyout info. Ie prices/shares being issued.

I like your thoughts on HBRM so far. 1 guess could also be that HBRM ceo is diluting, purposely making the price fall to entice people to sell, then repurchasing it at a lower price. I notice CSTI has also been accumulating low as it dumps at a higher price. Once this deal closes, it's definitely a win for them. If they are going at it like i think they are, then it would be wise to hold a small position, nothing big, as a gamble.

Great question. To have the other company offer this week and then us sign the LOI today, sounds great.
The normal scam LOIs don't follow this pattern, so I felt good enough to invest today. I would love to see an announcement of finalization next week.

otcpk buyouts hardly finalize lol I have played many. when they do merge, the price of the new company plumets.
I've been trading for a while but have never been involved in a buyout.. Wish I could help... I would assume both parties would have lawyers to agree upon terms, then release the details of them in a pr... However they could be in negotiations for a while.. Or worst case scenario one party could decline. Terms

Oh and one more thing. Before the dilution started, insiders owned almost 70% of outstanding shares. That means they also benefit from a higher price per share final offer.
Agreed. 90% of my portfolio is big board stocks and options. But occasionally I will dabble in the pennies if the DD proves to be solid. So I'm all in on HBRM.
As another poster said, this thing is up 135% on the week. Out of the past 5 days, 4 have been considerably green. We've had our pullbacks, our consolidation, our profit-taking...all healthy. Next week, when they release the buyout details we will fly.
I really hope they release the buyout numbers this weekend so we can squeeze the shorts, gap and run.

IMO, there is hope. I have done my DD on this one and made a buy today at .0027. I don't usually trade penny's any more but I do occasionally. I have determined that CHRI is a real company and they grow through acquisition. They want an avenue into the US that eliminates import fees and HBRM is that source. I have a feeling the buy out price could be higher than we have anticipated due to the value and liquidity of the US markets. HBRM sells its products in the United States, the United Kingdom, and continental Europe through a network of distributors, specialty retailers, and e-commerce. This distribution network alone has to be worth a lot of money not even taking HBRM's product line and established sales into consideration. Here is an explanation or a list of HBRM's products that will be available to add to CHRI's product line to be sold everywhere in China and Asia:

The M&M has no clue whether it is a short or a normal sell. Shares really do not go from your broker to the M&M's. Accounts (like yours and mine) are either credited or debited money and shares after a transaction.
Lets say you sell 100 shares of AAPL and I am on the other side of that trade with a buy in for 100 shares of AAPL. The M&M that makes the trade sends an electronic debit ticket for 100 shares of AAPL to your broker and sends a credit ticket at the same time for the amount of the sale. The exact opposite is done on my account. No actual shares ever trade hands, only electronic duplicates which change accounts only, never going directly to the M&M. That trade takes 3-4 days to clear and only then is the sell deciphered as a sell or a short. The M&M does not know what type of sell it is. The broker must issue a code to the clearing company denoting the fact that they borrowed shares to sell into the open market. That number is then kept separate and issued every two weeks.

Part of what you say is true, but it doesn't take three days to define whether it's a short or not.
Most short sales are cleared the same day when the MM receives the shares from the broker who passed him the sell trade order.
Otherwise the daily short position (not short volume) would be huge on most stocks.

Not necessarily true. Did you know that when you sell a stock, any stock, it is considered a short sale? This is because a short sale at the market maker level can not be distinguished differently than a normal sell. When you enter an order to either sell or short sell a stock, your broker sends the order to the M&M as a normal sell. At that moment, you and your broker are the only two that know whether or not that sell was a normal sell or a short. The broker reports the type of sale to the clearing house. It takes roughly three days for that sell to clear. It is at that point that the order is deciphered either a sell or a short.
The list you posted is a list of total sells for the day even though they are listed as short sales. To get an up-to-date list of shorts, you must either go to nasdaq site or shortsqueeze.com. The lists are updated every two weeks. Nasdaq.com says there is no short interest currently in this stock.

It's also quite comical when everyone wants the PPS to go up, but soon as it does people start crying about wanting it to go back down so they can get more shares...Everyone wants cheap shares but they want the value to increase at the same time

I emailed the CEO yesterday and received a response immediately . I asked her if I
should be concerned with the price drop and the A/S increase. She responded "not at all"
I have been in contact with her numerous times over the past few weeks. Everything I have asked her, she has responded truthfully. She has a good reputation and is a professor at Seton Hall, so I trust her word. I am not concerned about the PPS or any dilution and am convinced that the buyout price will be a good bit higher than today's PPS. I am thinking a minimum of .005 and probably max of .01. If you want to sell, go ahead. In the end the PPS today means nothing
In my opinion I think the news we got today is solid. Tuesday CHRI issued HBRM a LOI. Friday, which is today, HBRM signs that LOI. The stock is moving sideways and inexperienced traders get impatient and sell their shares. I love it when stocks trade sideways for a couple of days because I know it's gaining strength. Just look how fast we moved up at opening. There's no doubt in my mind that this stock will go. HBRM!!!!!
Just needs solid news, will have to wait till next week, too much UNCERTAINTY.
