DVTel is no joint-stock company and perhaps they will be a joint-stock company ? With the acquisition of majority shares in SDSS,DVTel provides access to the exchange. In addition, they get a treat, the SDSS Now how. Would work this way on the purchase of as many shares on the open market, so that exceed the 90% limit, a squeeze out offer would happen to the existing shareholders. This variation could be unpredictably expensive for DVTel, because professionals will smell a rat and drive purchases through the course, it would also squeeze out the price driven up. Good for us if you have not already been sold at good prices?

I have long believed that the big market for the COGITO (SDSS) system

Will btheeh commercial arena, and not the national security arena, especially in teh US

After all, the PC corowd would rather see thousands dead and billion sin damage rather than "annoy" one person and impact his 'human rights'......

Therefore, should this merger go through, DVTel, with its inroads in exactly that area, worldwide will open a whole new area for explotation of COGITO technology

I sure hope this goes through

Having said that, even of it doesnt go thorough, It is MY BELIEF the system is too valuable and will be acquired by someone else

The door has been opened, can never again be closed

I am only making best guesses based on my reading of the 8K, my research, my intuition and my experience

I have had zero communication with the company since ONE EMAIL I SENT sometime last year....I expect that I will not communicate with this company, as I try not to communicate with any company

Therefore, please take anything I write as merely ME SPEAKING

Having said that

I am confident I am close to the mark

It also means that they will raise $5 million

So teh combined companies can GRAB THE BULL BY THE HORNS AND GROW LIKE MUSHROOMS

potvin, I can't answer those questions. But to windough I want to note that, yes, we are on the same page in our feelings. I have been in SDSS for several years. I've been concerned in the last year about their ability to continue as a Going concern - money was becoming a big issue.

Toady I feel much relieved. Clearly for this 'merger' letter of intent to be written it indicates some 'bigger more knowledgeable minds' than me have confidence in SDSS and their products. I am very pleased about that. It sets me at ease. And if I had the resourses I would buy more. I am as full as I can afford to be at this point.

Perhaps you can answer potvin's questions. Also, what is all the business about reverse splitting about????

What's in a merger for shareholders?I have read the 8k twice and still don't get the ramifications of the proposal.Will this new entity in which SDSS shareholders will have a 15% stake be a public co.?I see a statement that a$5000 minimum is required.Does this mean that investors with less stock will be bought out?
If anyone has spoken to IR will they please post results of conversation.

I would be MUCH MUCH HAPPIER seeing the stock much higher

How do you think I feel knowing Im down 50% (or so) on a bit more than 4.4 MILLION SHARES......and watching the market make a historic run this month and it doesnt budge? I feel like you!

having said that......

WE, SHAREHOLDERS ARE SITTING IN A MUCH BETTER POSITION TODAY THAN YESTERDAY

And yes, I will be buying more, just as soon as I collect more cans and add up the nickels

Matters to me as well, matters to all shareholders

I bought this for the COGITO SYSTEM.....it has a chance to be a HUGE GAME CHANGER and as such reward shareholders in a big way

The biggest hurdle SDSS has is that they are so small that they do NOT have th resources to fully market and take advantage in a big way of their tech.....I knew that going in

I knew that this could be a HUGE HUGE reward.....and also a disappointment

Having said that

2 days ago, SDSS was what it always was, a tiny company with scant resources and a GREAT TECHNOLOGY, a TECHNOLOGY that they market but cant do so full blast cause of lack of finacial clout and scant manpower

Fast forward to today,

They NOW will have the financial resources and manpower to be more aggressive in teh marketing aspect

DVTel is just about worldwide and backed by deep pockets

I hope the deal goes thru

We shareholders, and SDSS are better today than yesterday, and we will be better when the deal goes thru

It is my best guess and hope, that shoould this deal go thru

SDSS and use shareholders will be in a greatly enhanced position for more sustainable future grwoth, as such, THAT WILL MAKE OUR STOCK MUCH MUCH MORE VALUABLE!

Looking thru the new companies web site

They seem to be in a somewhat comporable industry, security, homeland security, etc

Obviously they are much bigger than SDSS

As such

they will bring

Money

Reach....in more locations than SDSS is in now

More sales people to market SDSS product

More mgt expertise

In addition, their parent company has great contacts and potential to drive money to the combined company for further growth

In short

THEY BRING MORE MUSCLE

What does it mean to stock price?

My guess is that when we get more info about the size and reach of the NEW company, we will more clearly see the huge positives

WE CURRENT SHAREHOLDERS WILL GET FROM THE COMBINATION

I am going to further guess, that the combined company will up list to the Tel Aviv exchange and that will be further rocket fuel

IMO

and

I HOPE

in sum

SDSS and shareholders will be much MUCH better off if the deal gets done!
