It is good to have a buddy at the SEC. I used to have one, some asshole that called me wanting to know why I bought a stock 3-4 years prior. I made him fell so stupid for calling me in France about a stock that I finally found out I made a couple hundred bucks on that I bought for a split, that he helped out in situations like this.

Be careful on the SEC complaint form though. It asks for your broker's name. Lowtrades was less than happy that they were mentioned on SEC complaint forms more than once even though the complaint wasn't about them. Told me to pick up my marbles and fuckoff.

Apparently this morning the airport let 7 planes escape. Still not letting any in yet.

The test flights they did yesterday aren't very reassuring. First of all, who do they get to fly the things? "Hey Joe, take that fucker up, fly it through the ash cloud and see if it falls out of the sky." "OK Boss"

totally fucked on KORE...broker says that's the way it is & gave me some bullshit reason and then had the balls to give me a calculation that with even by buying back the 1600 shares I was never short, I still made a profit. Well, that's why we buy these things, dumbass & the fact a profit was made has no bearing on properly enforcing ex-dates etc...I bot back the 1600 shares the day they told me I was short...got pissed off this week after the last episode with my useless broker that I sent all the documentation to the SEC...if anyone wants the contact info @ the SEC, tell them to send me a PM & I will give them the details of to whom I sent my documentation package. I didn't sent it to a general mailbox - I faxed it to a specific individual

So the woman at the airport calls me, says there's this old woman that has NO money and no place to stay. Well, that wasn't really what I wanted, but who knows, help out someone in need and just knowing you did a good thing could be the benefit.

So she claim to have no money and the first thing she wants to know is if there is any fucking place to shop around my house and REJECTS my kindness because there is nothing.

That's just nuts.

Sleep at the airport, who cares, stop whatever whining you did to get the people at the information desk to call me.

It's kind of shocking for a Canadian how moving out of either a rental unit or a sold house works in france.

EVERYTHING is removed when you leave. Light fixtures, kitchen cabinets, everything.

You walk into a house to buy or rent, think those light fixture a beautiful, and those kitchen cabinettes are real nice. Sign the contract and move in. there's fuckall in the kitchen

I've never heard that about a refrigerator...then again, I've never transported one...are you allowed to steal the Landlord's appliances when you move out of a rental unit in France?

Called up my sister and my brotherinlaw answered; That's OK, it was him I had a question for anyway.

I said "hey Dave, how's it going?" he mumbled something, I figured he didn't know it was me, so I said it's Wayne.

He said yea, I could tell from the French accent.

I guess it is official, I will from now an forever more appear to be from someplace else, even in my home town, the moment I open my mouth.

But walking down the street, completely lost, in any European or North American city, people will walk up to me and ask me for directions, because I look like I belong. Until I speak.

Anyway, my question to him was, can I transport a refrigerator on it's side, or does it have to stay standing up during transport. He's in the field, I figured he'd know. I have stuck in my head that you can NEVER put a fridge on it's side for transport.

So the answer is, yes, you can. But don't turn it on for at least 24 hours after transport.

Just got back, yes, they have lots of space, no one there except one crazy woman that the airport people wanted to pawn off on me, since I offered a place to stay.

Told the woman she could stay at my place tonight, nice bed, we'd feed her, give her breakfast in the morning, and then I'd take her back to the airport before going to work in case there is a flight tomorrow, if not, pick her back up around 5pm and she can stay here again.

She seemed OK with that. Then she asked "what kind of stores are there?" Stores? There aren't any stores, it is the countryside, I'm 2 minutes from the airport and I have a place where someone can sleep.

She said if there aren't any stores then she ain't going.

Before today, I never, ever, felt like punching an old lady in the face.......

no stores, Jesus Christ, even if there were 100 stores surrounding my house they'd all be closed. IT IS SUNDAY

Just saw her boxes, she closed them up with so much tape that it'll take 5 minutes to open them up. It's like she's afraid someone is gonna steal our useless shit.

Living 1 mile from the airport I always told people that I don't hear the planes because my house is parallel to the airstrip.

Now that the entire airport is shut down, I realize that in fact those bastards were making noise.

Saw on the news last night people paying $1000 or more to do trips from Paris to Brussels for example.

Being as I am a 2 minute drive from the Airport, I decided to head over there and see what, if anything, I could cash in on.

It was a fucking ghost town

Best I could come up with as an idea was bed and breakfast. So headed over to the information counter and told them, should anyone show up in need of lodging, I can handle 2 adults and 2 children.

The women said so far there is no need, but she never stopped thanking me and saying I was real nice for offering and took down my phone number.

She never let me get to the part where these people would have to PAY.

Oh well, it seems most people vacated the airport and decided to go to the train station. Dumbasses, the trains have been ON STRIKE for over a week.

I could never wrap my head around the expression "you can't get there from here"

I thought I'd seen almost all aspects of French stupidity.... until today.

A few weeks ago they dug up the road to put in a sewer system.

When they were done, there was a manhole cover to inspect the system I guess, and a couple small covers that I imagined would eventually be used to hook up my house and the other houses to the public system.

Bunch of guys just showed up and paved over everything.

On March 17, 2010, ImaRx Therapeutics, Inc. (the “ImaRx” or the “Company”) entered into an Agreement for the Purchase and Sale of Stock with Sycamore Films, Inc. and its shareholders (the “Stock Purchase Agreement”) and an Agreement and Plan of Merger with Sycamore Films, Sweet Spot, Inc. and Sweet Spot’s shareholders and principals (the “Merger Agreement”). Pursuant to the Merger Agreement, Sweet Spot will merge with and into Sycamore Films and the shareholders of Sweet Spot will become shareholders of Sycamore Films. Sycamore Films will continue the operation of the Sweet Spot business.
Immediately following the closing of the Merger Agreement, the purchase and sale of stock between ImaRx and Sycamore Films and it shareholders as set forth in the Stock Purchase Agreement will be closed. Under the terms of the Stock Purchase Agreement ImaRx will issue approximately 79,376,735 shares of its common stock to the Sycamore shareholders including the former shareholders of Sweet Spot. As a result, Sycamore Films will become a wholly-owned subsidiary of ImaRx and the former shareholders of Sycamore will hold in the aggregate approximately eighty-six percent (86%) of ImaRx’s outstanding shares of commons stock on a fully diluted basis. In connection with the closing of the Stock Purchase Agreement all of the members of the current Board of Directors of the Company will resign and a new slate of Directors and officers will be appointed for both ImaRx and Sycamore. At that time, the primary business of the Company will be a full-service distribution and marketing company specializing in acquisition, distribution and the development of marketing campaigns for feature films.
Each of the parties to the Stock Purchase Agreement and the Merger Agreement have agreed to certain covenants, including covenants regarding the operation of the business prior to closing and covenants prohibiting the Company from soliciting or providing information or entering into discussions concerning proposals relating to alternative offers for the assets or ownership interests in the Company, except in limited circumstances to permit the Company’s board of directors to comply with its fiduciary duties or as otherwise provided in the Agreement. The Company expects each of the Merger Agreement and the Stock Purchase Agreement to close on or about April 20, 2010.
The summaries of the Stock Purchase Agreement and the Merger Agreement are qualified in their entirety by reference to the form of the Stock Purchase Agreement and the Merger Agreement filed as Exhibit 10.1 and Exhibit 10.2, respectively, hereto and incorporated herein by reference.
