Recently... from an INDEPENDENT ANALYST...
"Visual Management Systems, who recently renamed themselves Intelligent Product Development Group, made a number of announcements late last year and early this year stating that they would begin licensing their proprietary Hybrid DVR / IP software to third parties. In our twelve years of tracking industry trends, we have never encountered such an initiative from any company in this space, and we view it as a potential game changer. Manufacturers can now focus on increasing the number of hardware configurations, without having to worry about the operating software or software environment. So long as the manufacturer utilizes the VMS / IPDG hardware specifications, the theory states they can deploy to market faster, while reducing development costs significantly. It's the Microsoft operating system model for the DVR / NVR space.
If VMS and IPDG can appropriately capitalize on this "first mover" initiative, they could catapult themselves into "major player" status within a very short timeframe.....
....We had an opportunity to review the TrueHybrid and Flex software packages provided by VMS / IPDG. In short, they exceeded our initial expectations. It is our view that Manufacturers will strongly consider licensing this software from VMS / IPDG, instead of developing costly OS NVR or DVR environments on their own.....

A Quick Note From Our VMSY CEO (2/23/10)
In January of this year, I made a press release that our public parent company, Visual Management Systems, Inc. would be formalizing its new mission by changing its name to that of one of our subsidiaries, Intelligent Product Development Group. As most of you know, we are in our seventh year in business and for almost that entire time, have been operating two related - yet different - subsidiaries. These subsidiaries, Visual Management Systems, LLC ("VMS") and Intelligent Product Development Group, LLC ("iPDG") both are surveillance specialty companies but have very different missions.
We aren't ceasing our VMS systems sales or integration operations. We simply found that it is much more profitable for us to leverage dealers and distributors to grow our sales to a national scale. This is particularly true with our newest products, the FlexTH Touch and the FlexTH Go - they are absolute killers - our competition isn't offering anything like them and they are ready to be introduced to the largest resellers in the business. The only way to reach partner companies with thousands, or even tens of thousands, of salespeople is to utilize established distribution channels.
We've been working on our transition since late 2008, so the last year was quiet as our changes took effect. Everything is starting to conform to our business plan and internal projections which is very exciting. At our most recent Board of Directors meeting we received final approval for the changes are in the process of submitting all the necessary paperwork to the SEC, Finra and the state of Nevada. Hopefully our transition will be complete in the next few weeks.
I have prepared an update for our shareholders covering this and many other exciting events currently taking place at iPDG. I hope you will download the update and take a few moments to get caught up on what's going on with our Company.

Jason Gonzalez, Chief Executive Officer
Jason Gonzalez is the founder and Chief Executive Officer of Visual Management Systems, Inc. Before launching the company in
2003, he served as Chief Operating Officer for Infinite Sales, Inc., a wholly owned subsidiary of Freedom Systems, a leading distributor of DVRs in the United States. Prior to Freedom Systems, Inc., Mr. Gonzalez was a Vice President at Merrill Lynch in their ML Direct division. He also worked for Olde Discount Corp. and William R. Hough & Co. as a registered representative, general and municipal securities principal. Mr. Gonzalez graduated Embry-Riddle Aeronautical University and carries a B.S. in Business Administration. He has completed an additional 20 credits in Aeronautical Science and Aerospace Engineering. Mr. Gonzalez is also a graduate of the SIA Securities Industry Institute and a NICET certified Video Security Systems Analyst.
J. D. Gardner, Chief Financial Officer
J.D. Gardner joined Visual Management Systems as Chief Financial Officer in June, 2008. Prior to VMS, Mr. Gardner served as CFO
and COO for Amedia Networks, Inc. Before joining Amedia, Mr. Gardner was COO of dotPhoto, a private online photo processor
and wireless application developer. From 2002 to 2004, Mr. Gardner served as Chief Executive Officer for Comstar Interactive, a private company engaged in wireless credit card processing. He has also served as CFO at BellSouth Wireless Data (renamed Cingular Interactive) and BellSouth Mobile Data. Additionally, Mr. Gardner has held several other senior executive positions at BellSouth and AT&T. Mr. Gardner has an M.S. from the Stanford Graduate School of Business, an M.B.A. from Fairleigh Dickinson University and a B.A. from Wartburg College.
W. Geoffrey Martin, General Counsel
W. Geoffrey Martin joined Visual Management Systems as General Counsel in November, 2007. Mr. Martin is admitted to the bar of
the State of Illinois and as in-house counsel in the State of New Jersey. From January 2006 until his hiring, he was engaged in the
private practice of law as a sole practitioner. Mr. Martin received a J.D. from the University of Illinois in 2005, and a B.A. from the University of Illinois in 1999. Previously, Mr. Martin served as a financial product designer for US Bancorp and as an Assistant Vice President for business development and marketing for Merrill Lynch.
BOARD OF DIRECTORS
Michael Ryan
Mr. Ryan has spent over 20 years in the security industry. He owns and operates Fire Code Services, a New Jersey based fire protection systems and services business. Fire Code Services provides fire safety equipment to skyscrapers throughout New York City and New Jersey. His client list is amazing, including property management giants like Mack-Cali, municipalities of various sizes and structures, and has future prospects such as the Freedom Towers. Mr. Ryan also owns a very successful Jersey City Restaurant, PJ Ryan's, and is a VMS customer through this business. Mr. Ryan is the commissioner of the Jersey City Planning Board and has been honored as the Man of the Year by the Frances Pope Foundation, The Boys and Girls Club of Jersey City, and most recently, Irishman of the Year by the Friendly Sons of St. Patrick. Mr. Ryan has played an important role with active discussions with management and assistance with investors.
Colonel Jack Jacobs
Colonel Jack Jacobs U.S. Army (Retired) earned the Medal of Honor for exceptional heroism on the battlefields of Vietnam. He also holds three Bronze Stars and two Silver Stars. Colonel Jacobs served on the faculty of the U.S. Military Academy at West Point and the National War College in Washington, D.C. After retirement, he founded and was chief operating officer of Auto Finance Group. He has served as a managing director of Bankers Trust Co. and later co-founded an investment management business for Lehman Brothers. He is a member of the Council on Foreign Relations and is a director of the Medal of Honor Foundation. Colonel Jacobs currently serves as a military analyst for NBC/MSNBC.
Robert Moe
Robert Moe is the founder and CEO of RAM Capital Corp. With over twenty years of experience in financing service businesses, Robert has completed numerous transactions in the security industry involving debt and equity financing, mergers, and acquisitions. He has acted as an advisor to clients regarding growth and operating strategies, developed internal accounting and reporting systems, functioned as an interim CFO, and served on the boards of select client companies. In particular, he has worked closely with companies seeking to implement and finance planned high-growth strategies. Recognized as having expertise in service industries in general and recurring revenue businesses in particular, he has written for various industry publications and been a speaker at industry conferences on the topics of industry-specialized financing, value creation, and strategic management.
Marty McFeely
Marty McFeely is the Chief Financial Officer of El Rancho Foods, one of the largest Taco Bell restaurant franchisee organizations in the United States. Marty has been a certified public accountant since 1991. He has extensive experience in the hospitality industry, holding Controllership or CFO positions in small- and medium-size businesses, and privately held and public entities as well. He has designed, consulted, implemented, and maintained accounting and operational information systems for clients such as restaurant and hotel franchises, transportation, and construction companies. Marty is a practicing tax accountant knowledgeable of business and individual taxation strategies.
William Malenbaum
Bill Malenbaum joined our board in January 2009, has more than 50 years of accounting experience with concentrations in cost
accounting and credit management as well as sales and sales management. Bill is retired, but has remained active in a variety of consulting capacities since 2000. Bill was appointed by Brookshire Security Corporation to occupy their seat as an independent director. Their seat specifies positions on audit and compensation committees. His extensive experience in accounting lends itself to both committees.
