VimpelCom Announces Fourth Quarter and Audited Annual 2008 Financial and Operating Results

MOSCOW and NEW YORK, May 13 /PRNewswire-FirstCall/ -- Open Joint Stock Company "Vimpel-Communications" ("VimpelCom" or the "Company") (NYSE: VIP), the leading provider of telecommunications services in Russia and the Commonwealth of Independent States (CIS), today announced its financial and operating results for the quarter and year ended December 31, 2008.
Full Year 2008 Financial and Operating Highlights
-- Net operating revenues reached $10,117 million, an increase of 41.1%
versus 2007.
-- OIBDA reached $4,860 million, an increase of 35.1% versus 2007.
-- Consolidated OIBDA margin was 48.0%, including 48.9% in Russia and 51.4%
in Kazakhstan.
-- Net income totaled $524 million, a reduction of 64.2% versus 2007,
reflecting strong adverse currency impact and charges related to
impairment loss.
-- Operating cash flow for the year amounted to $3,422 million.
Fourth Quarter 2008 Financial and Operating Highlights
-- Net operating revenues reached $2,555 million, an increase of 27.1%
versus 4Q07.
-- OIBDA reached $1,124 million, an increase of 22.4% versus 4Q07.
-- Consolidated OIBDA margin was 44.0% including the fixed-line business.

DAVOS, Switzerland, Jan 28 (Reuters) - The chief executive of Russian No .2 mobile carrier Vimpelcom (VIP.N) said on Wednesday he was "less adamant" about proposing the company pay dividends due to a split in shareholder views on the issue.
"I reserve comment on what the management position will be but I am less adamant that we should pay dividends," Vimpelcom Chief Executive Alexander Izosimov told Reuters.
"This is very sensitive. It is not a reflection of the financial position of the company in any way. In many ways, that is stronger compared to November."
In November, Vimpelcom said its management intended to recommend to its board paying dividends for 2008 and it felt comfortable with its ability to meet its debt obligations from its own cashflow [ID:nLP48927].
The company paid a $587 million dividend for 2007.
"People are very split on dividends," Izosimov said.
"Some shareholders say you are viewed as a financially distressed company, and one side says that means you should pay dividends while the other side says you should not.
"I need to understand: will the shareholders benefit more or less by paying dividends?" he said.
"What is important is how the market will interpret the issue -- different shareholders say different things. We could use that money to accelerate debt payments."
Izosimov reiterated Vimpelcom would meet all its debt payments -- which total about $1.8 billion in 2009 -- even if it could not borrow. He said debt payments would total over $2.0 billion in 2010.
"Under the worst scenario, and if there was no possibility of borrowing because there is currently a lack of confidence in the Russian economy and Russian currency ... we will comfortably meet these debt obligations out of our own cash flow," he said.
He said the company may explore selling rouble bonds to change the company's debt structure. He said the bonds would have a maturity of up to three years.
Izosimov said the company had not asked for help from the distributor of Russia's anti-crisis package, Russian state corporation VEB.
"It is just not necessary for us, but it is good for us and the shareholders to know that the state would be behind us if there was some sort of trouble," he said.
Izosimov supported government steps aimed at tackling the crisis, but said banks needed to resume lending to companies to help the economy to recover.
"The biggest thing is how to unplug the banking system so that banks start to give out loans to the real economy, because the money is in abundance in the banking system, but still it doesn't flow," he said.
"There are two issues here: overhang on rouble devaluation -- no one wants to accept the risk -- and the solvency of recipients. And some sort of government guarantee on the side of the recipients could help a lot."
He said Vimpelcom's investment plans for 2009 were uncertain, but added that he saw the economy rebounding faster than after the 1998 crisis [ID:nLS592975].

Russian Mobile Cos Remain Bullish On Prospects Despite Crisis

MOSCOW (Dow Jones)--Russia's two biggest cellular providers said Thursday they remain bullish on their prospects, despite the unfolding economic crisis.
Mikhail Shamolin, chief executive of no. 1 operator OAO Mobile Telesystems (MBT), said his company wouldn't adjust this year's growth forecasts and has enough free cash to pay interest on debt, dividends and finance capital spending and a pre-announced share buyback.
Meanwhile, OAO Vimpel Communications' (VIP) Chief Financial Officer Elena Shmatova said any slowdown in customer spending on calls wouldn't be significant.
"Even if we see a decline in usage, it won't be dramatic," Shmatova said, adding the economic downturn in Kazakhstan had resulted in an initial shock followed by a recovery.
"After six months, (Kazakh) users got used to the new conditions and adjusted back to previous spending levels," she said.
CEO Shamolin said MTS doesn't see evidence of a slowdown in Russia as yet.
"It's too early to predict the effect of the crisis but we don't see any major reason to change our 2008 guidance," Shamolin said.
He added, MTS would give guidance for 2009 towards the end of this year.
VimpelCom Acquires a Minority Stake in Euroset

MOSCOW and NEW YORK, Oct. 23 /PRNewswire-FirstCall/ -- Open Joint Stock Company "Vimpel-Communications" ("VimpelCom" or the "Company") (NYSE: VIP) today announced that it has signed a new unsecured loan agreement with The Bank of Tokyo-Mitsubishi UFJ, Ltd., Barclays Capital (the investment banking division of Barclays Bank PLC), BNP Paribas, Commerzbank Aktiengesellschaft, Standard Bank Plc, Sumitomo Mitsui Banking Corporation Europe Limited and WestLB AG, London Branch as Mandated Lead Arrangers and Bookrunners.
The facility has a 3 year tenor and an amortizing structure, with repayments due in five equal semi-annual installments starting from the date falling 12 months after the signing date. The rate of interest for the facility is the percentage rate per annum which is the aggregate of EURIBOR plus a margin of 2.30%.
VimpelCom intends to use the proceeds from the loan to continue the development and expansion of its networks, including through possible acquisitions or investments in existing operators, and to repay indebtedness.
The VimpelCom Group consists of telecommunications operators providing voice and data services through a range of wireless, fixed and broadband technologies. The Group includes companies operating in Russia, Kazakhstan, Ukraine, Uzbekistan, Tajikistan, Georgia and Armenia. MOSCOW and NEW YORK, Sept. 24 /PRNewswire-FirstCall/ -- Open Joint Stock Company "Vimpel-Communications" ("VimpelCom" or the "Company") (NYSE: VIP) announced today that its joint venture company in Vietnam, GTEL-Mobile Joint Stock Company (the "Joint Venture Company"), has received a GSM license and frequencies.
As previously reported, in July 2008 VimpelCom signed a Joint Venture and Shareholders Agreement (the "Agreement") to establish the Joint Venture Company with Global Telecommunications Corporation ("GTEL"), a Vietnamese state-owned enterprise, and GTEL TSC, a subsidiary of GTEL. With the issuance of the GSM license and frequencies, the Joint Venture Company has now received all of the regulatory approvals required under the Agreement, including the registration of the Joint Venture Company. VimpelCom is paying US$267 million for its 40% equity interest in the Joint Venture Company. GTEL and GTEL TSC will have an equity interest of 51% and 9%, respectively, in the Joint Venture Company.

LONDON, Sept 12 (Reuters) - Vimpelcom, Russia's second-largest mobile phone operator, will appoint eight banks to arrange a $1 billion, three-year syndicated loan, banking sources close to the deal said.
Barclays, Bank of Tokyo-Mitsubishi UFJ, BNP Paribas, Calyon, Commerzbank, SMBC, Standard Bank and WestLB are expected to be appointed next week as mandated lead arrangers on the loan, subject to each bank gaining credit approval, the sources added.
The loan, which will be used for general corporate purposes, will launch to syndication later in September.
Vimpelcom's last loan was a $3.5 billion facility that signed in April. That deal backed the firm's $4.3 billion acquisition of fixed-line operator Golden Telecom.
The loan was split between a $2 billion, three-year syndicated loan that carried a margin of 150 basis points (bps) over LIBOR, and a $1.5 billion, one-year bridge loan that was provided by the mandated lead arrangers and was not syndicated.
Private equity group Alfa and Norway's Telenor own strategic stakes in New York-listed Vimpelcom.

Jul 28, 2008 (M2 EQUITYBITES via COMTEX) -- Vimpel-Communications, a telecomms operator providing voice and data services, on Friday (25 July) announced that the company has issued Russian rouble-denominated bonds through VimpelCom-Invest LLC, a consolidated Russian subsidiary of VimpelCom.
The bonds have been issued for approximately USD428m.
The company said that the bonds, which are due on 19 July 2013, are guaranteed by VimpelCom.
Interest under the bonds will be paid semi-annually, and the annual interest rate for the first three payment periods is 9.05%. VimpelCom-Invest will reportedly determine the annual interest rate for subsequent periods based on market conditions. The proceeds of the offering are expected to be used by the company for the development and expansion of VimpelCom's networks, including through possible acquisitions or investments in existing operators, and to repay indebtedness.

Jul 25, 2008 (DMEUROPE via COMTEX) -- Vimpel-Communications has issued Russian ruble-denominated bonds through VimpelCom-Invest, a consolidated Russian subsidiary of VimpelCom, in an aggregate principal amount of 10 bn Russian rubles (approximately $428m).
The bonds are guaranteed by VimpelCom. The bonds are due on 19 July, 2013. Interest will be paid semi-annually.
The annual interest rate for the first three payment periods is 9.05 per cent. VimpelCom-Invest will determine the annual interest rate for subsequent periods based on market conditions.

Jul 09, 2008 (Datamonitor via COMTEX) -- Russia-based Vimpel-Communications has signed an agreement with Global Telecommunications Corporation to establish a mobile telecommunications joint venture in Vietnam under the name of GTEL-Mobile Joint Stock Company.
VimpelCom has invested $267m in the new company for a 40% stake, while Vietnamese state-owned enterprise GTEL and its subsidiary GTEL TSC will have an equity interest of 51% and 9%, respectively.
VimpelCom expects to invest approximately $1.8bn in GTEL-Mobile in the next five years, targeting a market share of 15% to 20%.
Alexander Izosimov, chief executive at VimpelCom, said: "With a population of 86 million and a fast-growing economy, the Vietnamese market holds great promise for VimpelCom and we believe the GTEL-Mobile growth dynamics make it an ideal place for us to begin building our international growth platform."
