Monday, December 14 2009 5:03 PM, EST Valero Renewables to Purchase Three Ethanol Plants Business Wire "US Press Releases "
SAN ANTONIO --(BUSINESS WIRE)-- Valero Renewable Fuels Company, LLC , a wholly owned subsidiary of Valero Energy Corporation (NYSE: VLO), announced today that it has signed an agreement with ASA Ethanol Holdings, LLC to buy two ethanol plants that had been previously owned by VeraSun Energy Corporation (OTC BB: VSUNQ). ASA Ethanol Holdings, LLC is a company owned by a former syndicate of lenders to the facilities, agented by West LB AG , which acquired the plants through the VeraSun bankruptcy auction.
The plants - located in Linden, Ind. and Bloomingburg, Ohio - each have an annual production capacity of 110 million gallons. Valero will pay $200 million to buy the plants.
Additionally, Valero has received approval from a bankruptcy court to acquire Renew Energy's 110 million gallon per year ethanol facility located near Jefferson, Wis. for $72 million following a bankruptcy auction held Dec. 11 . Together, Valero will buy the three plants for roughly 41 percent of their estimated replacement cost.
These acquisitions expand the company's ethanol production capacity to 1.1 billion gallons per year. Valero Renewables also operates ethanol plants in Albert City , Charles City , Fort Dodge and Hartley, Iowa ; Aurora, S.D. ; Welcome, Minn. ; and Albion, Neb.
"The Linden and Bloomingburg plants have the same high-quality design that we got with our earlier purchase of seven ethanol plants, and they're also relatively new assets," said Valero Chairman and Chief Executive Officer Bill Klesse . "The purchase of the plant from Renew gives us additional production capacity. The ethanol plants we bought earlier this year have been very successful for Valero, and we expect these newly purchased plants to build on that success."
The Linden and Bloomingburg plants are currently idled, but will be restarted within approximately three to six months following the closing of the transaction. Both plants will also produce dry distillers grains, a co-product of the ethanol production process that is sold as a livestock feed. The Renew facility is currently operating at reduced rates but is expected to increase to full production over time.
Both transactions are expected to close in early 2010, following regulatory approvals including termination of the review period under the Hart-Scott-Rodino Act. Credit Suisse advised Valero on the Linden and Bloomingburg acquisition.
Besides Valero's ethanol plant purchases, the company has explored other alternative energy sources in the past year, including completing a 50 megawatt wind farm near its McKee Refinery in the Texas Panhandle and investing in companies that are developing technologies to produce cellulosic ethanol, biofuel from plant material, algae and animal fat, and a synthetic gasoline made from landfill waste.

Approximately 1,600 Acres of Illinois Farmland Set for Sept. 10 Auctions
LITCHFIELD, IL--(Marketwire - August 12, 2009) - VeraSun Energy Corporation plans to auction approximately 1,600 acres of Illinois farmland Thursday, Sept. 10, with Schrader Real Estate and Auction Company, Inc., managing the sale. The auction is subject to the approval of the court overseeing the company's Chapter 11 bankruptcy.
The land, located in Montgomery, Madison and Vermilion counties, consists primarily of high-quality tillable farmland, with some in locations that offer potential for industrial and commercial development.
The sale is being conducted as part of VeraSun's efforts to maximize the return for its creditors as part of its bankruptcy and is subject to bankruptcy court approval. The company had acquired the land over the years in support of its ethanol-related businesses.
"Because of the stability of farmland prices relative to prices of other assets in recent months, many farm owners have been reluctant to sell their land. As a result, there have been fewer opportunities to obtain high-quality tillable land. By offering each of the three farms in several tracts, we will enable all bidders to participate on an equal footing whether buyers want an entire farm or only part," said Rex Schrader, president of Schrader Real Estate and Auction.
Properties to be sold include:
-- Approximately 487 acres at Litchfield, in Montgomery County, within 30 minutes of metro St. Louis and close to Interstate 55. The property, which is primarily tillable farmland, will be offered in 11 tracts, in combinations and as an entirety.
-- Approximately 380 acres in Granite City, selling in eight tracts ranging from approximately 1.2 acres to approximately 230 acres. The tracts, located two miles from I-270 east of St. Louis, include two homes and have rail access. The tracts include land near a new Lowe's and Wal-Mart.
-- Approximately 733 acres at Danville on the eastern side of Illinois, will be offered in six tracts ranging from approximately 35 acres to approximately 250 acres. Buyers can also bid on the entire 733 acres. This property has rail access and is close to I-74 and SR 150.
The auctions will be held in two sessions. At 9 a.m. CST, the Montgomery and Madison county properties will be sold at Staunton Knights of Columbus Hall in Staunton, Ill. The Vermilion County land will be sold at 6 p.m. CST at Beef House restaurant near Covington, Ind. Westchester Auctions, of Champaign, Ill., is partnering with Schrader on the sale.

Why people buy the stock which is going to be canceled very soon? The CEO said all the common shares will be canceled very soon.
Actually I don't think you will see an substantial asset sales, at least none over $5M. It all hangs on a thread as all "Q" stocks due - folks buying and selling paper while counting down the hours til the inevitable "Plan or ReOrg" date.
The difference here is (I hope), we are not all just holding our breath. I see some real value in this company and it has NOTHING to do with assets. Rogerson and the current mgt. I believe have a 'better plan' and if they can negotiate good terms with the 2010 bond holders, we will come out of this MUCH stronger and FULLY intact (commons and all).
So is it a crap shoot, YES, of course - but with loaded dice.
Honda, yes many of these Q plays just move on technical reasons. However, CEMJQ is one that is actually moving on the speculation that the company will survive and thrive after BK. They are planning to sell an asset or two, but are not liquidating the entire company.
Actually, VSUNQ was $28 in IPO, 2006; $20 in 2007; $8 in 2008.
OTC BB King, I've seen that you're playing CEMJQ. In my humble opinion, a Q stock has nothing to do with the fundamentals and the markets because it's in the chapter 11.
It's all about trading. Most people and those big funds and institutionals who bought it high, a lot high before it went to bk, have been buying and accumulating tons of shares at the current low levels, then they'll sell it at a lot high later to cover their huge losses.
CEMJQ is good example, which you and me play, right?
So, when they're buying, just buy and hold.
You may take a look SGICQ: 11M outstanding shares and is trading
at only $1M market value! SGI was a computer workstation-king.
Is there any value left after these VSUN sales?
I've seen lots of Q stocks went high, even higher than pre-BK prices, like GGWPQ.pk ($0.4 to $1.1) CEMJQ.pk ($0.02 to $0.14), MMPIQ.pk ($0.05-$0.23), and the most good is AVRNQ.pk ($0.03 to $0.21), same as VSUNQ.pk.
So, I'll buy some to bet it'll be going to $0.10-$0.20 soon.
Associated Press - May 12, 2009 2:15 PM ET
SIOUX FALLS, S.D. (AP) - Oil refiner Valero Energy Corp. said it has closed on the sale of an ethanol plant in Albion, Neb., the last of 7 it's purchasing from VeraSun Energy Corp.
Valero in March submitted a successful bid of $477 million for VeraSun, which filed for Chapter 11 bankruptcy protection Oct. 31 after tightening credit markets snapped the lifeline it needed to weather the swings in corn and fuel prices.
Secured lenders submitted credit bids for the remaining VeraSun facilities.
The company says it hopes to have the Albion plant restarted within a month.
