"NOTE D - INTANGIBLE ASSET
The Company's balance sheet includes an intangible asset with an original cost of $367,589 pertaining to goodwill, recorded primarily in connection with its acquisition in June, 2007.
In August 2009, the Company issued 25,000 of its common shares, valued at $67,500, to acquire an option to purchase the url 800.com (the “Domain Name”). Steven Ivester, an agent of iTella, Inc., (“Assignor”), subsequently acquired the Domain Name in a Bankruptcy Court auction for the sum of $250,000. The acquisition was made for the benefit of the Company. Effective September 30, 2009, in return for the Company reimbursing to Assignor his $250,000 cost, Assignor assigned to the Company all right, title and interest in and to the Domain Name, together with the goodwill of the business symbolized by the Domain Name. The total cost of the Domain Name was $317,500, and is included in Intangible assets in the Company’s balance sheet.
NOTE E – RELATED PARTY TRANSACTIONS
From time to time, Steven Ivester, the Company’s former sole shareholder and currently a consultant to the Company through a Consulting Services Agreement with iTella, Inc. (“Consultant”), has made personal advances to the Company. These advances are repayable upon demand, are unsecured, and are non-interest bearing. Such advances amounted to $361,887 and $10,575 at September 30, 2009 and December 31, 2008, respectively.
See Note D for the Domain Name transaction involving Mr. Ivester.
Effective August 1, 2009 and amended on November 4, 2009, WQN executed a Consulting Services Agreement with Consultant, whereby Consultant shall provide, at the reasonable request of the Company’s management, advanced business strategy, financing, product development and marketing advice including but not limited to day to day operations. The initial term of this agreement is for five years, and automatically renews for additional one year terms if approved by both parties. During this agreement’s term and at the Company’s expense, Consultant will be provided an office and administrative support in Weston, Florida. Consultant’s compensation shall consist of the following:
1. Cash payments totaling $75,000 for the first six months, payable monthly;
2. Annual cash payments of $250,000 thereafter, payable monthly;
3. Nine percent of the Company’s consolidated gross revenue, payable quarterly (except the first two months, in which the rate is one percent of gross revenues);
4. Medical insurance benefits for up to three of Consultant’s key employees and their families;
5. $1,000 per month car allowance plus related auto insurance;
6. Reimbursement of Consultant’s reasonable business expenses incurred by Consultant in performance of related services;
7. Grants of stock options pursuant to the Company's Parent 's Equity Incentive Plan in such amounts as may from time to time be determined by the Board of Directors; and
Accrued expenses under the Share Exchange Agreement for the three and nine months ended September 30, 2009 were $22,635. Prior to closing the Share Exchange Agreement, Quamtel did not have expertise in the management and financing of a public company, and required the services of iTella, Inc. as outlined in the Consulting Services Agreement. The Consulting Services Agreement is not cancellable by either party in advance of its contractual term, except under a defined change in control. "

VoIP Inc. is at it again. Notorious for puffing its business with relentless press releases, it has issued another claiming its click-to-call patent is worth a staggering $1.25 billion. And it has retained a California law firm to take action against 100 companies--many of which are Fortune 500 companies.
VoIP Inc. share price is now below a penny after it was forced to close its VoIP business last week, and the firm has not been contactable since. But despite a gaggle of disgruntled creditors, customers and investors the company continues to issue press releases claiming it offers "turnkey Voice over Internet Protocol (VoIP) communications solutions for service providers, resellers and consumers worldwide."
The latest VoIP Inc. press release says that "based on information provided from some of the industry's leading technology experts and the fact that this (click-to-call) technology is being implemented at an ultra-hyper rate domestically and internationally, Byron T. Ball, attorney at BALL LAW FIRM, LLP, stated, "I believe the current value of the patent could exceed 1.25 billion dollars.""
"We have identified over 100 companies that have willfully infringed on our patents. We intend to stop the infringement and defend our technology and the patents behind it. These patents and the business they represent will be utilized to provide the shareholders with the value they deserve and have long awaited," stated CEO Anthony Cataldo.
Neither VoIP Inc. nor Ball returned calls to explain exactly how they determined the patent was worth $1.25 billion. The action follows a flock of successful and pending VoIP patent claims by various telcos and vendors. Vonage has clocked up $240 million in patent breaches
Come on guys lets get that 1.25 billion in the pipeline.

I think they are getting ready to announce the opening of their new plant but you never know if it will be a sell the news deal or not. I'll probably bail at a buck if I'm that lucky and it would give me just about a double as I actually bought it a couple months back. You see where another Danny favorite, the former ebof now evfl, who has been diluting shareholders by the billions the last couple months announced a "authorized share buyback of up to 10 billion shares at managements discretion over the next 6 months"? 2000 posts since that PR and not 1 SINGLE POST about the company's published public financials that shows them without a dollar on the books to buy back with lol. Details, details lol. It did help the stock get back its bid though.

I noticed a couple months ago that Tom Goolsby the attorney was doing a commercial for his personal financial planner on air and thought it was strange that I didn't hear anything out of Waters any longer. I had no idea why. I wish I had heard that one Curtis Wright show that you mentioned a year or so ago where he had his own theories on what happened to Danny. I don't listen much either except when the sat radio gets fuzzy (don't get me started on SIRI lol) but they have a "financial pannel" on Wednesday mornings at 7:00 maybe or at least they did a month or so ago. It included "George" the gentlemen that used to be a registered member of the NYSE and requently called in to Danny's show. Just as an aside, Goolsby himself was co hosting for a few days and he really knows his stuff as far as problems with the economy, bailout, Goldman Sacks, etc and of course he's running for a NC house seat I believe it is. FYI there was an article in the Star News today detailing Mr. Waters suicide a couple months back and some of the circumstances leading up to that. Apparently he had taken in quite a bit of money for infrastructure to a land development up near Beaufort that seems to not have existed. I hope no one who listened to him on the radio got involved in that one the way they did Danny's as well. Hopefully nobody took a double hit here. Maybe the Bigtalker radio station could do a bit more screening of their financial radio hosts or advertisers. JMHO, I didn't even know he had died in July.

For those that try to keep up with the wreckage here, the former voip,inc assets that Mr. Ivestor bought in june of 07 as wqn are now part of and trading under the ticker of qumi.ob (Quamtel) fwiw.
