The merger agreement between leading semiconductor manufacturer TriQuint Semiconductor, Inc. (TQNT) and rival RF Micro Devices Inc. (RFMD) has successfully passed the first litmus test with the completion of the applicable waiting period under the U.S. Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the “HSR Act”). The news has come as a welcome relief for both the Zacks Rank #2 (Buy) stocks.

The waiting period under the HSR Act is usually 30 days and commences once both the companies file a premerger notification report. The transaction can proceed with the successful completion of the waiting period or with the early termination of the same by the government. The waiting period can also be extended and regulators can impose an injunction on the transaction if they find any potential anticompetitive issues with the proposed merger.

The RF Micro – TriQuint merger is currently awaiting the approval of the respective shareholders along with the fulfillment of other mandatory closing conditions. The deal, valued at approximately $1.6 billion, is termed as a merger of equals and is expected to close in the second half of 2014. The combined entity is likely to create a behemoth in the semiconductor manufacturing industry, offering vital components to premier mobile companies like Apple Inc. (AAPL), BlackBerry Limited (BBRY) and Samsung Electronics Co. Ltd.

With annual revenues of about $2 billion, the combined entity will bring under a common platform all the critical radio frequency (RF) components that are essential for fabricating mobile devices, thereby creating an undisputed market leader with a diversified product portfolio. These include power amplifiers (PAs), power management integrated circuits (PMICs), antenna control solutions, switch-based products and premium filters.

This in turn will likely offer better bargaining power and make it tougher for customers such as Apple and Samsung to push back on pricing. With global smartphone users predicted to triple to 5.6 billion by 2019, the merger provides a huge revenue-generating potential to the new entity.

At the same time, the merger strengthens the combined company's ability to better serve the infrastructure and defense/aerospace industries with advanced gallium nitride (GaN) solutions for additional markets and applications, and foundry services to support radar, next generation base stations, optical communications and the Internet of Things. The newly formed entity is also expected to be a leading player in this sphere with approximately $500 million in annual revenues.

In addition, the merger will offer synergistic benefits and increase the profitability of the new company through economies of scale and mutual sharing of manufacturing expertise, research and development costs and adjustment of staffing expenses. The transaction is expected to generate $75 million of cost savings in the first year of its operation, followed by another $75 million in the second year. Post- merger, the deal is also expected to be accretive to non-GAAP earnings in the first full fiscal year of its operation.

HSR waiting period expires for RFMD, TriQuint business combination

RF Micro Devices (RFMD) and TriQuint (TQNT) announced that the applicable waiting period under the U.S. Hart-Scott-Rodino Antitrust Improvements Act of 1976 in relation to the previously announced business combination between RFMD and TriQuint, expired on June 13 with no action by the Federal Trade Commission or the Department of Justice. On February 24, RFMD and TriQuint announced that they had entered into a definitive merger agreement under which the companies will combine under a new holding company in an all-stock, merger-of-equals transaction. Upon completion of the transaction, RFMD shareholders will receive 0.2500 of a share of common stock of the new holding company for each share of RFMD common stock, and TriQuint shareholders will receive 0.4187 of a share of common stock of the new holding company for each share of TriQuint common stock. The companies anticipate that RFMD shareholders, on the one hand, and TriQuint shareholders, on the other hand, will each hold approximately 50% of the shares of common stock of the new holding company issued and outstanding immediately after completion of the transaction. Completion of the HSR Act waiting period satisfies one of the conditions required to finalize the transaction. The business combination is still subject to approval by both TriQuint’s and RFMD’s shareholders, other required regulatory approvals, and customary closing conditions.

Good Time To Get Into Triquint And RF Micro

There are pros and cons of investing in Samsung or Apple, but there is no need to choose between the two. A major new opportunity has emerged in a yet to be born powerhouse that supplies important components to both Apple and Samsung.

NewCo is the tentative name given by RF Micro Devices (RFMD) and TriQuint Semiconductor (TQNT) to their merged entity that will be a radio frequency solutions powerhouse in the second half of 2014. Today’s mobile devices would have not been possible without the kind of RF components that these two companies make.

NewCo is the result of a merger of equals between two formidable radio frequency companies RF Micro Devices and TriQuint. RF Micro shareholders will receive one share of NewCo and TriQuint shareholders will receive 1.675 shares of NewCo. The merger is designed to be a tax free transaction. At the close of the merger, NewCo will do a one-for-four reverse stock split.

NewCo will be able to supply end-to-end solutions to both Apple and Samsung as well as other mobile device manufacturers. To some degree, products of the two companies are complimentary. RF Micro is big in power amplifiers and front-end modules. TriQuint is big in RF filters including bulk acoustic wave, surface acoustic wave and temperature compensated surface acoustic wave filters.

NewCo will also have a substantial business in building wireless infrastructure, defense, and aerospace; an advantage of these sectors is not only diversification but higher gross margins compared to the mobile device segment.

The synergies will save $75 million in costs in the first year and a total of $150 million in the second year. More important than cost savings is that the scale will give NewCo a better opportunity to compete for Apple and Samsung business vs. its competitors.

Feb 24 (Reuters) - Radio frequency chipmakers RF Micro Devices Inc and TriQuint Semiconductor Inc said they would merge in an all-stock deal to create a new company with combined revenue of more than $2 billion.

TriQuint shareholders will receive 1.675 shares of the combined company for every share held.

RF Micro shareholders will receive 1 share of the new entity for each share they hold.

TriQuint Chief Executive Ralph Quinsey will be the non-executive chairman of the new company, while RF Micro Chief Executive Bob Bruggeworth will be the CEO, the companies said in a joint statement.

I took the mid-point of the guidance to be 130-135 million

The way I read it though,the mid point of the guidance is 265million(since the guidance was between $260 million and $270 million).So I think your calculation should be 88% of 265 million,which is around 233 million,is that correct?

o.k., this is how i read this:

"The company believes fourth quarter 2013 revenue will be between $260 million and $270 million. Fourth quarter revenue is currently 88% booked to the midpoint of this guidance. Non-GAAP gross margin is expected to be between 35% and 36%. Fourth quarter non-GAAP net income is expected to be between $0.12 and $0.14 per diluted share."

I took the mid-point of the guidance to be 130-135 million, and 88% of the midpoint would only be around 115 million that is actually booked. We still have 2 months to go for the fourth quarter but the wording suggests that some assumptions could be,.. or could not be. The other thing is the 4th quarter is usually not a seperate q but included in the annuals. All in all, imo i thought they would have had a larger percentage revenue already booked.

I was thinking that it may be a good time to get more shares , but will wait until tomorrow to see if we see another plunge. I like what Triquint is doing though.

If TriQuint Semiconductor’s (NASDAQ: TQNT) second-quarter report was a litmus test, then the company passed it with flying colors. After a string of disappointments over the past year or so, TriQuint had promised investors that it would deliver a profitable year in 2013 when it released its first-quarter results three months back, which were terrible to say the least.

So, TriQuint needed to call for a solid outlook this time to keep investors’ faith intact, and the fact that the company’s shares jumped around 16% after it released earnings means that it successfully accomplished its objective.

The resurgence begins

TriQuint beat estimates in the second quarter, posting revenue of $190.1 million while the loss came in at $0.07 per share. Both numbers were well-ahead of consensus estimates, which called for revenue of $188 million and a loss of $0.11 per share. After the second-quarter results, TriQuint’s total loss this year added up to $0.24 a share.

So, the company needed to deliver a spectacular outlook if it was to live up to its promise of being profitable this year. And so it did.

TriQuint expects revenue between $245 million and $255 million in the third quarter (and it is 90% booked to the mid-point of the guidance), which is comprehensively ahead of the $228.4 million consensus estimate. Also, the company expects to get back into the black this time, calling for adjusted earnings of $0.09 to $0.11 per share, once again well-ahead of the $0.03 per share Street expectation.

For the full year, the company is looking at a profit of “at least” $0.05 per share while the Street was expecting it to post a loss of $0.10 per share.

So, with the earnings report and the outlook being simply spectacular, I believe that TriQuint shares can continue their journey north going forward. The stock has been on a blazing run this year, appreciating close to 70%, and I’m pretty confident that it can rise further given the catalysts on the way.

TriQuint’s cutting-edge technology and the rapid introduction of new products are expected to help it deliver solid growth going forward. So far this year, the company has released 86 new products as it looks to benefit from various end markets such as mobile, networking, and defense. TriQuint expects to benefit from the roll out of LTE to propel its networking business, and the same has happened this year.

Networking providing a boost

TriQuint has seen strength in sales of it networking products as its various customers ramp up deployment of new products. The company is of the opinion that an increase in data traffic will lead telecom carriers to continue investing in a faster technology such as LTE, and help sales of TriQuint’s products in turn.

The trends in the telecom industry are clearly visible. Telecom giant AT&T (NYSE: T) is aggressively rolling out LTE and has earmarked $20 billion as capital expenditure as it upgrades its wireless and wireline networks. Its Project Velocity IP program is progressing well as AT&T has accelerated the rate of deployment of LTE.

But, Ma Bell isn’t the only player deploying LTE networks across various markets in the U.S., as Sprint (NYSE: S) is also now in the game big time after its acquisition by SoftBank. Sprint will have $16 billion from SoftBank to invest in base stations to boost its LTE network in the next two years as it looks to use its big spectrum hoard. Sprint’s subscriber base might be well behind the leading telcos in the U.S., but given its spectrum bank and capital, it should make things interesting from here.

Now, TriQuint’s revenue from base station transceiver cards has more than doubled in 2013, and as these telcos continue to invest in LTE, things should get even better.

Mobile on a roll

TriQuint is poised to benefit from growth in data by providing content for mobile devices as well. With smartphones becoming more complex with various frequency bands, TriQuint’s radio frequency solutions should help the new phones overcome such problems. TriQuint is innovating in this field as well, as it is focused on developing high performance filters and high efficiency amplifiers instead of older power amplifier modules.

TriQuint had supplied the power amplifier module for the Apple (NASDAQ: AAPL) iPhone 5, and with the next generation of the device being reportedly under production, it’s not surprising that TriQuint’s order book was overflowing in the previous quarter with a book-to-bill ratio of 1.17 (with Foxconn accounting for 22% of revenue). Also, a cheaper version of the iPhone is reported to be on the way as Apple focuses on budget consumers.

Apple’s cheap iPhone 4 is already helping its push in the emerging markets, and a new device with cheaper components and a mid-tier price tag could do even better considering that the iPhone 4 is three years old now. So, a cheaper iPhone should increase TriQuint’s addressable market and increase sales of its mobile products.

Mobile is the biggest catalyst for TriQuint as it derives more than 60% of its revenue from it. Throw in another smartphone titan in the form of Samsung, to whom TriQuint had supplied content for the Galaxy S4, and it becomes clear that the company is a good play on smartphones. Also, it counts BlackBerry and some smartphone manufacturers out of China as clients as well, which gives the company a pretty big market to sell its products.

The bottom line

The possibility of TriQuint turning in a profit this year is pretty strong now and the company has got enough drivers to get better going forward. So, if you have been riding this terrific turnaround story this year, there’s no reason to abandon it now.

TriQuint Semiconductor indicated Wednesday that it has put two difficult years behind it, predicting a "next phase" of growth.

The Hillsboro company forecast a leap in revenue of at least 22 percent during the current quarter, a rousing result that stands in stark contrast to two years of disappointment.

"I believe Q3 is the beginning of a stronger period of performance for TriQuint, built on a differentiated strategy that is defensible and sustainable, chief executive Ralph Quinsey said in a written statement.

His forecast of a robust turnaround delighted investors, who bid the stock up more than 10 percent in after-hours trading.

TriQuint employs about 1,000 at its Hillsboro headquarters, where it makes communications chips used in the iPhone and other mobile devices, and in communications networking gear.

The company said its second-quarter sales totaled $190.1 million, up 7 percent from a year ago and just above its guidance.

TriQuint lost $14.9 million in the quarter, 9 cents a share. The compares to a loss of $13.1 million, 8 cents a share, in the second quarter of 2012.

An early beneficiary of the smartphone revolution, TriQuint didn't have the production capacity to meet demand from the booming market and ended up sidelined on some important deals over the past few years. Revenues had been flat or down for seven straight quarters despite the booming market for mobile technology.

On Wednesday, though, TriQuint said that innovative technology has created a great deal more opportunity for the company going forward.

If it delivers on its third-quarter forecast -- and TriQuint said it has orders booked to 90 percent of its forecast -- the company will enjoy its strongest growth in more than two years.


Foxconn, the contractor who assembles Apple's iPhone, is TriQuint's largest customer, providing roughly a third of its sales. Apple has released its last two iPhones in the fall, and observers expect a new model in the same time frame this year. With demand for new iPhones still feverishly high, that may factor into TriQuint's strong third-quarter forecast.


TriQuint shares closed down 7 cents Wednesday at $6.79 before the company reported financial results. In after-hours trading, though, the stock jumped 71 cents to $7.50 -- above a 52-week high.

TriQuint posts higher quarterly revenue, shares rise

(Reuters) - Chipmaker TriQuint Semiconductor Inc reported a 7 percent rise in quarterly revenue, buoyed by demand for its chips used in mobile devices such as smartphones and tablets.

The company's shares rose 12.6 percent to $7.68 in after-hours trading.

TriQuint posted a net loss of $14.9 million, or 9 cents per share, in the second quarter, compared a loss of $13.1 million, or 8 cents a year earlier.

Excluding items, the loss was 7 cents per share

Revenue rose to $190.1 million from $178.0 million a year earlier.

Foxconn Technology Group, one of Apple Inc's major contract manufacturers, accounted for 31 percent of TriQuint's revenue in 2012.
