I wondered about the wordage
in the first 8-k: "The Company did not participate in the sale transaction."
...do what?
lol, a friend of mine said it was standard language when a shell is acquired through a share exchange (not a rm) It's like the company went out for ice cream and when it came back the owners and mgm't were Japanese, imo.
Slap me if I'm wrong, but I think their might be another share exchange event coming (aren't we doing what "Westlake" did in the other movie? Wasn't that the stage that they had the split event???) I gotta rewind the tape.
Have a good weekend!
What time do we open in Tokyo?...eom...lol

Better than shikishieki or something like that. (I hope these guys aren't all in Tokyo huddled around Hemmi's computer reading the hub right now,LOL)
I was going to break out a new board for the new company, while it still has that new company smell to it.
What do you think? No rush, I don't expect much of crowd. LOL
I'm psyched this deal has come together. I'm not even sure what we do or if we do.
Should definately see something coming up... and hopefully a split to go with it

FWIW- I'm pretty sure this is the guy who TDII is working with. I've emailed him to confirm and get any other information I can about what's going on here.
Alan Fetzer has over fifteen years of experience as a senior executive in the Information Technology, Videogame, Internet and Telecommunications industries. Fetzer's business skills include business development and venture financing for early-stage companies and negotiating strategic business partnerships with large corporate partners in North America, Asian and European markets.
Fetzer has served as an advisor to leading Silicon Valley technology companies; managed one of the first digital special effects film studios; overseen the creation of dozens of video and software game titles for a major game producer; and served as a technology consultant to Fortune 500 companies.
Fetzer has advised senior executives at top technology and entertainment companies on how to best integrate their products and services with emerging digital media and the World Wide Web. His clients have included major corporations such as Twentieth Century Fox, IBM's T. J. Watson Research Center, Antec Corp., a developer of fiber-optic television cable systems, Virgin Digital Studios, Toshiba and Zing Systems, an interactive television consortium consisting of TCI, Continental Cablevision, Comcast, and Mitsui Comtek.
Fetzer's ties with the entertainment industry go back to Boss Film Studios an Academy Award winning special effects studio where he served as chief operating officer from 1991 to 1993. While at Boss, Fetzer pioneered the development of one of the first high-resolution digital studios using Silicon Graphics workstations, IBM supercomputer technologies, and advanced software applications from Wavefront Technologies, Alias, and Softimage. Combining his management skills with his knowledge of emerging digital technologies, Fetzer supervised the production of award-winning digital special effects for such films as Cliffhanger, Last Action Hero, andTrue Lies as well as nationally broadcast TV commercials for clients such as Acura, Budweiser, General Motors, and McDonalds.
Earlier in his career, Fetzer was recruited to become president of Taito Software, the North American subsidiary of Taito Corporation, a $1 billion company based in Japan and the world's largest operator of coin-operated arcade games. From 1986 to 1991, under Fetzer's direction, the company's sales in North America rose to $50 million with distribution in over 15,000 retail outlets in North America. Several of the 50 software titles developed during Fetzer's tenure became international bestsellers and many garnered awards from Newsweek, Parent's Choice, and the Software Publishers Association. An innovator in the field of interactive multimedia, Fetzer managed development of game titles for a variety of hardware platforms, including Nintendo, Sega, and multimedia home computers.
Fetzer's previous work experience was in finance and management consulting. After graduating in 1981 from Yale University with a Master's in Fine Arts, Fetzer went directly to Wall Street, where he applied the rigorous discipline of his first love, classical music, to venture capital and corporate finance. He completed several private placement and IPO financing deals, and then joined Data Resources, Inc. (DRI), the economic consulting division of McGraw-Hill. As a management consultant, from 1983 to 1986, Fetzer advised members of the Fortune 100, such as Exxon, Texas Instruments, and General Dynamics, on the financial and economic outlook for their markets.
Well-respected in both the digital production and multimedia industries, Fetzer is a frequent guest speaker at conferences concerning emerging digital media and new technologies. He has chaired panels on digital editing tools and MPEG compression, as well as on film and television production at the I.E.E.E. Compcon annual conferences in San Francisco. In addition, Fetzer serves on the Council for the Arts at the Massachusetts Institute of Technology, which supports the arts at MIT.
Aside from business, Fetzer plays and records classical guitar music (he began his career as a virtuoso classical guitarist while still a teenager), converses fluently in Spanish and Portuguese, and fly fishes for trout.
mrfridge, Re:MorNorth
Westlake is a holding company for DIS Co Ltd (both founded by DIJ's CEO, Hemmi)
Before the share exchange completed (with the investors(Vision) that DIJ was acquiring MorNorth for) DIJ terminated the DIS subsidiary because it's function was served in delivering DIJ's interest in MorNorth to the new owners, imo. I get a little sketchy on when MNMH stopped trading and at what pps but since yesterday VNNL.pk is quoted at........ (1.25 x 2.25) 0 volume
VNNL was RS 35.22:1 (9/9/05)
I'm not going to speculate into the value of that merger to the longs because I think it's irrelevant here. What is important is what DIJ brings to this shell and the underlying value to us in a share exchange. They will need to fs this to get it off the reef and back into deeper water (we need liquidity) That's not to say they couldn't rs us out of our positions before doing that but let's not talk about that.
I do think it's likely we will see Westlake in this exchange. Interesting article there in post #42 imo
Just a couple of thought from a polka bum. DYODD
imo
Oops, I hadn't seen that you'd posted the Mornorth info already.
What I'm wondering is why they turned Mornorth into Westlake Canyon, then terminated at the same time they took control of Triad. And will they turn TDII into the new Westlake- or will it be DIJ?
Perhaps they simply liked the TDII share structure better for what they have planned for the incubator?
The filing...
http://biz.yahoo.com/e/060426/tdii.ob8-k.html
On April 21, 2006, all of the following events occurred: (i) the current director of Triad Industries, Inc. (the “Company”) elected Messrs. Makoto Omori, Toshiaki Sato and Seishi Murakami to the Company’s Board of Directors; (ii) the current director, Ms. Linda M. Bryson resigned as director and as President, and Mr. Michael Kelleher resigned as Treasurer and Secretary of the Company; and (iii) Messrs. Omori, Sato and Murakami were appointed, respectively, to serve as the Company’s President and CEO, Treasurer and Secretary. These actions occurred in connection with the sale of 50.9% of the issued and outstanding common stock of the Company by certain stockholders of the Company to Direct Investment Japan Co., Ltd. The Company did not participate in the sale transaction.

Fridge, They terminated a subsidiary-
"the Company's board has determined to terminate the ownership of its wholly-owned Japanese subsidiary DIS Co., Ltd. because it did not meet the Company's objectives in terms of potential for growth and return on investment."

Westlake is DIJ (imo) and the fact that all that happened on the same day as our announcement is very curious. Vision Co. makes azz wipes, lets hope DIJ's got a sexier business plan for TDII! LOL
I see here that Direct Investment Japan LTD. aquired MNMH (Mornorth Martgage Holdings) last summer, changed to WLKC, then the agreement was 'terminated' in March, yet the new officers also happen to be Japanese.
WLKC is now awaiting a symbol change.

LOL! ProfitsPi is a great website though. eom
2.96% of the float was bought today so that was huge volume on TDII. In fact in April someone bought 30K shares in advance of the merger news it appears. So that is 39,300 of 314,000 or 12.51% of the FLOAT. Since they have common shares like us I doubt very much they will do anything negative to common shares. Remember, the Japanese and their markets have integrity unlike regulators in the USA.
From the PR:
In a purchase agreement dated March 31, 2006, DIJ entered into a definitive agreement to purchase fifty and point nine percent (50.9%) of the issued and outstanding common stock of Triad Industries, Inc. from an independent group of TDII shareholders.

From 10K March 2000: Common Stock 8,658,307 Shares Outstanding . These motions were voted on by approximately 79% of the Companys outstanding common stock. So collectively these folks had 6.8M shares.

David Czoske 6,797,904 0 0
Richard Furlong 6,797,904 0 0

One also sees these people owned 1,925,792 shares.
Gary DeGano 295,000

Michael Kelleher 249,900
J. William Byrd 463,946
Richard Furlong 463,946
James B. Crowell 189,000
That leaves David Czoske owning 4.87M shares or so in my opinion. This is only 139,145 shares after the RS however.
Gary, William, Richard, and James no longer appear as officers. This is another 1.4M shares or 40,345 shares post RS or so. That takes us to around 180,000 shares or so. These seem to be the former insiders who made the deal? Am I correct in assumming independant means no longer affiliated with the company?
From 10K on March 31st 2006:
It appears insiders controlled 231,499 shares on 12/31/2005. This includes the recent form 5's. Notice only one major shareholder other than officers are listed and they are a company related to an officer. Notice the PR says from independant shre holders.
