OBAN MINING CORPORATION ENTERS INTO ARRANGEMENT AGREEMENTS IN RESPECT OF ITS PROPOSED ACQUISITION OF EAGLE HILL EXPLORATION, RYAN GOLD, CORONA GOLD AND TEMEX RESOURCES
Oban Mining Corp., further to the entering into by Oban of binding letter agreements dated June 8, 2015, in respect of the proposed acquisition by Oban of each of Eagle Hill Exploration Corp., Ryan Gold Corp., Corona Gold Corp. and Temex Resources Corp., as announced in Oban's press release dated June 9, 2015, has entered into a definitive arrangement agreement with Eagle Hill, Ryan and Corona, and a definitive arrangement agreement with Temex. As provided for under the Binding LOIs, Oban determined it was appropriate to revise the transaction structure for the acquisitions and proceed by way of plans of arrangement.
Pursuant to the Three Party Arrangement Agreement, Oban will acquire all of the common shares of each of Eagle Hill ("Eagle Hill Shares"), Ryan ("Ryan Shares") and Corona ("Corona Shares") pursuant to a plan of arrangement under Section 182 of the Business Corporations Act (Ontario) (the "Three Party Arrangement"). Under the Three Party Arrangement: each holder of Eagle Hill Shares (each an "Eagle Hill Shareholder") (other than Eagle Hill Shareholders validly exercising their dissent rights) will receive ten common shares of Oban (each an "Oban Share") and five warrants entitling the holder to acquire one Oban Share (each an "Oban Warrant") at $0.15 per Oban Share for a period of three years following closing, in exchange for each Eagle Hill Share held; each holder of Ryan Shares (each a "Ryan Shareholder") (other than Ryan Shareholders validly exercising their dissent rights) will receive 1.880 Oban Shares in exchange for each Ryan Share held; and each holder of Corona Shares (each a "Corona Shareholder") (other than Corona Shareholders validly exercising their dissent rights) will receive 7.671 Oban Shares in exchange for each Corona Share held.
Pursuant to the Temex Arrangement Agreement, Oban will acquire all of the common shares of Temex ("Temex Shares") pursuant to a plan of arrangement under Section 182 of the Business Corporations Act (Ontario) (the "Temex Arrangement" and, together with the Three Party Arrangement, the "Arrangements"). Under the Temex Arrangement, each holder of Temex Shares (each a "Temex Shareholder") (other than Oban and any Temex Shareholders validly exercising their dissent rights) will receive 0.780 Oban Shares in exchange for each Temex Share held.
Shareholder Approvals
The Three Party Arrangement is subject to, among other things, receiving the requisite approval of the shareholders of each of Oban, Eagle Hill, Ryan and Corona, as described below.
Pursuant to the policies of the Toronto Stock Exchange ("TSX"), Oban will be required to seek the approval of the shareholders of Oban ("Oban Shareholders") of an ordinary resolution approving the Oban Shares that will be issued or issuable in connection with the Arrangements and the previously announced Osisko Private Placement (as defined below) (collectively, the "Share Issuance Resolutions"). It is a condition to the completion of the Three Party Arrangement that the Oban Shareholders shall have approved the issuance of the Oban Shares that will be issued or issuable under the Three Party Arrangement and the Osisko Private Placement.
Eagle Hill Shareholders will be asked to approve a special resolution to approve the Three Party Arrangement (the "Eagle Hill Arrangement Resolution") at a meeting of Eagle Hill Shareholders (the "Eagle Hill Meeting"). The requisite approval of the Eagle Hill Arrangement Resolution shall be (I) at least 66 2/3% of the votes cast on the Eagle Hill Arrangement Resolution by the Eagle Hill Shareholders, voting as a single class, present in person or by proxy at the Eagle Hill Meeting; and (II) a simple majority of the votes cast on the Eagle Hill Arrangement Resolution by Eagle Hill Shareholders, voting as a single class, present in person or by proxy at the Eagle Hill Meeting (excluding Eagle Hill Shares held by certain "interested parties" and "related parties" of any interested parties (as such terms are defined in Multilateral Instrument 61-101 ("MI 61-101") in accordance with the requirements of MI 61-101). Eagle Hill Shareholders will also be asked to approve a special resolution in connection with the continuance of Eagle Hill from British Columbia to Ontario which is required for the Three Party Arrangement to proceed under the Business Corporations Act (Ontario), and will occur prior to the approval of the Eagle Hill Arrangement Resolution.
Ryan Shareholders will be asked to approve a special resolution to approve the Three Party Arrangement (the "Ryan Arrangement Resolution") at a meeting of Ryan Shareholders (the "Ryan Meeting"). The requisite approval of the Ryan Arrangement Resolution shall be (I) at least 66 2/3% of the votes cast on the Ryan Arrangement Resolution by the Ryan Shareholders, voting as a single class, present in person or by proxy at the Ryan Meeting; and (II) a simple majority of the votes cast on the Ryan Arrangement Resolution by Ryan Shareholders, voting as a single class, present in person or by proxy at the Ryan Meeting (excluding Ryan Shares held by certain "interested parties" and "related parties" of any interested parties (as such terms are defined in MI 61-101) in accordance with the requirements of MI 61-101).
Corona Shareholders will be asked to approve a special resolution to approve the Three Party Arrangement (the "Corona Arrangement Resolution") at a meeting of Corona Shareholders (the "Corona Meeting"). The requisite approval of the Corona Arrangement Resolution shall be (I) at least 66 2/3% of the votes cast on the Corona Arrangement Resolution by the Corona Shareholders, voting as a single class, present in person or by proxy at the Corona Meeting; and (II) a simple majority of the votes cast on the Corona Arrangement Resolution by Corona Shareholders, voting as a single class, present in person or by proxy at the Corona Meeting (excluding Corona Shares held by certain "interested parties" and "related parties" of any interested parties (as such terms are defined in MI 61-101) in accordance with the requirements of MI 61-101).

It is expected that the special meeting of the Oban Shareholders to consider the Share Issuance Resolutions (the "Oban Meeting") will be held in August 2015 and that a management information circular (the "Circular") in connection with the Oban Meeting will be mailed to the Oban Shareholders in July 2015. It is expected that the Eagle Hill Meeting, the Ryan Meeting, the Corona Meeting and the Temex Meeting will also be held in August 2015, with the corresponding management information circulars to also be mailed to the shareholders of Eagle Hill, Ryan, Corona and Temex in July 2015.
Closing and Other Conditions
It is a condition to the completion of the Three Party Arrangement that all conditions to completion of the private placement whereby Osisko Gold Royalties Ltd will subscribe for up to 181,818,181 Oban Shares at a price of $0.11 per Oban Share for gross proceeds of up to $20,000,000 (the "Osisko Private Placement"), as announced in Oban's press release dated June 9, 2015, shall have been satisfied or waived.
It is also a condition to the completion of the Three Party Arrangement that shareholders holding no more than 5% of outstanding Eagle Hill Shares, Ryan Shares or Corona Shares shall have exercised dissent rights in respect of the Three Party Arrangement, and it is a condition to completion of the Temex Arrangement that shareholders holding no more than 5% of outstanding Temex Shares shall have exercised dissent rights in respect of the Temex Arrangement.
Completion of the Arrangements is also subject to TSX approval, TSX Venture Exchange approval and approval of the Ontario Superior Court of Justice (Commercial List), as well as the satisfaction of certain other customary conditions for transactions of this nature.
The Arrangements are expected to close in August 2015. Additional details relating to the transactions described herein and details pertaining to each of Eagle Hill, Ryan, Corona and Temex, as well as the combined company expected to result from such transactions, are included in Oban's June 9, 2015 press release, and further details will be provided in the Circular that will be sent to Oban Shareholders and filed on SEDAR in due course.

Someone at Stockhouse did not like me quoting Ian about the great deal our shareholders are getting with .78 Oban for 1 temex ... and had my post removed too funny cause I suggested CEO of the Year ... I'm still Voting NO !
I can bet our friends at Dundee are not liking Temex Shareholders for not getting in line to give away our shares ... Maybe Osisko can tell Dundee that some high grade gold from Temex would be nice as part of a 1% NSR so make the deal happen ...Sometimes the Golden Parachute is not enough when management only owns 1 % ...it can be hard to deliver the goods to the rest of the fold...when telling them how great this deal is!

OT: for those investing in the intermediate and major mining sector i highly recommend you take a look at PVG Pretium in coming days/ weeks.
I believe final federal permits are only 8-12 weeks out, and the company is severely undervalued.
Anything under $6.00 is a no brainer. Its my largest holding.

Yup Van I think that Ian has gone as far as he can with making land deals and such ..and this was an opportunity for Ian to get a severance package and retire...
So if we turn this deal down cause there's no value in the deal for TME shareholders and we don't get grabbed up by someone else...
Then its new management time ? ... And if so would that give the stock a boost ?
And new management who can bring in 2 million without big dilution and or creative financing... to get us started with open pit... what would that do for share price ?
TME needs someone who can either take us across the line so we can get started with open pit...and or shop the company around for a better deal now that we have been put in the limelight...
I obviously have mixed feelings. Only IAN really has a sense if a higher premium is possible. I DO think the Temex addition in teh deal , was strictly advantageous due to the Price.
During the conference call.....it was interesting how they danced around which assets they planned on developing first. To me teh Eagle hill PEA is very very mediocre at best. I felt they held back that Whitney was indeed their target to get into production first.

I don't think all them Oban shares without Temex will be at .11 cents for long...
Osisko knows the value of the greenstone belt ...they also know there are no other properties in the heart of gold mining camps that they can picked up for .78 Oban shares ...
Anyone think there was a reason we were asked to join this band of juniors...hmmm...I bet it has more to do with Osisko ....than anything to do with Dundee....Dundees job was probably only to make this deal happen ...and thats why we saw them buying shares...I think this whole deal is depended on how much Osisko wants Temex ...and maybe there way of taking a jab at Goldcorp...time will tell but a NO VOTE really is the only way at this price !
I read you man. I'm back to being on the fence. Waiting for an email or call back from IAN, to see his sense of a higher offer coming in if we don't get the votes.
Not sure how much is held by institutions, but it seems the attitude is to vote "NO".
If that the case, we will get a chance to see if they sweeten the pot. I'm holding a boat load, over $220k worth here, so a 20%-30% increase in Share Offer here would be very welcomed. So would some added liquidity in the Marketplace, which has been poor for Temex the pat 18-months.

I think New Oban could have a bright future just not with what they have offered us ... If as Ian says we are that close to open pit mining and potentially generating revenue and making deal to process ore at goldcorps site ...then why sell out now...why would we give our shares away ?
I think a vote no to this first low ball offer is needed and if Ian cant get a better deal then we need to find someone who can ...or a new partner for our properties ...come on 85% of Whitney with 20,000 open pit ounces of gold...tell me whats not adding up here ?
Anyway Van hope it all works out for Temex shareholders and something good comes out of all this ... I just never thought Ian would have taken that offer...goes back to having skin in the game and management only has 1% so we shall see what the rest of the shareholders have to say as of now I'm still VOTING NO!

They can open Financial Doors and bring a huge depth of investors to the table. The Osisko guys are known as the brightest in the industry right now...they always make shareholders MONEY !!!!!!
I'm hoping to speak with Ian here soon. Fairly sure he knows his is the best route forward.....but if a higher premium is really possible, I may be open to holding out. For me, eagle hill PEA is not very compelling....so maybe they do value our Whiteny and Juby Assets in a high regard.
Even a 1 to 1 exchange would be a big improvement.

Canadian TradeEx president Glenn Dredhart of Timmins says he is preparing for one of the biggest mine expo trade shows ever seen in Timmins, and it is all set to take place at the McIntyre Community Centre on May 27 and 28. He said the annual mining show will showcase mining companies, mining exploration firms and mining supply outlets, not just from Timmins but across Canada.
TIMMINS – Glenn Dredhart began featuring industrial trade shows in Timmins as far back as the mid 1990s. It was a limited thing, showing off forestry and mining equipment.
Over the years, his company Canadian Trade-Ex has expanded to create a mining show in Timmins that no one in the industry wants to miss: The Big Event Canadian Mining Expo.
The show is now known across North America and has featured exhibitors from South Africa and India.
This year’s edition takes place May 27 and 28.
“It has really caught on as a global event,” Dredhart said Thursday, just before joining several local mining representatives at a promotional event. “We’re here located right in the heart of Canada’s main gold mining activity, so that kind of makes it easy for us.”
Dredhart said he is pleased for the success of the event, not just because it’s a good business venture, but because he is truly proud of how the event shows off Timmins.
“I believe the real reason this event has caught on so well is because of the effort we put into it to make it a global event. Every year we try to add something different, something unique that people haven’t seen at a trade show.”
Living up to that idea, Dredhart said the 2015 Big Event will feature the chance to visit a “fly-in” drill camp.
Being very aware of the slump in mining exploration, Dredhart said The Big Event has taken the show a step further. Not only is the expo providing a venue to display many types of equipment used in mining exploration, it has also stepped out of the box, so to speak, and has created a full mining exploration camp located off site.
Dredhart said mining company representatives will be invited to see all the latest exploration products and services by boarding an Expedition helicopter at the McIntyre site and then flying off to the “remote” drilling camp, located appropriately just off Gold Mine Road. The drill camp was created as a way to accommodate exhibitors who could not fit within the confines of the McIntyre arena property.
He said the site is owned by a junior company, Syracuse Gold, but it is still a real live mining drill camp. Those who can’t hitch a ride on the helicopter will be able to take a shuttle bus to the site, which will be running regularly during the expo.
Like most people in the exploration business, Dredhart is an optimist who sees opportunity “just around the corner” and is confident the boom-and-bust cycle of exploration will be booming again, soon enough.
“The majority of the junior mining companies and the explorationists around the globe know that mining is a cyclical industry. For every lull, there’s going to be a big bang. So we’re kind of in a low right now, but people know that another big bang is coming. A lot of guys want to prepare and be ready for the rush.”
He said mining and exploration people will attend the mine expo to stay in touch with others in the industry.
“They want to do some networking, they want to talk with the senior mines people, and they want to get a feel for where the action is,” he said.
Dredhart said there is indeed plenty of action going on in the Porcupine Camp, especially in mining exploration.
“Everyone references the Porcupine Camp. It doesn’t matter where you go, people are talking about the Porcupine Camp. Because we have been continuously mining gold for the past 100-plus years, it makes us kind of the experts.
“The people here have gone through the cycles. They’ve been there before. The people who have experienced those cycles in the past, well, they’re still here today and they know it will get better. They know it’s coming. They know it’s just around the corner.”
With an obvious hint of excitement in his voice, Dredhart said he can’t wait to hear about the next big mineral find that will happen in Timmins —something he is confident will happen sooner than later.
He added that the mining show is also popular with people who are seeking a career in the mining industry.
In recent years, he said, the show has become well-known as a place where students in mining, trades and similar disciplines can drop off their resumes. Many of the companies who take part in the show are always welcoming new prospects, said Dredhart.

Temex Resources is a near-term producer in Canada. The Whitney project has a $2 million capex to begin bulk mining to a toll mill. This will be low production, but will provide cash flow. Phase 2 is underground mining below the surface bulk mining, beginning in 2016 or 2017. They have not given guidance for production rates for the bulk mining or the underground mining in phase 2. They have a FD market cap of $7 million reflecting the current climate of low valuations for gold in the ground. Their Juby project is an ideal location in Ontario with 4 million oz (1 gpt), yet they can’t get any interest in their stock. They have $2 million in cash, so the risk is probably pretty low buying it this cheap. They think Juby could be a 5 to 10 million oz project.
Whitney is a 60/40 JV with Goldcorp. They released a 43-101 resource estimate for 700,000 oz (5 gpt of surface gold) and it should grow in size. At Juby they are drilling at Hydro Creek, Big Dome, and Golden Creek. All of these have returned good grade surface gold. Hopefully they will take the cash flow at Whitney and develop Juby. The Juby project could make this a 100 bagger if they build and operate it.
They also have a silver project (Gowanda) that has an existing mine that produced 40 million oz. Gowanda has 3 million oz of tailings (3 million x $20 = $60 million). If they drill Gowanda and find 15 million oz, then that could be a mine too.
Buying a stock in Ontario with 4.4 million oz of quality surface gold for $1.50 per oz seems like a no brainer. However, we don't know if they are going to build Juby, and it is going to take at least 6 or 7 years until production. A PEA is not planned for 2015 and perhaps not for 2016. Juby might not see production until 2022.
