On October 27, 2004, Telco-Technology, Inc. ("Telco") acquired from GreenSpace Capital, L.L.C., and Acutus Capital, L.L.C. the outstanding capital stock of GreenWorks Corporation ("GreenWorks"). In exchange for the GreenWorks shares, Telco issued to each of the selling shareholders 500,000 shares of Series A Convertible Preferred Stock (the "Preferred Stock") and a demand promissory note in the principal amount of $100,000. The Preferred Stock is entitled to vote with the common stock on all matters. Each share of Preferred Stock is convertible into 100 shares of common stock at any time after December 31, 2005. On October 21, 2004 Telco sold to Cornell Capital Partners, LP a 5% Secured Convertible Debenture in the principal amount of $500,000 (the "Debenture"). Telco obtained net proceeds of $425,000, after payment of a $60,000 commitment and structuring fee to Cornell Capital Partners as well as a $15,000 fee relating to the Standby Equity Distribution Agreement discussed below. Interest that accrues on the Debenture is payable at maturity. The principal amount of the Debenture is payable on October 21, 2007. However the principal amount of the Debenture will be automatically converted into Telco common shares on October 21, 2006. Prior to that date, the holder of the Debenture has the option to convert the accrued interest and principal amount of the Debenture into Telco common shares at any time. Whenever the principal amount of the Debenture is converted into common shares, whether automatically or by the holder, the conversion price will equal the lesser of
(a) 120% of the closing bid price on the conversion date or (b) 80% of the lowest closing bid price for the five trading days preceding the conversion date.

No doubt. It will be interesting to see what happens on a go forward basis. After all these years I really do hope that he gets a deal done. He has his new gig with Traders Nation and I can only beleive that TTXI is more of a distraction and expense than anything else. Only time will tell, but I am pulling for him to pull it off, why not.

Decent volume, no real movement. Guess it is just positioning?
I don't know about <.01. Granted there's a lot of stock available but it dosen't take much to keep it up. Look at today, volume hitting the bid, and $100.00 buy brings it back up. Yeah it's smoke and mirrors but but it may limit the downside.
Of course that said there has to be a reason for some upside and I woud think it will be a couple of months before a new merger candidate appears. I am sure that there are plenty to chose from but you need something sexy in this market, plus it has got to be on terms that Don can live with.
In the mean time, more stock out there now. This will drift below .01 again.

thank God for our wives who make us do these sort of things. I wasnt all that jazzed about going but once down there i REALLY enjoyed the graduation ceremony. i got all teary eyed when i saw my son walking in with his gold rope [signifiying high honors]. very proud of my son for his accomplishments.
after the ceremony we went down to a nice italian restaurant near the venice peer and had dinner.

its just traders vs traders right now and not very many of them at that. im trying not to waste much time in front of the screen this summer. feel sorry for the folks that are... i peruse these threads and it really sounds like posters are struggling to make a few bucks...i mean i can almost hear them grunting to get the price of their pumps up so they can get out.

CLIFTON, N.J., June 9 /PRNewswire-FirstCall/ -- Telco-Technology, Inc. (BULLETIN BOARD: TTXI) ("TTXI") announced today that they have sent a formal request to their "specialist" on the Berlin Stock Exchange. The letter asks that TTXI stock be delisted from trading on that market.

Seems you guys have a fxi on this. When do you go back in. I do not see .02 happening, of course I said that at .07. I think this has another run in it and with Donnie going to China, who knows, maybe he will bring something back.

Heard he is going to China next week for what it is worth. Taking forever but this deal might jsut happen.
From what I hear, financials are done or close. Tough china market but a real deal should do well. If he goes to china maybe there will be some good news once he's back.
