A friend of mine has a sizeable judgment against a penny stock company that appears to be a shell. The shell announced its intention to purchase another company and the acquired company will most likely change its name to that of the acquiring shell.

My question is this: if the acquiring company really has nothing now that my friend as a creditor could look to for satisfaction of his judgment, once the shell acquires this other company, can't my friend look to the assets of the company being acquired?

If so, wouldn't you think that one of the two companies would have contacted him?

I am aware of corporations acquiring a shell so that the expense of registration, etc. can be minimized, but this is a shell acquiring another corporation, or doesn't it make any difference?

Is there any market that you know of whereby people/organizations purchase 4 to 5 figure judgments against otc companies? I can think of a number of reasons that a person/company might want to hold a judgment as assignee, but I had never thought about this until now.

My position is that a company that doesn't pay it's judgments should be placed into receivership for the benefit of the creditors.

I never signed up for the right to send or receive private replies. If you want to provide an email address where I can contact you, to learn from you what your interest is in penny stock companies that have been sued, or that have judgments against them, I may brighten your day. I went to the link on the lawsuit against Goldmark that you refer to in the above box, and I was very surprised to see that the Complaint in that lawsuit appears to follow a form with which I am very very familiar.

However, whether or not you want to comunicate privately [and this of course is up to you], please let me know whether or not you agree with my thinking that a person who has sued a public company and obtained a judgment against the public company, but who has not been able to recover on his judgment, stands a good chance of settling with the company over time if the people in control of the company want to sell it as a shell, or with any party that may acquire the company as a shell, in that the judgment creditor in effect "comes with the company" and any buyer has to contend with the creditor when the company is acquired.

RHNA Lawsuit update:
