The whole thing was unusual setting the redemtion with very short notice than valid for a very short time. All new shares, so the proceeds went right to the company coffers. IMHO all part of the scam.

Every share bought is also a share sold. So saying the volume was "mostly buying" doesn't make any sense. A lot of the sell-side volume the past week was probably warrants exercising and management getting out at these absurd prices. Clever move on management's part, this RM. Selling their shares into the spike was probably the only way they were going to get any golden parachutes out of this mess.

Any way to tell how many warrants were eligible for exercise based on the adjustment the other day? I saw somebody mention 8m shares, but I don't know where they got that number. If true, that would result in a huge (downward) revision in my <$0.50 price target.

Good info. There is no way possible that STEM worth .44 cents before the merger and Microbot with 7 employees and $1.4 million in revenues, could possibly equal $22 to $36 a share as mentioned in the CNA article. They claim several analysts have given these lofty share price targets, yet don't name the analysts. No such share targets, other than the CNA story can be found. Looks like drastically pumped up article designed to keep the buying going.

According to ZoomInfo (http://www.zoominfo.com/c/Microbot-Medical-Ltd/347748396), Microbot's current revenue is only $1.4m and they have 7 employees.

Hard to see how that's worth more than $50m, even if you think their R&D pipeline is solid (and maybe it isn't). That means STEM should be worth something like $2.5m (5% of $50m), not accounting for likely dilution post-merger/post-revers-split. $2.5m divided by 11.7m shares is $0.21 per share.

By my reckoning, STEM should be worth between $0.01 and $0.50 per share based on the available facts about this merger, depending on your assumptions about Microbot's current value and the amount of dilution coming down the pike.

That is wrong. Microbot is essentially buying the shell from STEM, which will go private. STEM share holders will get 5% of the new shares. Assuming a similar number of shares Outstanding, at the time of merger, that's 50 new company shares for every 1000 held. Microbot has less than 10 employees they have developed some products but sold few at this point. Their valuation is likely quite low.

I think it was around 7:00. It went to 1.94 and then was decreasing from that point. I remember thinking it will 2:30 hours before markets open, it might not hold.

IF, the "market cap" of the shell remains at $15 or $20 mil, then a present STEM shareholder gets 5% OF THAT. PERIOD. END OF STORY. All other market cap goes to Microbot insiders, 3 or 4 or 5 of um. Where does the bogus $500 mil BS number come from???

5% of $20 mil is $1 million in the pie to be distributed to any bagholder, oops, shareholders of old STEM shares, when the new shares are issued.

Then, Microbot is gonna DILUTE THE LIVING H out of this mess to try and raise cash.

Why is it likely to fail- READ THE SEC FILINGS. IT's a FUBAR CLUSTER BLANK mess. It's all contingent on STEM getting old debts forgiven, STEM achieving a certain capital structure, etc. It needs to pass SEC and FINRA review after this phony pump n dump run-up, at which time half the STEM BOD and their CEO and Sr Mgt team just happen to QUIT, getting paid to walk out the door- noooo, nothing suspicious about that. A BK shell getting paid to hand the keys over to a "company" that's all of 7 or 8 people in a foreign country with near ZERO capital, no revenues, no salable products etc?

NO SALES, NO REVENUES, NO SALABLE APPROVED "medical" PRODUCTS, NO INFRASTRUCTURE, NEEDED TO BORROW $2 MILLION to "close the deal", which STEM must pay back if it fails- and you're putting some $500 MILLION to $1 BILLION market cap on this POS, LOL??????? REALLY????

This will be lucky to make onto the OTC market place if they even manage to close this POS reverse merger. They presently don't have the share or capital structure to remain on the NASDAQ, and this nano sized nothing of a 7 or 8 person, no product, no revenue "company" ain't gonna give it to um on close of deal. Which means straight to the OTC at best.

If it fails, it's BK in short order for the hollowed out shell of STEM, then a share price of .00001

Digger, The new name for the new amalgamated company will be Microbot Medical Inc unless they come up with a different one. Microbot is taking over Stem to gain access to a Nasdaq listing, the exchange where Stem is already listed. So, yes, you are correct. I'm dumping my shares this morning as I read 2 Seeking Alpha stories last night saying Stem is not a recommended buy.
