To have participated in the rights offering you had to be the holder of either the secured or unsecured bonds. The deadline was back in Feb and allowed shares to be purchased at $8.43. (the estimated value per share of the new shares is about $20-$25). This is in the new equity and the old equity is done unfortunately.

Company Exits with Significantly Reduced Debt and Strong Cash Position
Leading flash memory solutions provider, Spansion Inc., today announced that it has emerged from Chapter 11 reorganization. During the reorganization, Spansion focused its business on serving embedded and targeted wireless applications, resulting in four consecutive quarters of operating profit and US$225 million in generated cash.

"We are pleased to have emerged from Chapter 11 a stronger, more focused company. As a result, we are better able to serve our customers," said John Kispert, president and CEO of Spansion, who also pointed to a healthy balance sheet as the foundation for long-term success.
Spansion entered Chapter 11 reorganization with over US$1.5 billion in debt. Today, Spansion emerged a well capitalized company with less than US$480 million in debt and approximately US$230 million in cash, which is supplemented with an undrawn credit line of up to US$65 million. Stockholder's equity was enhanced by a rights offering of approximately US$105 million which is reflected in its cash position.
On March 1, 2009, Spansion filed for Chapter 11 bankruptcy protection. The company submitted its first plan of reorganization on October 26, 2009 and gained approval from the U.S. Bankruptcy Court on its amended disclosure statement on December 22, 2009. Spansion received confirmation from the U.S. Bankruptcy Court for its plan of reorganization on April 16, 2010 and emerged from Chapter 11 protection on May 10, 2010. As a result of Spansion's emergence, Spansion's old common stock has been canceled and no longer trades. Some pre-bankruptcy claims and other administrative matters will remain pending until they are resolved. However, effective as of today, Spansion is no longer under the jurisdiction of the U.S. Bankruptcy Court for the District of Delaware.

Elpida to Buy Spansion Flash Assets

TOKYO -- Elpida Memory Inc. said it will take over part of U.S. chip maker Spansion's flash memory research-and-development assets, to tap growing demand for smart phones and better compete with its stronger South Korean rivals.
A spokesman for Elpida, Japan's only maker of dynamic random access memory chips, said Thursday that the company will hire Spansion's flash memory technicians and take over some of the U.S. chip maker's research assets.
Elpida doesn't currently produce flash memory, and the move represents the chip maker's latest attempt to step up efforts to compete with rivals such as Samsung Electronics Co., the world's biggest player in both DRAM and flash memory chips, and Hynix Semiconductor Inc.
DRAM memory is widely used in personal computers, while flash memory is common in smart phones and music players.
By implementing the R&D flash assets of California-based Spansion, which is seeking to restructure its debts and operations under Chapter 11 bankruptcy protection, Elpida will be able to develop memory modules combining flash memory and DRAM into a single package for use in high-end smart phones.
Demand for these combined modules is expected to grow substantially in the coming years. U.S. research firm iSuppli estimates the market for memory chips used in wireless communication devices, including smart phones such as the iPhone, will grow nearly 40% to about $8.7 billion in 2012 from about $6.3 billion in 2009.
Elpida's effort to gain flash capacity also comes on the heels of U.S. DRAM maker Micron Technology Inc.'s $1.27 billion deal announced last month to acquire major flash memory maker Numonyx Holdings B.V.
Elpida declined to disclose the exact cost of this move. Nomura Securities analyst Masaya Yamazaki wrote in a report that the cost of buying the assets will likely come to several hundred million yen.
The new investment is possible partly because worries over Elpida's financial standing are easing. After suffering losses in the global economic downturn due to the financial crisis and receiving public funds, Elpida posted its first quarterly net profit in more than two years in the quarter ended December as demand surged on consumer appetite for computers with Microsoft Corp.'s new Windows 7 operating system.
"We have already completed the necessary procedures to take over [the flash memory R&D assets]," the spokesman said.

March 4 (Bloomberg) -- Elpida Memory Inc., Japan’s biggest maker of memory to store data in computers, said it may develop semiconductors for use in mobile phones by buying flash-chip technology assets from bankrupt Spansion Inc.
The purchase includes the U.S. chipmaker’s research and development facility in Milan, Italy, and intellectual property rights, Tokyo-based Elpida spokesman Hiroshi Tsuboi said by phone today. The company will research semiconductors that combine Spansion’s technologies with its own, Tsuboi said, declining to comment on manufacturing plans.
Elpida is looking to reduce its reliance on computer memory after a glut of the chips resulted in nine consecutive quarterly losses at the company. Developing new chips may provide another revenue source for the company, said Yuichi Ishida, an analyst at Mizuho Investors Securities.
“If they can successfully develop and mass-produce such compound memory, it would give them a competitive edge against their rivals,” Ishida said by phone from Tokyo. He rates Elpida’s stock “neutral plus.”
Sunnyvale, California-based Spansion, which hasn’t reported a profit since its spinoff from Advanced Micro Devices Inc. in 2005, filed for bankruptcy protection in March 2009. The company’s Japanese unit, which operates a 300 millimeter line making NOR flash for mobile phones, sought protection under the Corporate Reorganization Law of Japan in February 2009.
Elpida gained 2.2 percent to 1,654 yen as of the 11 a.m. trading break on the Tokyo Stock Exchange, while the benchmark Nikkei 225 Stock Average was little changed. The shares almost tripled in value last year. Spansion closed unchanged at 7.6 cents in Nasdaq Stock Market trading yesterday.
The purchase price may be as much as 5 billion yen ($57 million), the Nikkei newspaper reported earlier. The acquisition was “much less” than the reported figure, Tsuboi said.

Japan's Elpida to buy Spansion flash memory assets

TOKYO (MarketWatch) -- Japan's only dynamic random access memory maker, Elipda Memory Inc. , will buy the flash-memory assets of U.S. chipmaker Spansion Inc. , according to reports Thursday, citing an Elpida company spokesman who would not comment on the size of the deal. Japanese business daily Nikkei reported earlier in the day that Elpida would pay 3 billion to 5 billion yen ($34 million to $57 million) for the acquisition. Spansion was established as a joint venture between Japan's Fujitsu Ltd. and the U.S.' Advanced Micro Devices Inc. . It filed for bankruptcy protection last March.

of course it is a possibility, heck maybe even a good possibility. However after a little research on their assets, management, and the general feel of their employees, I don't think that will happen.
