One patient had a TP53 mutation. TP53 mutations (in AML) are associated with a (very) poor prognosis and resistance to standard treatments [1-5], with patients often showing limited response to even allogeneic stem cell transplantation [6,7].

Immunologically, it is a distinct subset, with increased PD-L1 and downregulation of miR-34a, as well as upregulation of MYC. Additionally, there is a reduction in CD8+ T-cells and CD4+ T-cells, along with an expansion of immunosuppressive Tregs, and MDSCs, contributing to broad immune evasion [8].

PIPE Investors in SNTI paid $1.05/share last week! Reminder that $3.90/share is still equivalent to a $230M valuation for SNTI, vs $9M valuation last month! (See below, massive dilution in between.) Meanwhile, an institutional investor just purchased 4.2M shares and 6.3M warrants = 10.5M shares @ $1.05/share last week. Total is now ~60M shares outstanding on a fully diluted basis. The total # of shares just increased from 5M last month to 60M, meaning retail investors were diluted >10x, in addition to the 10:1 reverse stock split in July 2024. New PIPE investors did not pay $230M for SNTI, they paid about $65M, $1.05/share last week!

Read the actual SEC filing, not the press release from the company, which is misleading. (Why is each "Series A" share purchased convertible into 1,000 common shares, if not to disguise the massive dilution of this financing and the actual price paid by PIPE investors?) The main points are:

1/ A private investor purchased 10.5M shares last week for $10M at an effective share price of $1.05 while retail investors are expected to pay $3.90/share right now, at exactly the same time...

2/ The daily volume (150,000 shares/day) is very small. It doesn’t take more than one of the new hedge fund investors to decide to slowly sell off or short the stock from their initial investment (to “take money off the table”) and they would still retain 80% of the upside. This is a relentless downward pressure on the stock, notwithstanding short term volatility.

3/ The effective valuation of the company is $230M! Meanwhile, a sophisticated new investor is buying in at $65M ($1.05/share * 60M shares). Either this sophisticated investor is getting the deal of the century (which is unlikely in a competitive market for capital) or retail investors are still massively overpaying right now at a $230M valuation = $3.90/share!

Senti Biosciences, Inc. Announces Oversubscribed $37.6 Million Private Placement Equity Financing
SOUTH SAN FRANCISCO, Calif., Dec. 02, 2024 (GLOBE NEWSWIRE) -- Senti Biosciences, Inc. (Nasdaq: SNTI) (“Senti Bio” or the “Company”), a clinical-stage biotechnology company developing next-generation cell and gene therapies using its proprietary Gene Circuit platform, has entered into a securities purchase agreement with certain existing and new accredited investors to issue and sell an aggregate of 16,713 shares of Series A Convertible Preferred Stock (the “Preferred Stock”) through a private investment in public equity (the “PIPE”) financing. Senti Bio anticipates the gross proceeds from the PIPE financing to be approximately $37.6 million, before deducting offering expenses. In addition, investors, upon receipt of stockholder approval by the Company’s stockholders, will have the right to exercise warrants to purchase up to an additional 25,069,500 in shares of the Company’s common stock. The PIPE financing is anticipated to close on or before December 5, 2024, subject to customary closing conditions. (Nasdaq: SNTI) (“Senti Bio” or the “Company”), a clinical-stage biotechnology company developing next-generation cell and gene therapies using its proprietary Gene Circuit platform, today reported positive initial clinical data from a Phase 1 clinical trial of SENTI-202, a potential first-in-class Logic Gated off-the-shelf chimeric antigen receptor natural killer (“CAR-NK”) investigational cell therapy, for the treatment of relapsed/refractory (“R/R”) hematologic malignancies including acute myeloid leukemia (“AML”). SENTI-202 is designed to selectively target and eliminate CD33 and/or FLT3- expressing hematologic malignancies, including AML, while sparing healthy bone marrow cells.

Three AML patients have been treated at the lowest dose level (1.0 billion CAR+ NK cells per dose) and, as of the data cutoff date of September 19, 2024, two achieved complete remission (“CR”), confirmed by bone marrow biopsy, which includes blast reduction and recovery of blood cells to normal ranges. In addition, both patients were assessed as measurable residual disease (“MRD”) negative after treatment, which is defined as no detectable cancer cells present in a bone marrow sample by the most sensitive locally available method. As of today, both patients continue to maintain their remission (4+ months and 3+ months, respectively). In all three patients, SENTI-202 was generally well-tolerated with an adverse event profile consistent with the use of lymphodepleting chemotherapy in patients with AML.

SENTI-202 is a Logic Gated off-the-shelf CAR-NK cell therapy product candidate designed to selectively target and eliminate CD33 and/or FLT3 expressing hematologic malignancies, such as AML and myelodysplastic syndrome (“MDS”), while sparing healthy bone marrow cells. SENTI-202 has three main components. First, SENTI-202 contains an OR GATE, which is an activating CAR that recognizes CD33 and FLT3. AML is a cancer of the blood and bone marrow and is the most common type of acute leukemia in adults. It is estimated there will be 20,800 new cases of AML in the United States in 2024. I would be surprised if there were no responses to SENTI-202, but complete remission has long been the critical therapeutic response, ideally MRD-negative. Toxicity is another, as cytarabine (used for lymphodepletion with fludarabine) has potent immunosuppressive effects so that could lead to (additional) myelosuppression and infections. A third will be how well the logic-gated gene circuit (for the CARs) protects healthy hematopoietic stem cells.
