SFIN 1-500 REVERSE SPLIT ON THE BOOKS. In fact any merger is dependent on the completion of the split. Scum bag Bentley is wiping out all current shareholders and issuing 150 million shares post-split and leaving the AS 500 million. This has been the delay all along. Finra won’t allow a reverse to hit without being current and removal of CE.

On January 5, 2021, the Company entered into a reverse merger agreement with Bentley Intelligence Ltd, an entity organized under the laws of England and Wales, to acquire 100% of the outstanding stock of Bentley Intelligence Ltd. Closing of the deal is dependent on the completion of a reverse 1:500 split of the Company’s common stock and the issuance of 150,000,000 post-split common shares to the sole shareholder of Bentley Intelligence Ltd, Alan Bentley. It depends on the requirements to get the CE removed by OTC. Perhaps it is still there due to the lengthy gap in filing of financial disclosures and reports for Q4 of 2010 and the years of 2011 - 2018. When Bentley tried to bring things current on Sept. 26, 2021 he filed annual reports for 2019 and 2020, and through Q2 of 2021, and has subsequently filed the last 2 quarters of 2021. I do not definitively know the answer but does anyone else know whether removal of the CE will require also bringing the reports for Q4 of 2010, and the years 2011 - 2018 current also?

SFIN will not be able to be bought in the US until the Caveat Emptor (CE) designation and status is removed by OTC markets. It can, however, be sold in US accounts. TD Ameritrade still indicates "liquidations", i.e. sales are permitted.

There is. AB is reverse merging his operation into the publicly traded ticker, but he is not going to just bring in assets, capital and actual businesses and just gift anything to the current SFIN shareholders. This is how reverse mergers work and the current holders of the worthless dormant shell rarely end up with much of anything. The RS and simultaneous post-reverse-split issuance of the 150 Million shares to AB is how he gets paid for merging everything in as he will then own 99.7%+ of the newly capitalized entity. The remaining 400,000 post-RS shares will not have much, if any, value to them.

I just don’t understand what the point of all this is if he intends to make our shares worthless. I get that the filings paint a bleak picture, but there has to be more to this.
