THE WOODLANDS, Texas, May 31, 2022 (GLOBE NEWSWIRE) -- via InvestorWire -- SPYR Technologies [OTCQB: SPYR] (“SPYR” or the “Company”), a technology-focused holding company emphasizing the Internet of Things (“IoT”), announced today its entry into a material definitive agreement to acquire GeoTraq, Inc. from NASDAQ traded JanOne Inc. (JAN).
GeoTraq develops and manufactures entirely self-contained and ultra-small Mobile IoT (Internet of Things) modules for asset tracking, location-based services, and sensor modules for remote monitoring. The modules are plug-and-play and include turnkey connectivity to cloud services via GeoTraq's proprietary cloud-based “WebTraq” platform. GeoTraq's mission is to provide “Simple IoT” at a low cost, with ease of deployment, ease of use, and plug-and-play functionality with no product development required of the customer.
“Mobile IoT” refers to managed IoT “Low Power Wide Area Networks” (LPWAN) in a licensed spectrum. SPYR Technologies to acquire GeoTraq from JanOne for $13.5M

SPYR Technologies (OTCQB:SPYR) said Tuesday it will acquire GeoTraq from JanOne (JAN) for $13.5M.
JAN stock more than doubled in premarket trade following the announcement.
The amount was paid in cash and SPYR shares.
At closing, SPYR issued 30M shares and delivered to JAN a 5-year promissory note in initial principal amount of $12.6M.
The note bears simple interest at 8% per annum and provides quarterly interest payments in arrears.
"GeoTraq manufactures self-contained and ultra-small mobile IoT modules for asset tracking, location-based services and sensor modules for remote monitoring," SPYR said in a statement.
The plug-and-play modules include turnkey connectivity to cloud services via GeoTraq's cloud-based WebTraq platform.
GeoTraq's initial product offerings, which are in later stages of development and testing, will be available for deployment in Q1 2023.
"We believe this transaction allows us to focus on our main business... our priority is the development of drugs with non-addictive, pain-relieving properties. This sale will help us continue to fund the necessary clinical trials for JAN101," said JAN CEO Tony Isaac.

SPYR in Mar. said it was in talks to complete the acquisition, saying it would fit well into its IoT division.

Interesting but not really great. Good idea about a non-existing product while not talking about future products. I don't think China is prudent choice for the future. More alternatives to China are coming forward every day, whose tech would be capable and their economic benefits would be equal to Chicom offerings The big question is why tout a non existing product that creates no revenue? Could it be to move stock price? Many companies do that because of weak revenues. This is still an R&D company so really little to no revenue. They are struggling to attract attention in a crowded arena. That's ok but not great. Remember, China smells bad and it won't get better. Many in Asian rim can do tech.

Well another news release. LED light bulbs could be a good thing, especially if they are smart. They would fit well with the security items already offered. They go on to say they "don't discuss their future products," really! Didn't they just talk about a future product. If that's their policy we can only assume their news release is BS. Probably an effort to start the stock on an upward move, ( looks like .032 right now or lower,) probably to trade out a .06 or.07 to then return to the .04 or .03 levels. If people recognize this nonsense instead this could go into the .02s.

All of that and you've said nothing. You've said nothing, No more than Magix's forward looking statement which you so astutely point out is always accompanied with a disclaimer. They have said nothing. Always keep the thirty pieces of silver in sight.
Will SPYR Technologies Close Any of these "Future Aquisitions?" Time will tell.
All these "writing on the wall" releases are either building up to some kind of crescendo... or they're a waste of paper and effort.
Ironically, each time they put out releases of this nature... they include the following disclaimer:

They may not talk about their specific plans, hopes, and dreams, but they certainly seem to point the readers and followers in a certain direction.
And what is that direction? I think it's fairly clear that they have aspirations of becoming something more and bigger than they are.
Will they be able to accomplish what they are obviously intending? That is the principal question. This is why the company's stock is currently trading around a nickel.
If the company was on life support and almost going out of business... as in no one believes they're going to be able to accomplish what they intend... I think the stock would be worth less.
However, if and when it becomes likely that Spyr, Inc. (and AppliedMagix) will become a successful company the shares will reflect this expectation as well. By that time I think the shares could easily be trading between 25 and 50 cents. Hence why people buy, sell, and trade penny stocks.
For now, I guess we'll have to wait and see and continue hoping that they will be able to eventually close an acquisition or two. It should help that SPYR, Inc., is up to date on its filings and audited financials. But we shall see.

I noticed that the OTCMarkets.com website, also reported that the company was under promotion.
If you can't answer that for yourself you are in the wrong place. All great investments go down 40% on empty news. LOL
Should I stay or should I go? Thoughts anyone? Sell or ride it out? I'm down 50 percent
Are you surprised? How much did you expect with little to no market share through inadequate advertising? Having said that, developing companies have little to zero budget for marketing and that's a major barrier to improving the balance sheet. I think their efforts are misguided because I do know how and where they should go. It also takes longer than 2, 3, or 4 quarters. Seems to me you require instant gratifications. Doesn't work that way. Bigger challenge to new developing companies is having enough money to stay alive.
My comments are based on the premise that Joe didn't create this nightmare just to churn stocks, in and out for pennies. I'm not convinced. He seems to go on the cheap with staff and ads.

The Company has been in preliminary discussions with two companies targeted for possible acquisition this year. One company is a well-positioned industrial lighting developer, whose business is focused on the marketing and sale of its proprietary lighting technologies which are widely adopted as the industry standards in the transportation and industrial lighting spaces. The target company has a good track record of revenues and would be a strong fit for the Company.
