The PCAOB does not go over every audit a company does. They pick the ones that most likely are deficient.
The two they chose were red flagged and the company did not respond to the PCAOB's findings.
You don't understand what Fully Executed means? Did Park deliver the goods without getting paid?

When a contract is said to be “fully executed,” it means that all parties to the agreement have fully performed their obligations, or that all of the terms and conditions of the contract have been fulfilled in their entirety.

There is no problem at all.

Ok, enough! This message board is for discussing the company and its stock! If you feel the need to chat, go private. The rest of us don't want or need to see this off topic stuff.
Kool These are different cases but I feel the point at issue is the same: alleged defamation of the company by posters on Ihub. The name mentioned looks like a Serbian name and it is possible that the person who threatened me and others may have been the same. No Canadian company was involved regarding the case I remember. I don't think there were more than empty threads regarding the Chinese company that felt defamed by me and others.
Here's a link that might help your recall. It's been shortened since the mere mention of the names here result in instant deletion on IHub.
https://tinyurl.com/avw5mbpy
In short, the company filed a defamation suit against IHub in Canada which doesn't have nearly the level of free speech protections as we have here. The original plaintiff M____Z (MMG) tried to get IHub to identify numerous members...I'm assuming you as well. Stupidly IHub "responded" to the suit which immediately placed jurisdiction in the Canadian courts. As a result, the plaintiff had a short lived victory which was subsequently reversed.
NOTE: That infamous is run by Serbians and was reportedly the source of recent rumors about another ticker I follow merging with a bogus lithium mining company. Let me know if any of this rings a bell
Hey Duong...if I had any I'd LOVE for you to get stuck with them.
Whoa 2 whole deficiencies. And those are executed contracts smacked ass. Revenues come later like when they actually ship stuff.
Thanks for all the DD proving how right I was.
Love that you are wasting your time.
Lifeless loser
12/31 moron. They didn’t have revenues before 12/31. Stop lying scumbag but thanks for proving my point
$$$$$$$ If 90% of otc stocks never generate a profit and keep going for some years by selling stock it is easy to find losers and difficult to find winner.. Over a few years it is much easier to be proven right if you are a basher than if you are a pumper.
Filings are to be current as of 12/31. Stop lying as I keep blowing up your false claims with facts! SMH

The PCAOB pulled two out of 21 files and they had major deficiencies including potential fraud! Following the PCAOB standards they picked the two most likely to contain material misstatements
Also anyone can look up the firm and see they have had ongoing issues with every PCAOB audit.
Anyone can read the full report from the link below and see for themselves.
Total audits reviewed 2
Audits with Multiple Deficiencies
Issuer A – Health Care
Type of audit and related area affected
In our review, we identified deficiencies in the financial statement audit related to a Business
Combination, for which the firm identified a significant risk.
Description of the deficiencies identified
During the year, the issuer acquired a business and engaged a valuation specialist to determine the fair
value of the acquired intangible assets. The firm’s approach for substantively testing the fair value of
acquired intangible assets was to test the issuer’s process, and the firm used an auditor-engaged specialist to evaluate the significant assumptions the company’s specialist used. The firm did not
sufficiently evaluate the reasonableness of the significant assumptions because it did not identify that
the auditor-engaged specialist did not (1) perform procedures, beyond inquiry of the company’s
specialist, to evaluate the reasonableness of the significant assumptions that were developed by the
issuer and the company’s specialist and (2) evaluate the relevance and reliability of the external data
that the company’s specialist used to develop certain assumptions. (AS 1105.A8a and .A8b; AS 1210.09
and .12; AS 2501.16)
Issuer B
Type of audit and related area affected
In our review, we identified deficiencies in the financial statement audit related to Revenue, for which
the firm identified a fraud risk.
Description of the deficiencies identified
The firm did not identify and evaluate departures from GAAP related to the issuer’s omission of certain
disclosures related to revenue required by FASB ASC Topic 606, Revenue from Contracts with Customers.
(AS 2810.30 and .31)
The firm did not evaluate the accuracy of the issuer’s disclosure regarding the timing of when certain
revenue was recognized, including consideration of contrary evidence included in the firm’s audit work
papers. (AS 2301.08 and .13; AS 2810.03) In addition, the firm did not evaluate whether a promised
good related to this revenue was a separate performance obligation. (AS 2301.08 and .13)
2023 Inspection Approach
In selecting issuer audits for review, we use a risk-based method of selection. We make selections based
on (1) our internal evaluation of audits we believe have a heightened risk of material misstatement,
including those with challenging audit areas, and (2) other risk-based characteristics, including issuer
and firm considerations. In certain situations, we may select all of the firm’s issuer audits for review.
When we review an audit, we do not review every aspect of the audit. Rather, we generally focus our
attention on audit areas we believe to be of greater complexity, areas of greater significance or with a
heightened risk of material misstatement to the issuer’s financial statements, and areas of recurring
deficiencies. We may also select some audit areas for review in a manner designed to incorporate
unpredictability.
Our selection of audits for review does not necessarily constitute a representative sample of the firm’s
total population of issuer audits. Additionally, our inspection findings are specific to the particular
portions of the issuer audits reviewed. They are not an assessment of all of the firm’s audit work or of all
of the audit procedures performed for the audits reviewed.
View the details on the scope of our inspections and our inspections procedures.
The following information provides an overview of our 2023 inspection as well as data from the previous
inspection. We use a risk-based method to select audits for review and to identify areas on which we
focus our review. Because our inspection process evolves over time, it can, and often does, focus on a
different mix of audits and audit areas from inspection to inspection and firm to firm. Further, a firm’s
business, the applicable auditing standards, or other factors can change from the time of one inspection
to the next. As a result of these variations, we caution that our inspection results are not necessarily
comparable over time or among firms.

Filings are due April 1 but I believe they will file for the extension so the 10 K is due April 16th.
Per their P/R's they should be showing hundreds of millions in business.
I wonder if with all the PCAOB issues if Accell Audit & Compliance, PA will actually audit the books.
Let's see if it will be worthy of reporting to the SEC and the US Attorney for New Jersey, FINRA and also the PCAOB.

LMAO. Filings lag and won’t show revenue imo. But nice try and preparing to bash them when they come.
Sort of like all the lies people told about the auditor.
You guys are scum and at least I know you will all burn at some point in the future.
$SPZI Don’t worry guys, I’ll buy @Kool aid man shares… Oh wait, he has none.
$SPZI all day , let’s get rich baby
It’s easier to put on ignore then to deal with the same bashing crap as before.
Just wondering if the few that are always bashing ever find something they thing is worthwhile and not a scam and share that DD? Seems like they are posting almost non stop even through the weekend so I have to ? the motive. This is a serious question because some say they have never been incorrect and have incredible track record but do you ever share winners? We know most of these companies are major gambles so always posting a bash is really taking the easy side.
Kool I have nothing like total recall. I cannot even recall the ticker. I remembered it for quite a few years but no longer. What I remember is that I contacted Ihub about it since they know my identity. I forget if I received reassurance that it would not be communicated to the person who threatened me and others.
SPOOGI is a good sponge money. Everyone mortgage your homes cause they have fantasy land billion dollar contracts.
You just did jackass!
Just wow!!!
Was that threat from Miroslav Ze....vic?
Sorry for your loss.I believe your intentions
are righteous. Playing the stock market, especially the OTC, is high risk poker ... with very few winners.
You talking about I-Blow, right?
;)
C'mon now, he can't be the biggest asshole you have heard, well maybe? What about seen? There are bigger and badder assholes than him.
You're the biggest asshole I've ever heard.
hahaha
Kool Regarding criminals I had an unsettling experience more than 10 years ago. A 7-Eleven type of chain stores in China got its shares traded in the USA like a lot of small scammy Chinese companies. It turned out that the dilution of the stock was almost endless. I pointed this out in negative posts. That company had a Serbian criminal to defend their interests and there came a thread that both I and some others would be sued by the company because of our negative posts. I did not present any factual assertions about the company but suggested that the endless dilution was negative. I was not sued as far as I know. I live far from the USA.
Excellent, informative, educational...no pumpers will read or heed any of it....
FEELING BULLISH AF ON A SATURDAY
GO $SPZI
My point is 100% of the companies I investigate and criticize have been utter garbage run.by con Men and grifters at best and criminal scams at worst...including the Russian mobster Brothers Boris and Michael Vax who threatened and murdered people that crossed them.
As you pointed out maybe 10% of penny stocks are legit and run by honest, ethical people who seek to reward their investors. I don't think this I one of them. But they are free to prove me wrong.

Why do you bother to post literally nobody pays you no attention. Negative Nancy

There isn't any contracts.

I though IHUB pays bashers so the idiot pumpers will respond with their ignorant comments so others will enjoy the free entertainment.
Agree 100% $$$ JP3E $$$$💯💯
Kool Aid Man I had you oisn ignore but I decided to check if I was mistaken. "Joke? Wanna do an autopsy on each other? I'll put my 17,415 posts up against the 24,629 pump posts you have flogged since 2012 and see who has been right more often. Based on the sheer volume of stocks you hype I'm sure you've had some winners but I guarantee you've been wrong far more than right. And that means you're responsible for duping countless schmucks into being hapless bagholders from all the garbage that you've promoted. A quick sample quickly proved me right."
I have read that 90% of otc companies never become profitable as far as I remember. In such a situation it far easier to pick losers than winners. I assume you know this. Is this kind of competition fair? But if 90% are losers 10 % could be winners.
If Bashers knew which stock company will grow … then they wouldn’t be here 24/7 bashing. They’re trying to take advantage of the situation and try to short.
Why would a bum stay here all day trying to warn us about this so called “scam” company. They obviously want something out of it. You guys simply replying to them will feed them fuel and attention.
If you believe in a company with your due diligence, then you are investing in the company. If you are listening to others, then you are a trader.

CLEARWATER, FL / ACCESSWIRE / December 21, 2023 / Spooz, Inc. (OTC Pink:SPZI) announces the release of the following shareholder letter:
Dear Spooz Shareholder,
By now, you are aware that I recently became the Chairman and CEO of Spooz. I am a 63-year-old Korean businessman and a US Citizen. I received my MBA from Rutgers University 24 years ago and have headquartered my businesses in the US, mostly in NJ, which includes Student Housing for Rutgers University students, Residential Multifamily apartments, Education and Day Care centers for children as well as a Multi-National commodities business. I have shipped over 160 Containers previously, and Commodities like Sugar, Chicken Paws and Liquefied Natural Gas (LNG) are not new to me or my organization. My relationships include counterparties and investors from South Korea, Germany, China, Philippines, and Brazil, just to name a few. It has taken me decades, not days, weeks, or months, to build these relationships.
I chose to merge my commodities trading businesses into SPOOZ, Inc. as being a public company to provide transparency and publicly recognized value, when dealing with foreign governments, energy, and utility companies, as well as commodity manufacturers and buyers. The previous transaction that was negotiated with Nate's Foods fell apart at the last minute. The reasons are not important. I do not own any shares of NHMD and I wish them well in their endeavors. As a matter of fact, I do not own a share of any public company, and I have never been a Stock investor or "penny stock" owner. I build businesses that create value for my investors, and I intend to do exactly that for all SPZI shareholders.
In the coming days, I will demonstrate the contracts that have been signed, financing that is in place, and the revenues and margins that I anticipate for SPZI. I have one goal and that is to build sustainable businesses under the Spooz umbrella, creating value for all shareholders.
In order to execute on my contracts, I have to travel extensively, both domestic and abroad. Please do not expect me to answer shareholder phone calls or texts, as there are not enough hours in the day to do so, and as Chairman and CEO of a public company, I cannot discuss material non-public information prior to dissemination to the public. I will be appointing an Investor Relations person in the very near term. I have engaged the services of attorneys, a PCAOB Auditor, as well as the CEO of a FINRA member Broker Dealer to guide me in the public company arena. I assure all shareholders of transparency, integrity, and my absolute focus on creating value for all. Click the link below to read my full bio: http://www.Twitter.com/SpoozInc
