Roaming Messenger Signs Exclusive Technology Licensing Deal

SANTA BARBARA, Calif., Sep 22, 2006 (BUSINESS WIRE) -- Roaming Messenger, Inc. (RMSG, Trade), announced today that it has entered into a definitive licensing agreement for its mobile messaging technology and related intellectual property portfolio.
On September 18, 2006, Roaming Messenger entered into a ten year Exclusive Technology Licensing Agreement with Zingerang, Inc. Under this agreement, the Company grants to Zingerang an exclusive, worldwide, sub-licensable, transferable, royalty-bearing right and license to the Roaming Messenger technology and related patent portfolio. In consideration for granting the license to Zingerang, the Company shall receive an ongoing royalty fee equal to five percent (5%) of Zingerang's gross sales, to be paid quarterly. The Company will immediately receive a one time payment equal to $100,000 as a recoupable advance against the royalties. During the term of the Agreement, Zingerang may, at its sole discretion, pay to the Company a one-time royalty payment of $500,000, in lieu of ongoing royalties, less certain patent application fees.
Additionally, the Company participated in Zingerang's founder round of financing where it acquired forty million (40,000,000) shares of common stock in Zingerang, which represents a large minority position, for a total investment of $10,000.

5. COMMITMENTS AND CONTINGENCIES
Jonathan Lei and Bryan Crane have been indicted by a federal grand jury in February 2006, alleging that they conspired to commit securities, mail and wire fraud in connection with an offer for private funding made to Roaming Messenger Inc. over a year ago, in February 2005, by a fake investment fund formed by the Government. The Company did not obtain any funding from the entity or the management company that were posing as prospective investors. Mr. Crane and Mr. Lei pleaded not guilty to all charges on February 17, 2006 and intend to defend themselves in court. There is no assurance regarding the outcome of these cases. Mr. Lei will continue his duties as chairman and chief executive officer of the company and Mr. Crane will continue as part-time vice president of corporate development. While management does not believe the cases will have a material adverse impact on the business of the Company while they are pending, there is no assurance that they will not ultimately have a material adverse impact. The Company was not named in the indictment.

I was looking at RMSG, with the possibility of a lowball order at Year-End to enter a position until today's announcement (Cronelll financing--toxic convertibles). I will invest elsewhere.

I sent off an e-mail to them to have them explore the use of RMSG for power plants. They need emergency call outs when something happens at the sites. Could be huge market.

RMSG, i spoke with The IR guy ..............
His name is Bryan Crane. Bryan didn't give specifics but he said that they are done with the product development part for now and are ready to makes sales and revenues. The next 6-8 weeks will be very good for everyone. Sales are backlogged.
Float was around 2 million earlier this year, With some of the Form 144 sells lately he said its probably closer to 10 million in the float now.
I will be holding and adding this one.

RMSG, take a look at this..........follow my lil story hahahaha
*in Feb 2004, RMSG hit 3 bucks and spent the month at 1 dollar or higher- As of February 10, 2004 the number of shares outstanding of the registrant's only class of common stock was 165,214,696.
*from March to mid-May RMSG was in the 1 dollar to 2.50 range........
As of May 10, 2004 the number of shares outstanding of the registrant's only class of common stock was 171,823,765
So with 171,823,765 OS RMSG started to drop severely starting in mid-May. The question I have is why did it drop? Well, one thing we can rule out is that the company was dumping shares. Look at what the OS is as of Aug 31st and was just recently confirmed by RMSG investor relations.
There were 172,399,615 shares outstanding of the registrant's Common Stock as of August 31, 2004.
So, after this long-winded post you can see that RMSG news with Microsoft was huge today imo and rumours are we will get even more news soon. RMSG was trading in the $1.00-3.00 range during the course of this year with almost the same number of shares OS as there is now. The news will only get better imo as RMSG signs with other big name companies(check the prs, EDS Motorola, Samsung and RIM who makes the Blackberry.)My opinion, 1 dollar minimum coming soon and possibly 2-3 bucks if the news continues!

Through this certification, Microsoft has granted Roaming Messenger the right to use and include the "Designed for Windows Mobile" logo on associated Roaming Messenger product packaging as well as product marketing materials.
