CXKJ(.155)...Yananju Group is possible acquisition target......

When CXKJ first went public it mentioned that M&A activity would be a major part of its growth plans. I think they were planning to do at least a couple/few acquisitions per year. According to the corporate website, CXKJ has officially started talks/negotiations with other companies here in the month of August......

......One of the companies that CKXJ has had negotiations with about 2 weeks ago is Boster Group. That company is involved primarily with organic apples, fertilizers and branded drinking water. Its operations look fairly sizable based on articles, photos, and videos I have seen.

In addition to Boster Group, it looks like CXKJ is very much interested in acquiring Yananju Group. CXKJ management toured the Yananju facilities on October 7. That company is well-established in the edible birds nest industry (EBN), and the CEO seems to be well-respected in the industry.

I am not sure what kind of revenue they generate, but like Boster the operations/facilities look sizable and impressive from what I have seen. The $100-150M industrial park that Yananju jointly built a couple/several years ago apparently has a 250-ton capacity for processing EBN. From what I remember while reading a recent article about the company, the park should be fully functional by now and 2022 is the first year when processing activity has started to really ramp up. Through the first 7 months around 19 tons of material had been processed. The company is already looking to expand its processing/sourcing capabilities. In early August, Yananju entered into a cooperation agreement to build large-scale processing infrastructure in Cambodia for export of EBN to China.

Kind of worth noting: One of Yananju's larger competitors in China (Yanzhiwu Biological Engineering) had filed for an over $140M IPO in China back in December. That IPO application was withdrawn recently. According to its IPO filings that company generated over $180M in revenue during 2021 and was operating at 90% capacity.

QMEI...Esther Law's departure......

QMEI, Potse did you see this? What's your take? Looks like a hostile ousting of her, wonder what is going on behind the curtains.

The language/tone in that news item from QMEI certainly makes it sound like this was not a very amicable separation between Esther and the company. I am not really sure what is going on with that situation, and not really sure what to think about it.

I've noticed that it has been quite awhile since Esther has mentioned anything about QMEI on her social media account. It seems like after the new CFO was brought in around the middle of August almost all of Esther's attention in the last couple of months has been directed toward other parts of her business world and other aspects of her life.

The filings don't give a specific breakdown on what Esther's ownership position in the company was, but I am thinking she probably had indirect ownership of around 20%. It will be interesting to see if the CEO acquired her position or if a third party investor has entered the picture.

Definitely an unexpected, eyebrow-raising development. Activity at this company seems to be picking up.

HLTT...Paul Mann's ASP Isotopes expected to IPO this week......

Perhaps worth noting: Ever since HLTT issued 25-cent stock options to a debt holder on September 6 (the stock was trading around 20 cents at the time), and SPK had its extension vote on September 9, HLTT has quietly doubled in price. HLTT's ownership position in Varian Biopharma probably is not all that significant if you look at it from just a purely/overall fundamental perspective. But it probably does have some market awareness and psychological significance when you consider that one of the OTC investment themes that has garnered some increased interest recently has been with OTC stocks that have some connections to Nasdaq stocks. The HLTT/Varian/SPK connection is one that very few investors are probably aware of at the moment.

ASP Isotopes is expected to have its IPO this week. Paul Mann is the co-founder and Chairman/CEO of that company. Mann is also the Chairman of Varian Biopharma. ASP Isotopes and Mann might receive some significant attention from investors/traders over the next few weeks or so.

Perhaps worth noting: Paul Mann is also the Chairman of HLTT. And like the connections I noted in the above post, very few investors are probably aware of that.

QMEI...$650K private placement in Besra Gold......

The acquisition of the position in Besra Gold actually turned out to be much less expensive than I had thought. According to the Supplemental filing that QMEI made on 9/28, the $5M price tag on that position was in Australian dollars. Which works out to be only a little more than $3.25M US dollars. Also nice to see that they got a 3-month option to pick up an additional 20M shares if they want to.......

According to the Besra Gold press release today, QMEI has invested $650K into Besra via a private placement. Based on the language in this press release, QMEI will likely become further involved in the financing of Besra (either directly or indirectly).......

Perth, Western Australia, 10 October 2022 - Besra Gold Inc (ASX: BEZ) (Besra or the Company).

Besra is pleased to announce that it has signed a Subscription Agreement with Quantum Metal Recovery Inc. (Quantum), a substantial shareholder of the Company, for the issue of 11,111,111 new CDIs to raise A$1,000,000.

The CDIs will be issued pursuant to the Company’s existing capacity under ASX Listing Rule 7.1 at an issue price of A$0.09 per CDI and will rank equally with existing fully paid CDIs on issue. This compares with a closing price of A$0.032 per CDI on 7 October 2022, the last day of trading.

Proceeds from the placement will be used to fund activities at the Bau Gold Project and general working capital.

The Placement was negotiated with the assistance of Noblemen Ventures Limited, a Sydney based investment and corporate advisory group. Besra is also in advanced discussions with Quantum concerning broader funding support of Besra’s activities though there is no assurance that such discussions will result in binding agreements.

This placement follows Quantum having acquired a substantial shareholder interest in Besra, as announced to the ASX on August 24, 2022. Quantum is a US-based corporation and part of a group whose principals are based in Malaysia, with strong relationships to Sarawak stakeholders including within the district of Bau.

Besra’s CEO, Dr Ray Shaw commented:

“Quantum has with this Placement shown a clear commitment to support our exploration and development strategies at Bau and we welcome their increased investment in Besra. This is all exciting stuff. The thing about that Nasdaq listing plans is that they need to come up with audited financials or at least start them sooner than later if they wanna uplist in the near or mid term future. That's what I'm waiting on for a while now.

This is some serious stuff on these numbers. My goodness, on a 300k float. What they could do with that if they wanted to. I just wish they would start to communicate more with the markets.

Definitely would be nice to see the company expand its investor relations efforts and attract a broader audience.

Revenue: QMEI's revenue numbers could get quite interesting over the next couple of years as it adds new countries/markets. If the last four months are not an aberration, QMEI might be on pace for around $480M or higher in fiscal 2023 revenue. The company changed its fiscal year end, so by subtracting the Q3 nine-month number (May 31) from the 2022 annual number (June 30) it shows that QMEI had more than $43M revenue for the month of June. In the previous 3 months (March-May) the company averaged a little over $38M per month.

Pursuant to the Agreement, the Seller granted the Company 28,571,429 Besra CDIs in exchange for $5,000,000 AUD at 17.5 cents per share, and the option (the “Option”) to purchase 20,000,000 CDI’s (“Units”) exercisable at any time within three (3) months of closing of the Agreement.

Nasdaq: Over on the QMEI board I had posted about some videos from late January 2022 in which the CEO had made some references to a Nasdaq listing. About a week ago I noticed a video from September 2021 in which he talks more extensively about Nasdaq. This video is somewhat easier to hear/understand than the others, but again the accent and language differences leave some things open to interpretation. It is from more than a year ago so obviously plans may have changed, but it might provide some glimpse of what management is thinking with regards to Nasdaq.

The CEO first appears around the 21 minute mark and starts speaking english roughly around the 21:30 mark. Not all of his answers are in english. A few things of interest that caught my attention during this video.......

1) Based on the first part of the video, QMEI is/was planning to offer 10M shares in private placements to its members/consultants/associates (prices in the $1-1.6 range). The woman in this part of the video makes an interesting comment. She notes that the company has a price projection/expectation of $20 within 1-2 years of the Nasdaq listing. She says the company would have a valuation of 1B at that price, which implies the outstanding shares after its Nasdaq listing would be 50M. I got the sense from that comment that management is very much interested in keeping the share structure relatively low.

2) The CEO repeatedly says a $5-8 share price upon a Nasdaq listing will be a "conservative" number based on the business model and financial performance. He repeatedly states that at $5 QMEI will have a P/E ratio of 5 when it is trading on the Nasdaq. I think I remember him mentioning that 1-2 year $20 price target in one of his answers.

3) I think I heard him say that any proceeds from the Nasdaq listing would be used to start a gold bullion bank in Australia.
