Resin Systems Signs Long-term Composite Pole Distribution Agreement

Resin Systems Inc. (RSI) (RS-TSX Venture / RSSYF - OTCBB) and its operating division, RS Technologies Inc. today announced the signing of a long term comprehensive distribution agreement with EECOL Electric Ltd. ('EECOL'). The agreement provides for the
distribution of the power, lighting and communications utility products being produced by RSI utilizing the company's patented 'Version'resin systems. The initial region covered by this agreement includes the provinces of Alberta, Saskatchewan and Manitoba. The agreement contains sales performance criteria and growth objectives, which are aligned with RSI's overall sales targets.
EECOL www.eecol.com, which is headquartered in Calgary, Alberta, has a global presence with 63 branches located in the Americas (north &south) with a specific focus on Western Canada. The total direct staff includes in excess of 700 employees, making it one of Canada's largest distribution companies in its sector.

ing and fair value of C$2.00.
According to analyst Brian Tang, CFA, Resin is undervalued based on discount cash flow valuation using what Fundamental believes to be conservative assumptions.
Other investment highlights mentioned in the initial report, available free at www.fundamentalresearchcorp.com and www.investrendresearch.com, include the competitive advantages the company's patented Version resin possess relative to other resins, including higher strength and lighter weight. The company is focused on successfully commercializing end-products manufactured with Version such as utility poles and hockey sticks.
The report estimates that the North American pole market alone is worth some US$27.2 billion with about 4% of poles needing to be replaced each year. Resin's composite poles possess superior qualities relative to steel, concrete, and wooden (which currently make up 80% of the market) poles which allows utilities to install the poles using less manpower and lower life-cycle costs. They have already received two orders.
Resin's competitive advantage over existing composite pole manufacturers is that its poles are up to half the weight of existing composite poles. The report also mentions that the company has entered the US$600 million hockey stick industry. According to the analyst, it is now common to see composite sticks break during crucial moments in hockey games. In a study conducted by the University of Ohio, on Resin's composite sticks made with Version, the researchers found that Resin's sticks were up to 5 times stronger than of some of the composite sticks currently in use by professional hockey players.
The analyst assigned the stock a risk rating of 5 (Highly Speculative) as success is dependent on management's ability to successfully market end-products it currently does not have a history of producing.

Resin Systems has signed a continuing joint venture agreement with
Euro-Projects (LTTC) Limited (EPL) for the joint venture to have the
"exclusive worldwide right for the commercialization of existing and all
future technologies" as developed or being developed by EPL.
Based in Rothley, England, EPL is a highly recognized research and
development engineering design company that specializes in the use of
advanced composite materials. The firm is a recognized leader in the design
of advanced composites, and has extensive knowledge of both thermosetting
and thermoplastic based composites, manufacturing processes, structural
design and composite applications across a broad range of industries

EPL and its collaboration partners have, and continue to develop, composite
technologies in both industrial and consumer sectors. Industrial products
currently focus on infrastructure and transportation-related applications,
and consumer products focus on recreational applications. The various
patented and/or proprietary technologies within each of these market
segments will be disclosed on a continuing basis as they are being
incorporated into RSI's business planning.

Let's say we were partially correct when we stated in the last edition of INSIGHT that "we expect there will be a considerable amount to discuss in the next edition".
As is well known, the Company announced on August 5th that it had received all approvals and was now trading on the OTCBB (Over The Counter Bulletin Board) under the symbol RSSYF. This will make it much easier for Americans to trade the stock. The sponsor and market maker is Source Capital Group.
Under the U.S. system, there is a quiet period, which only allows one market maker to participate in the market but we are told that as of this coming Monday the field is wide open and two other companies are prepared to participate.
This comment should not be interpreted as the signal that there will be an imminent flurry of U.S. trading activity. It just means this is part of the current process of growing the awareness base of RS in the United States and there will be more eyes on the market.
A key statement in the news release (click to read) was "RSI's objective is to qualify for a listing on a major U.S. Exchange on the premise that corporate growth will ultimately enhance the fundamental value of its business and subsequently the Company's market valuation."
This statement clearly expresses the Company's long-term objective. Of course we all know that business results must be the catalyst for this goal to be met.
The news release also stated that RSI will start shipping utility poles by the end of August in conjunction with its contract with NorthwesTel for the supply of 450, 30-foot poles. These poles are being produced on a prototype machine in existing facilities, as an additional production facility and equipment are being prepared. This plant, located in Edmonton, is scheduled to be commissioned by the end of November.
We know there is considerable anticipation in the market for news about a variety of matters that have previously been discussed by the Company. All we can say is that President Greg Pendura is again on the road, having very recently returned from a two-week trip through the United Kingdom, Europe and the United States. All we can tell you is that this current trip is not an R & R jaunt. While it would be impressive to witness the ongoing level of activity behind the scenes at RSI, the results that eventually come out of the pipeline are all that count.
It's clear Golden Capital's analyst Rob Peets is anxious, like everyone else who is watching the Company, based on his latest report (click here). His focus was the third quarter financial results and revenues compared to increased R & D and General & Administrative costs.
On the other hand, he discusses the "robust" investor support of the stock, which is evidenced by the fact the price has been holding in well even in the absence of a string of strong announcements.
All we can tell you is that everyone around RSI is going flat out and weekends are just an extension of the regular workweek. Management is extremely anxious to be in a position to deliver the news we all want and that is the singular objective.

RESIN SYSTEMS UPDATE: U.S. LISTING - POWER POLE MANUFACTURING
Resin Systems has received all necessary approvals and is fully listed on the OTC Bulletin Board trading under the symbol RSSYF.
The company's listing in the United States is complementary to its listing in Canada on the TSX Venture Exchange and is in recognition of existing U.S. shareholders as well as a substantial number of Americans, which are known to be following RSI's progress. The company is currently in the process of expanding its investor relations activities for a U.S. audience. Source Capital Group (www.sourcegrp.com) has provided U.S. sponsorship for RSI.
RSI's objective is to qualify for a listing on a major U.S. exchange on the premise that corporate growth will ultimately enhance the fundamental value of its business and subsequently the company's market valuation.
RSI also reports that in regard to its previously announced order from NorthwesTel (see news in Stockwatch of June 17, 2003), the company is currently in production of these utility poles with shipping of the order to be under way prior to the end of August. The agreement calls for the delivery of 450 utility poles of 30 feet in length to facilitate a 38-kilometre fibre optic installation in the Northwest Territories.
The NorthwesTel utility poles are currently being manufactured at RSI's existing facility in Edmonton, Alta. The company's new production facility in Edmonton, with annual capacity of $50-million, will be completed by early September.

Setting the stage for growth, in the past six months RS has completed a $3.0 million, 6.0 million unit private placement financing. That financing, by the way, was oversubscribed and after-market buying drove share prices from the $0.50 offer up to the $1.50 range
The company has also acquired patented pole manufacturing technology from Canzeal Enterprises Ltd. and is now setting up a manufacturing facility that combines the Canzeal manufacturing process with the Resin Systems resin to make superior utility poles.

We're going to take this as a very direct vote of confidence for Resin Systems in that the Company informs us that all of the $0.60 warrants that expired at the end of June have been exercised! The treasury will be injected with $2.25 million of new equity, which combined with cash on hand of about $1 million will cover operating costs well through 2004.
Also keep in mind that RS completed a non-brokered $3 million financing in only a few weeks last December during a dismal period for the stock market. People speaking with their cheque book is a pretty direct message to the market.
While some may disagree, we are quite happy with the fact the stock has held in nicely in the $0.75 to $0.90 range over the past couple of months. While we know a good number of people wrote cheques to exercise their warrants, there also were people who would have been selling stock to raise the cash to exercise those warrants.
That being said, we've certainly had calls from people wondering why market performance hasn't been better considering that the Company recently announced its first power pole order with NorthwesTel, a subsidiary of Bell Canada.
First and foremost, as the amount of stock that was going to be sold to exercise warrants was unknown, this introduced a level of uncertainty into the equation.
Secondly, the market wanted to see if there was still a strong confidence level in RS with people who did hold the warrants. At least now those questions will have been answered.
We've been following the considerable chat on the Bulletin Boards about RS and certainly some of it shows that a few people haven't taken the warrant matter into account and its impact on the market. We said a couple of months ago that news would start to flow in June and that's what has happened. We didn't say the market was going to go head over heels!
Some folks view it as a dismal scenario when good news is released and a stock doesn't surge. We believe the announcements in June helped stabilize the market and created very good trading activity, which in turn convinced people to exercise their warrants.
Now, we're not oblivious to the fact that everyone is focused on sales and this is exactly the type of news people are awaiting. We're just as anxious to see ongoing announcements about revenue generation whether it be from power poles, hockey shafts, sales of Version resins to manufacturers of other products or what-ever. We can assure you that management is acutely aware of this fact and has not been sitting on its laurels.
Keep in mind that when one puts in context all the announcements that have been made since the start of this year, they point in one direction. Resin Systems is a company in "transition" moving from R & D to commercialization. It is not difficult to appreciate the amount of work that is involved in creating an infrastructure, staffing, planning, financing, marketing and sales programs etc. and the considerable time involved to pull all these pieces together.
We're not saying shareholders and the market shouldn't keep the pressure on the Company to perform. This is just a case of being mindful of the multitude of tasks that have already been completed and the many tasks involved in creating a "business".
Resin System's greatest strength and its greatest weakness is the aspect of "expectation and potential". RS completed that $3 million financing in December and people exercised their warrants because of an emotional belief in the potential of the Company. On the other side of the coin, patience grows thin when it comes to expectation as no matter what, things never happen soon enough. We understand this is the reality of the market especially for a company that has "bluesky" around its name as does RS. We also appreciate the RS story has been unfolding for quite some time and the Company has had its ups and downs over the past several years, which creates a level of anxiety in itself.
The Howard Group and people within the company have been shareholders since February 2000 so we are not immune to having our own expectations but we also try to keep things in perspective.
In the last INSIGHT we said that RS had received a very favorable report from the Alberta Research Council in regards to the properties and characteristics of the urethane based patented Version resin compared to polyester resins. The Company issued a news release on June 24th summarizing the independent testing by ARC (click here).
Was this considered ground-breaking news? Probably not! However, it was information people have been waiting for as it serves as additional confirmation of the resin's attributes. This type of news isn't going to move markets but it's still important in the grand scheme of things.
We've also had questions about the status of the filings made by Source Capital Group with the Securities and Exchange Commission and when RS expects to receive approval for its listing on the Over The Counter board in the United States. All we know is that the paperwork is moving through the SEC and hopefully the Company will receive a favourable response towards the latter part of the month.
In anticipation of an OTC listing, RS is just starting a program with the large U.S. based financial/marketing web site, ceocast.com. The organization is beginning to introduce RS to its substantial subscriber base with plans being that the program can become more aggressive once the OTC listing has been approved.
For those who may not quite understand why RS wants to obtain the U.S. listing, it comes down to gaining access to the large market in the United States. While it has always been easy for Canadians to buy U.S. stocks, the reverse is certainly not true especially for microcap companies.
Should the powers that be smile upon RS, we could be looking at a situation where corporate developments coincide with the U.S. listing, which in turn will provide impetus to a market awareness push in the United States.
On a closing note, NVS/RS will be very busy next week as NVS is the official sponsor of the World Inline Cup in Edmonton July 8th to 13th. 10 countries are fielding approximately 104 teams comprised of a thousand athletes.

Resin receives report comparing urethane with polyester

POSITIVE ATTRIBUTES OF RESIN SYSTEMS VERSION URETHANE RESINS VERSUS POLYESTER HIGHLIGHTED IN NEW INDEPENDENT EVALUATION BY THE ALBERTA RESEARCH COUNCIL
Resin Systems has received a positive report dated June 10, 2003, from the Alberta Research Council, detailing a number of property characteristics of the RSI urethane resins in comparison with polyester resins used in the composite materials industry.
The testing evaluated the Version resins against polyester resins for the pultrusion and filament winding sectors. Quoting from the summary report it was stated: "It was found that for pultrusion, dependent on the profile, the material could be processed at two to four times the speed of other resins being used in the industry. The potential increase in productivity, combined with the widely recognized superior mechanical properties of urethane resins at a reasonable cost, promised to make RSI's resin a truly superior, breakthrough product."
The summary report continues that: "A significant potential market for the use of Version resins is the composite process of filament winding. The largest market in the filament winding composite industry is the manufacture of small diameter pipe and tubing. This tubing is used in a variety of industries but its primary use is underground pipe where high strength and inherent corrosion resistance are important characteristics. The primary pipe markets are petroleum exploration and production and chemical plant construction. Other filament winding applications include water softeners, water heater tanks, large diameter pipe, electrical components, utility poles and pole extensions."
The testing process compared Version and polyesters for tensile strength and tensile stiffness, flexural (bending), interlaminar shear (stress) compression and impact, as well as a series of other items such as density, thermal expansion and molecular changes under a series of varying conditions.
On the basis of testing where no fillers were added to Version resins, the ARC found RSI's resin was superior by the following percentages compared with polyester.

In another area, RSI has received preliminary data from an independent laboratory commissioned to study Version characteristics under high voltage testing. The company reports that: "Test results illustrate that RSI's electrical insulating product does not burn under dry and wet conditions and also only allows an electrical current to flow that is 10 to 20 times lower than what a typical human being can sense or feel. These initial test results reveal that RSI's Version resin may be suitable as an electrical insulation alternative or replacement subcomponent used in the manufacture of many of the popular lightweight insulation products utilized today by most North American electrical utilities."
RSI also announced today that Source Capital Group with which it has signed an agreement for United States sponsorship, has completed its filings with the Securities and Exchange Commission. This is the final step for RSI to acquire a listing on the OTC Bulletin Board.

"We assure you that news will be forthcoming very soon" is how we started the last edition of INSIGHT. Indeed there were two announcements in the previous two weeks, but it was the most recent piece of news that was most important to shareholders.
"Resin Systems Secures First Order For Utility Poles" summed up what people had been anxious to read ever since the Company announced some months ago that it was moving into the power and utility pole market based on the advantageous properties and characteristics of the patented Version resins. To read the release (click here).
There has been considerable discussion on the Bulletin Boards about the announcement. Generally speaking, RS received a lot of "attaboys" for securing its first order. On the other side there has been comment that "it's a small order". Yes that's true, but it's not a bad start. We think it was unrealistic to expect that RS was going to nail the big one right out of the chute.
Personally speaking, it was very nice to see that NorthwesTel is a subsidiary of Bell Canada, which brings additional credibility to Resin Systems.
A very important point was made in the news release by Rick Moses, Manager Access Implementation for NorthwesTel. To quote, "Cost savings using the RSI poles were the ultimate factors in the decision to use RSI Composite poles over steel poles."
This point is not to be missed and should be remembered by all in the future. At the moment, the RS pole may not be the most economic choice strictly on a pole to pole (especially wood) dollar comparison for shorter lengths. However, the installation process and associated labour costs are a major factor when calculating "the real cost of putting a pole in the ground". In addition, once the pole is in place one must ask what are the future maintenance costs for poles made from traditional materials compared to the RS Composite pole.
As it relates specifically to the deal with NorthwesTel, installing 450, 30-foot poles along a 38-kilometre stretch was going to be a gargantuan task because of rock layers that were close to the surface. NorthwesTel's buying decision was based on far more than just looking at the cost of a pole.
We noted with interest the comments of a Bulletin Board poster who goes by the nom de plume of "hydroguy", as it's clear from his comments that he knows the power/utility industry. If memory serves us correctly he works in the sector, based on one of his previous message posts.
While he discussed pricing on 30-foot wood and concrete poles, it was this statement that caught our eye; "Bell uses short poles because all their lines are shielded. Hydro will typically use much taller poles up to 65 to 70 feet in some cases. The cost of these poles goes up exponentially."
Bingo! It is our expectation that as the RS story unfolds you will see the Company's growth accelerate by its ability to exploit the segment of the market that requires taller poles, which brings with it high margins. If one accepts the premise that RS can provide a Composite product compared to traditional materials for the "tall pole" segment that:
1) is lighter
2) can be built in components for easy on-site assembly
3) is easier to transport, especially into difficult environments
4) is less expensive strictly on a pole to pole comparison
5) is environmentally friendly and
6) delivers installation and labour savings,
it then becomes a little easier to envision a key thrust of the marketing and sales program.
While the exact amount of the contract value was not disclosed in the news release "for competitive reasons", President Greg Pendura did say that it is "generally in the magnitude of some hundreds of thousands of dollars". We hope people can appreciate that RS is balancing protecting the business with the demands of the public market. While we understand and fully appreciate why people would like all the specifics of every deal, don't be surprised to see Resin Systems take a "balanced cautious approach" to the amount of pricing detail it will provide on future contracts.
Before anyone emails or calls asking for a hint on "when's the next pole deal", the answer is we don't know. There's still work to be completed before RS is in a position to launch an all out marketing program for the hydro and utility sectors. However, key components have been completed in relation to new technical and property characteristic comparisons of the patented Version resins versus competitive resins. Notably, RS has just received a very favorable report from the Alberta Research Council. We expect RS will be releasing this information in the very near future.
While we're saying the big push hasn't started, don't misread that the Company is sitting on its laurels. There are targeted initiatives currently underway but the big program is not quite ready to launch.
Also don't lose sight of the fact that Version has a multitude of potential applications and uses far beyond power poles or hockey shafts. Should the planets align in proper fashion, the Company could have some interesting things to say in July!
Now to other matters. On June 9th NVS/RS announced (click here) that NVS would be the official sponsor of the World Inline Cup being held in Edmonton July 8th to 13th. This will be terrific exposure for NVS as 10 countries are fielding approximately 104 teams comprised of a thousand athletes. The sponsorship fits perfectly into the current NVS marketing plan of focusing on associations and organizations as compared to retail distribution.
For those not familiar with inline hockey, it's a little like hell on wheels. We are told by NVS that the number of people playing inline hockey dwarfs the number of ice hockey players.
In the same news release, RS announced that Douglas Grindstaff (see news release of July 29, 2002) will spearhead international sales and marketing for NVS sporting goods as well as for Composite poles and light standards. RS and Mr. Grindstaff will shed more light on this role in the future.
As a "nice to see" (click this link for the SEHL website) and then Player of the Week and you'll see a lot of NVS logos. Then click on the photos and lo and behold, an NVS shaft is front and center.

For those who may have missed it, Roundtable Research recently issued an extensive report on RS (click here). The report has also been distributed by Roundtable to its subscriber base of about 60 thousand, with the majority being in the United States.
On the subject of $2.25 million worth of $0.60 warrants that are due to expire at the end of June, as of this writing RS has received several hundred thousand dollars from the exercise of warrants. Based on what RS is being told by warrant holders, it appears that the Company should receive at least $1.5 million from the warrants. As we said in the last INSIGHT. Resin Systems receives utility pole purchase order

RESIN SYSTEMS SECURES FIRST ORDER FOR UTILITY POLES
Resin Systems has received a utility pole purchase order from NorthwesTel (www.nwtel.ca), a subsidiary of Bell Canada.
The agreement calls for the delivery of 450 utility poles of 30 feet in length to facilitate a 38-kilometre fibre optic installation in the Northwest Territories. Resin Systems will not release the specific amount of the purchase order for competitive reasons.
However, president and chief executive officer Greg Pendura, stated that: "We are obviously pleased with this first order, which is generally in the magnitude of some hundreds of thousands of dollars. Delivery of the poles will start in July as our Edmonton manufacturing facility begins to rampup towards initial production capability."
RSI in association with its recently announced European engineering design firm collaborated on the engineering and specification work for the design of the utility poles. As contained in news in Stockwatch dated April 30, 2003, Resin Systems had signed a definitive agreement for the "design, engineering and specifications for composite utility poles in glass fibre reinforced polyurethane resins."
Rick Moses, manager access implementation, NorthwesTel, stated: "Our purchase of the new RSI composite poles is a very exciting situation for NorthwesTel. Based on the specs given by RSI and its sales department, I believe firmly that RSI poles have tremendous potential to alter the landscape in the overhead utility line structures industry. RSI poles combine an extremely lightweight pole with incredible strength and durability. NVS Hockey To Sponsor World Inline Roller Hockey Tournament

First, the U.S. initiative is finally underway. Resin Systems has signed a deal with Source Capital Group for sponsorship and market making in the United States. RS is just starting the paperwork that Source requires for the filing process. IF things stay on track and there aren't too many questions after the preliminary filing, we could see the process completed towards the latter part of July.
As Source says on its website (www.sourcegrp.com) it "was founded in 1994 as a boutique firm specializing in small to medium sized investment banking transactions. The firm has grown to include a General Securities business, Emerging Market Securities, Distressed and High Yield Debt Securities and its historic investment Banking activity. As we've said a number of times, it is our expectation that June will be the "start" month for an ongoing series of positive developments and that remains our belief. Obviously with the pressure the stock has been under as of late, good news would be most welcome. There is a distinct possibility that the first order of business will be news around the power pole initiative. That's as far as we can go on this topic.
Still on the subject of stock, there was an initial overhang in the market of 265 thousand shares in the $0.90 range. We are aware of who the seller is and there's nothing untoward about the transaction as it was expected. We can't disclose the seller but CIBC Wood Gundy is handling the order. Since April 1st, CIBC has sold about 240 thousand shares and bought 135 thousand, but what percentage of the sell side is attributable to this one order can't be determined in absolute certainty. Our guess is that about 100 thousand have been sold to date, but as we said, it's a bit of a guess. In any event, with the right type of news this matter shouldn't be an issue, as we know that a great many people are watching developments with a high level of anticipation and trading activity could increase sharply overnight.
A rapid rise in buying levels would be most welcome as there are up to 3 million warrants from a previous private placement which the Company would like to see exercised. Another $2 million in new capital in the Company would be most welcome.
Now to NVS Hockey. As is well known, a public event was staged at the West Edmonton Mall Ice Palace on May 17th with estimates of 300 to 400 people attending the unveiling of the line of new composite hockey shafts. The Company did receive widespread press and media coverage, which is a key part of the public awareness and marketing program. We have pictures from the day (click here).
Keep in mind that the marketing/sales strategy around NVS is to focus directly on the public and minor hockey associations. Don't look for the product in a number of retail stores anytime soon. We know that feedback from the public was extremely positive and NVS has been booking a steady stream of on-line orders since the event. What we are being asked by a number of people but don't yet have the answer for are what are the sales numbers.
In the previous INSIGHT we briefly mentioned Golden Capital's Rob Peets comments and update on RS's six months results for the Fiscal 2003 period ended February 28th. His update is now available to the public (www.goldencapital.com).
On the topic of "international partners" and the April 30th announcement about Euro-Projects (LTTC) (click here to read), all we can tell you is that "paperwork is in progress" as it relates to a broader working arrangement with the England based company. The expectation was that RS would be able to make an announcement at the end of May about this development but the timing is going to be dictated by the completion of legal documentation.
