RACKSPACE BUYOUT ALERT - National Securities Law Firm Seeks Higher Price for Backspace Shareholders in Connection with Proposed Buyout, and Encourages Shareholders to Contact Law Firm for More Information
NEW YORK, August 26, 2016 /PRNewswire/ -- Tripp Levy PLLC, a leading national securities and shareholder rights law firm, announces that it is investigating the potential sale of Backspace Holding, Inc. (NYSE: RAX) ("Rackspace" or the "Company") on behalf of its shareholders. Rackspace announced that it has entered into a merger agreement with the private equity firm Apollo Global for $32 per share.
Our investigation has determined that the offer price of only $32 per share, unfairly under-values the true going forward inherent value of Backspace and that shareholders may not be receiving the maximum value for their shares. The investigation further seeks to determine whether the Rackspace senior management is entering into this deal for its' own self-interests to the detriment of the Company's shareholders.
If you are a shareholder of Rackspace and would like additional information as to how the proposed acquisition may affect your rights as a shareholder, and how you may be eligible to obtain a higher price for your shares, please contact us at no cost at:

Rackspace Hosting Inc. (RAX) Is Rising On WSJ Report Of Blue Harbour Stake,,,,,,,,$32.95 after hours
8/18/2014 4:46 PM ET
The Wall Street Journal reported after the bell Monday that Blue Harbour Group has acquired a 6.5 percent stake in Rackspace Hosting Inc. (RAX: Quote). The stock is now up 0.88 on 42K shares.
Rackspace Hosting gapped up at the open Monday, but traded in a range for the bulk of the session. The stock closed up by 0.61 at $31.82 and set a 1-month high.
well I did what the option player did and bought the Sept 34 calls for
$3.18 yesterday, i wanted to buy more this morning but looks like I will
be paying a little more premium for them, I still feel RAX goes over $42, so the investor that instituted that position is comfortable with a $42 sell,
am also, lets see what today brings.....good luck
optionMONSTER's Heat Seeker monitoring program detected the purchase of 3,400 September 34 calls for $3.40 and the sale of an equal number of September 42 calls for $0.80. Volume surpassed open interest at both strikes, which indicates new positions were initiated.
Wheeeee gap up this morning ... but just back to where it was.
Maybe there'll be a bidding war and it'll go into the 40s.

Rackspace may take itself private: TechCrunch
Reuters) - Cloud service provider Rackspace Hosting Inc may take itself private and is in talks with a private equity firm to fund the deal, technology blog TechCrunch reported on Wednesday, citing a source.
The company may make an announcement by this week, TechCrunch reported. (http://bit.ly/1xfbP4U)
Rackspace, which leases server space and helps corporations store and access data in the cloud, had in May said it hired Morgan Stanley to evaluate strategic options, including partnerships and even a buyout.
The option of going private has come amid at least three acquisition bids, including those from Hewlett-Packard Co and IBM, the tech blog said, citing a source within the company.
Rackspace has faced stiff competition from newer startups as well as established players in the cloud computing business, such as Amazon.com Inc and Google Inc, which have slashed prices recently.
Rackspace, which has a market value of $4.8 billion, could not be immediately reached for a comment outside regular U.S. business hours.

The Shareholders Foundation announces that an investigation on behalf of investors in Rackspace Hosting, Inc. (NYSE:RAX) shares was launched concerning whether a potential takeover of Rackspace Hosting would be unfair to investors in NYSE:RAX shares.
Investors who purchased shares of the Rackspace Hosting, Inc. (NYSE:RAX) and currently hold any of those NYSE:RAX shares have certain options and should contact the Shareholders Foundation at mail@shareholdersfoundation.com or call +1(858) 779 – 1554.
The investigation by a law firm is at an early stage and concerns whether a takeover would be unfair to NYSE:RAX investors.
On May 15, 2014, Rackspace Hosting, Inc. disclosed in a filing with the SEC that in recent months, Rackspace has been approached by multiple parties who have expressed interest in exploring a strategic relationship with Rackspace, ranging from partnership to acquisition. Rackspace Hosting said that its board decided to hire Morgan Stanley to evaluate the inbound strategic proposals and to explore other alternatives which could advance Rackspace’s long-term strategy. On May 16, 2014, an article stated that potential suitors for a takeover of Rackspace Hostings could be companies such as AT&T, IBM, EMC, HP, and VMware.
Shares of Rackspace Hosting, Inc. (NYSE:RAX) jumped from a close of $28.64 per share on May 14, 2014, to as high as $37.37 per share on May 16, 2014.
However, given that at least one analyst has set the high target price for NYSE:RAX shares at $67.00 per share. the investigation a law firm concerns whether the Rackspace Hosting Board of Directors will undertake an adequate sales process, adequately shop the company before entering into any transaction, maximize shareholder value by negotiating the best price, and act in the shareholders’ best interests in connection with the proposed sale.
Rackspace Hosting, Inc. (NYSE:RAX) reported that its annual Total Revenue rose from $780.55 million in 2010 to over $1.53 billion in 2013 and that its respective Net income increased from $46.36 million to $86.74 million. Shares of Rackspace Hosting, Inc. traded as high as $78.93 per share in early 2013.
On June 9, 2014, NYSE:RAX shares closed at $37.74 per share.
Those who are current investors in Rackspace Hosting, Inc. (NYSE:RAX) and purchased their NYSE:RAX shares prior to the announcement, have certain options and should contact the Shareholders Foundation.

Why Rackspace Hosting (RAX) Could Be Positioned for a Surge?
Zacks By Zacks Equity Research
Rackspace Hosting, Inc. (RAX) is an Internet Services firm that could be an interesting play for investors. That is because, not only does the stock have decent short-term momentum, but it is seeing solid activity on the earnings estimate revision front as well.
These positive earnings estimate revisions suggest that analysts are becoming more optimistic on RAX’s earnings for the coming quarter and year. In fact, consensus estimates have moved sharply higher for both of these time frames over the past four weeks, suggesting that Rackspace Hosting could be a solid choice for investors.
Current Quarter Estimates for RAX
In the past 30 days, 8 estimates have gone higher for Rackspace Hosting while 1 has gone lower in the same time period. The trend has been pretty favorable too, with estimates increasing from 14 cents a share 30 days ago, to 16 today, a move of 14.3%.
Current Year Estimates for RAX
Meanwhile Rackspace Hosting’s current year figures are also looking quite promising, with 11 estimates moving higher in the past month, compared to 1 lower. The consensus estimate trend has also seen a boost for this time frame, increasing from 60 cents per share 30 days ago to 71 cents per share today, an increase of 18.3%.
Bottom Line
The stock has also started to move higher lately, adding 26.0% over the past four weeks, suggesting that investors are starting to take note of this impressive story. So investors may definitely want to consider this Zacks Rank #2 (Buy) stock to profit in the near future.
Looks like accumulation is continuing.
Chris

Will Rackspace Hosting (RAX) Continue to Surge Higher?
By Zacks Equity Research
As of late, it has definitely been a great time to be an investor in Rackspace Hosting, Inc. (RAX). The stock has moved higher by 14.7% in the past month, while it is also above its 20 Day SMA too. This combination of strong price performance and favorable technical, could suggest that the stock may be on the right path.
We certainly think that this might be the case, particularly if you consider RAX’s recent earnings estimate revision activity. From this look, the company’s future is quite favorable; as RAX has earned itself a Zacks Rank #2 (Buy), meaning that its recent run may continue for a bit longer, and that this isn’t the top for the in-focus company.
the big question is buy out price if there will be, if $47 did become

HEARD ON THE STREET
Rackspace Shouldn't Be Left on the Rack
By DAN GALLAGHER
May 18, 2014 5:54 p.m. ET
Outgunned in the cloud wars, Rackspace Hosting RAX +17.73% could use a partner with a bigger arsenal.
A 61% drop in the stock in the 18 months up to Friday has drawn predictable interest. Rackspace said late Thursday it had been "approached by multiple parties" about either a partnership or an acquisition. It has hired Morgan Stanley MS +1.24% to advise. Rackspace's stock jumped 18% on Friday.
Putting Rackspace in play will set off speculation around firms such as Cisco Systems, CSCO +0.79% Hewlett-Packard HPQ +0.34% and Dell. All three want to make inroads into the cloud business with their products and could find it beneficial to pair up with a service provider like Rackspace.
Rackspace's business is still expanding, but earnings are under pressure as large, deep-pocketed rivals including Amazon.com, AMZN +0.85% Google GOOGL -0.15% and Microsoft MSFT +0.58% have been cutting prices for their own cloud services. Rackspace's net income fell nearly 18% in 2013, the first such decline in six years, despite a 17% revenue increase.
Rackspace focuses on firms that lack the expertise to take advantage of services offered by the likes of Amazon and are willing to pay a premium. A bigger, diversified company able to absorb the inevitable price declines with profits from other businesses would make a natural partner.
Rackspace wouldn't come cheap, though, with a market value of $4.4 billion. This is doable for a company such as Cisco, which has about $50 billion of cash. But a deal would still have to be justified to shareholders who may be worried about Rackspace's future in a highly competitive market.
Rackspace's investors can reasonably hope, though, that this won't prevent a buyer from being found. As some of them no doubt know from bitter experience, getting into the cloud business isn't cheap for anyone.

but a trade on good earnings, how lucky can yu get
,,,,,$$$$$
Can't really blame you, because this has been a slow bleed for a long time. I just kept averaging down and averaging down, because this was a long term hold for me and I believed in what the company was doing. It's not like they were losing money - quite the opposite. I had hoped a day like this would come.
My first buy was at $59!
OMG I'm gonna cry, lol. I bought some at $31 a month ago -- sold it when it fell below $29 with the NASDAQ weakening. I didn't want to be holding it if it dove into the low 20s.
Rats.
Chris
Kissing $37 now!
$35 in pre-market.

Looks like it could have a nice recovery, the earnings miss and the insider sells really hammered the price. Anyone that's been following able to tell me if there's more reason to keep selling off or is it due for a bounce? TIA
