The brand will survive - the Company is being turned over to the secured debt holders. The only thing that will not survive is the current common shares. They will be cancelled under the bankruptcy.

It is likely the new owners will seek to take it public again as their exit strategy sometime down the road. Probably a couple of years from now if they are successful in turning the brand around.

I just got back from Macy's and bought a quicksilver hoodie. It was priced at $59.99 and I was ready to pay it but it rang up as $29.99. They had so many nice items it was cool to see. I told one of the guys working folding clothes that they were going bankrupt and he didn't say anything.

This is such an awesome brand. It deserves to stay relevant. I hope it survives. Will continue to buy this brand every season.

That is not correct. The Common stock will be cancelled and shareholders get nothing. Only the debt holders will get stock, and the unsecured debt holders get $12.5 million to replace hundreds of millions of dollars of existing debt. Pennies on the dollar. Since they don't get 100% of their claims paid, the common shareholders get.........NOTHING.

It's right there in the court document, which also explains why the stock chart went up and up on Thursday with no dips. ZQKSQ is heading to 6 cents right away next week, and will remain there until deal goes through and converted to New ZQK stock.

How are you so certain of that, do you know what is going on behind the scenes? There are many numbers that just don't compute especially between 2011 and 2014. This company had very little debt if any in 2011, and their profits were very high, so how did the debt start and why? This is what the SEC and Judge Shannon are going to want to know and will find out. No 10 second glance at the SEC filings will answer that. There is a very good chance of fraudulence, and restitution may just come about on top of the stock being denied bankruptcy.

No, your interpretation of that page is incorrect. The SEC is only concerned with disclosure and securities fraud. Quiksilver is fully complying with the disclosure requirements under the securities laws, and no fraud is involved whatsoever. Quiksilver is simply a failed business and was forced to file bankruptcy because they are insolvent and could not meet their debt obligations. The SEC has absolutely no jurisdiction over the bankruptcy - that is entirely up to the Federal Bankruptcy Court, which has accepted the plan as filed which will cancel the common shares without any payment to the common shareholders.

That is not correct. The SEC's role is limited to the required disclosure under the 33 and 34 Acts. It has ZERO to do with the bankruptcy and the bankruptcy courts and how "fair" the bankruptcy is or is not. That is entirely up to the court.

Securities fraud is something else entirely. Clearly, Quiksilver's bankruptcy has nothing to do with securities fraud. Even a 10 second glance at the financial statements make that very, very obvious.

You do not seem to understand what "profits" means. Quiksilver has no profits whatsoever. They constantly lose money - a lot of it. They borrowed a lot of money to build the business, but that business is unsuccessful. It not only loses money, but it does not generate enough cash to service and repay the debt. This is basic financial information that anyone who buys stocks should know.

The SEC has zero say in anything that happens here, as it is up to the Federal Bankruptcy Court. They have accepted the Plan for implementation, which is happening now. Next month, the final plan will be approved and the common shares will be cancelled.

Anyone that buys and holds the stock will have a 100% loss.

That is immaterial. The dollar amount of the sales makes no difference. What counts is do those sales generate enough cash and profit margin to service, and repay when due, all the debt that was incurred to build the company to that level of sales. In the case of Quiksilver, the answer is NO. The amount of debt is HUGE, and the company's sales do not generate nearly enough cash or profit to repay it. That is why the company has negative shareholders' equity - the company is worth substantially less than the amount of its debt. Which is why in the bankruptcy reorganization the entire company will be turned over to the debt holders and the existing common stock will be cancelled under the bankruptcy plan. It is worthless.

What value will the stock become if the judge refuses the "plan"?

Zero. The Company is insolvent. If they reject the plan (which will not happen, as the vast majority of the secured debt holders are in favor of the plan), the assets will be liquidated. Their value is no where near the amount of debt the company has, which means common shareholders are even less likely to benefit in that situation.

Any way you look at it, common shareholders get NOTHING. But then again, they had nothing before - Quiksilver had negative shareholders' equity. Shareholders owned nothing before the bankruptcy, and own nothing afterwards.

The Common shares are finished. Nothing for shareholders will happen in the next 7 weeks. The Company has significant negative shareholders' equity. For common shareholders to have even a prayer of seeing a penny for their shares any new bidder (which won't happen) would need to cough up an extra $500 million or so to make whole the current debt holders and creditors. That will not happen.
