FIRST CLAIM FOR RELIEF
Violations of Section 10(b) of the Exchange Act and Rule 10b-5 Thereunder By Quantum Energy Inc
Section 10(b) of the Exchange Act [15 U.S.C. § 78j(b)] states:
“It shall be unlawful for any person, directly or indirectly, by the use of any means or instrumentality of interstate commerce or of the mails, or of any facility of any national securities exchange,
To use or employ, in connection with the purchase or sale of any security registered on a national securities exchange or any security not so registered, or any securities-based swap agreement, any manipulative or deceptive device or contrivance in contravention of such rules and regulations as the Commission may prescribe as necessary or appropriate in the public interest or for the protection of investors.”
Rule 10b-5 thereunder [17 C.F.R. §§ 240.10b-5] states:
“It shall be unlawful for any person, directly or indirectly, by the use of any means or instrumentality of interstate commerce, or of the mails or of any facility of any national securities exchange,
(a) To employ any device, scheme, or artifice to defraud,
(b) To make any untrue statement of a material fact or to omit to state a material fact necessary in order to make the statements made, in the light of the circumstances under which they were made, not misleading, or
(c) To engage in any act, practice, or course of business which operates or would operate as a fraud or deceit upon any person, in connection with the purchase or sale of any security.”
I now re-allege and incorporate by reference the paragraphs within the section entitled “FACTUAL ALLEGATIONS.”
By engaging in the conduct described above, Quantum Energy Inc, directly or indirectly, in connection with the purchase or sale of securities, by the use of means or instrumentalities of interstate commerce, or the mails, with scienter:
(a) Employed devices, schemes, or artifices to defraud;
(b) Made untrue statements of material facts or omitted to state material facts
necessary in order to make the statements made, in the light of the circumstances
under which they were made, not misleading; and
(c) Engaged in acts, practices, or courses of business which operated or would
operate as a fraud or deceit upon other persons, including purchasers and sellers
of securities.
By reason of the foregoing, Quantum Energy Inc violated, and unless restrained and enjoined will continue to violate, Section 10(b) of the Exchange Act [15 U.S.C. § 78j(b)] and Rule 10b-5 thereunder [17 C.F.R. §§ 240.10b-5].
SECOND CLAIM FOR RELIEF
Violations of Sections 17(a)(1), (2), and (3) of the Securities Act By Quantum Energy Inc
Section 17(a) of the Securities Act [15 U.S.C. §§ 77q(a)] states:
It shall be unlawful for any person in the offer or sale of any securities (including security-based swaps) or any security-based swap agreement (as defined in section 78c (a) (78) of this title) by the use of any means or instruments of transportation or communication in interstate commerce or by use of the mails, directly or indirectly,
(1) to employ any device, scheme, or artifice to defraud, or
(2) to obtain money or property by means of any untrue statement of a material fact or any omission to state a material fact necessary in order to make the statements made, in light of the circumstances under which they were made, not misleading; or
(3) to engage in any transaction, practice, or course of business which operates or would operate as a fraud or deceit upon the purchaser.

I allege that Quantum Energy Inc has violated the Exchange Act and Securities Act in that Quantum Energy has made use of deceptive and fraudulent contrivances, devices, schemes, and artifices, has made materially untrue statements, has omitted to reveal highly material facts, and has engaged in practices which operated as a fraud, in connection with the sale of securities. The violations occurred in the course of Quantum Energy’s effort to deceive investors by blatantly misrepresenting the capabilities of a device which Quantum Energy has called the “Earth Engine” or “Photon Engine.” While employing deceptive contrivances to cause investors to believe Quantum Energy’s false claims that the so-called “Photon Engine” is powered by “magnetic propulsion,” and could therefore make the electric grid unnecessary, Quantum Energy withheld from investors the highly material fact that the so-called “Photon Engine” is actually powered entirely by electricity and not at all by magnets.
Mr. Banjo: Yes, it is indeed a scam and always has been. It is just a matter of time until they are finally duly prosecuted by the SEC for their blatant SECURITIES FRAUD.

These companies still have me confused: I looked up QREE stock and it is designated as "inductance energy" and i had thought that this concept had been quietly dropped! On looking up FLCX stock it is designated as "quantum energy". All rather incestuous if i may use such a word.

Dear Mr. Bystander: Thanks for asking - but I never said I would "drop a bomb." I merely said I would "set off some firecrackers." In fact, it would have been more accurate to say that I would "light some fuses" - because the fuses can be very long on certain types of "firecrackers." Actually I would say that "firecrackers" was not the best choice of a word to use in this instance. I'm really not much of a pyrotechnician - I'm just a very humble and unpretentious little old scambuster. However, I expect to post a major update on the matter of the SECURITIES FRAUD involved in Quantum Energy's so-called "Photon Engine" scam in the near future.

I would reckon what happened is this: when the inductance energy "earth engine" failed he had to think up some way of keeping the business going and avoid a liquidation--hence this photon energy nonsense.
Fully agree. Also, what is the point of hooking it to usb or ethernet ??? Those are designed to provide, not to collect energy and the cost of wiring is multiple of a simple 2 wire cord.
Also, adding the complexity of additional wiring makes it completely impractical.
At a quick glance they appear the same and equally daft. If one replaces the reflector on a fitting one loses ~half the illumination so there would be a need for twice the number of fittings for the same illumination with twice the bill. Assuming 20% efficiency on both the lighting and the photovoltaics the absolute maximum return would be 4% if one covered walls, floor and ceiling with the cells. This is absolutely crazy.

Thanks, Dorick, but i am still confused. After the merger/takeover was cancelled i am sure i saw a report stating that quantum was changing it's name to flooid, unless i'm mistaken. Anyway here's a snippet i discovered yesterday: a company in Korea has developed an alternative solar panel that is 20- 200 times more efficient than existing panels(20-200, depending on where you read it). Can you guess what they call the tech? PHOTON ENERGY!! The name is Wavja. That will pull the rug from under Dennis' feet!!
FlooidCX Corp (with stock symbol FLCX) "does business" as Quantum Energy Corporation and has said they plan to change their name to Quantum Energy Corporation.
"On March 29, 2023 FlooidCX Corp. (“FLCX”), a Nevada corporation entered into An Agreement and Plan of Merger (the “Agreement”) with Quantum Energy, Inc. [not to be confused with Quantum Energy CORPORATION], a Nevada corporation (“QREE”). "
However, the planned merger was cancelled not long ago. So the two companies will remain separate and so will their stocks.
This whole FLCX and QREE arrangement has me confused. Quantum energy corp sometimes poses as FLCX and sometimes as QREE. These two stocks have different price quotes. Can anyone explain?

I saw it on a Quantum announcement that popped up as i was doing a search, the date was 7 june.
Where’s everyone seeing that Bill Hinz stepped down?
And they spend barely anything on CapEx or materials. Their last report listed $249.5K of equipment purchases but $1.7M on professional fees, Also don't list any inventory or raw materials.
According to its own financials, Quantum has funneled tens of millions of dollars to PRIVATELY-HELD Inductance Energy (over the last year or so.) Why is this important? It is the same privately-held LLC that is controlled by the people who also control publicly-traded Quantum Energy: Hinz, Ewert, Bean, Kitchen, Kerr, Elizabeth Danzik. Money laundering scam complete! Where is the SEC? Simply outrageous.
Mr. PC: And the whole Leadership page of qree.energy is "under construction" now. We're witnessing the manifestations of a complex corporate financial psycho-socio-economic phenomenon known as "take the money and run."

Yes, ARC Energy has the contract to build the 500k units and Quantum has an agreement with ARC that pays them for $1000 per deployed system plus 20% electricity royalties.

Indeed, the language is incredibly vague on PNOC's side.
The main issue is that there is no trace of Arc Energy Inc, a developer that is set to start a 500k multi billion unit construction plan, anywhere on the internet (besides Quantum's press releases).
I don't have explanations, I just note the discrepancies in the narrative.

They look forward to discussions? Maybe the contract is simply for Romel to build 500,000 units, and they have yet to discuss in-depth details like Quantum’s system. This is a real possibility as Romel has already proven he has abilities in the area of development.

Mr. Bystander: The SEC are the ones who have the subpoena power that is needed for a proper investigation. I'm really not an investigator, I just work with readily publicly available information. I've already spent more time on Danzik's ludicrous scam that I ever should have, but I want to finish what I started. After I file the Complaints, I'm done. I'm glad to hear you've done some lawsuit homework. I think my actual prediction was that there would never be any installations, so you might be waiting a long time.
