shares are trading higher on Tuesday after the company inked a definitive deal under which CECO Environmental Corp.

will acquire Profire in an all-cash transaction at a price of $2.55 per share.
The offer price reflects a 46.5% premium over Profire’s October 25, 2024 closing share price of $1.74 and a 60.3% premium over its 30-day volume-weighted average price as of that date.
The offer will remain open for an initial period of 20 business days, with possible extensions as needed.
Approved unanimously by Profire’s Board, the transaction values Profire’s equity at roughly $125 million, with an enterprise value of approximately $108 million.
Following this, Profire’s common stock will be delisted from public markets. The transaction is expected to close in the first quarter of 2025.
For 2024, Profire projects sales exceeding $60 million with adjusted EBITDA margins of around 20%.
Todd Gleason, CECO’s Chief Executive Officer, said, “With an installed base approaching 100,000 burner management systems and a growing industrial market product offering, we look forward to accelerating their global market expansion and introducing their high-efficiency solutions to more customers in industrial air and water.”

I'm not nearly the trader I used to be. Selling stocks then watching them continue running broke me of a lot of that.
Yep, you were. There was a lot of bullshit going on back then and I was unfortunately a part of it.
I'm not a trader like you so I always look a fundamentals and try to invest. I stumbled into a couple things in the past that I made some mistakes with but for whatever reason they shot through the roof. I always hold too long so nowadays I just try to be involved in A+ companies that might go up or down but don't go away.
Honestly, this one is great. It's a functional profit maker with a lot of cash on hand. It just doesn't get the love that it deserves as far as trading goes. LOL I was piling into this at 0.50 to 0.70 too so I technically would be still doing really well today but there was a divorce involved with a greedy ex and other stuff that has calmed me down.
The stock is at $3.83. Am I still supposed to be watching?

For the record, I sold my stock today due to your posting here. The share price may spike from here, but I don't want to own a company that feels the need to post on penny stock boards.
As a warning Warren Buffet, this goes for you as well in regards to my Berkshire Hathaway stock.
I guess I'd have to look up how I did on this stock. Based on a 15 year chart, this hasn't done much, but has had a few spikes

oops I f'd up that post.. I stated that there was 40 million when in fact it was only four million shares outstanding and this company was trading on the OTC at the time. I put a lot of money on the table for this issue, probably too much but I didn't lose any, that's for sure.

Meh.. I always thought this was a solid company with a really good business model. It's why I was always pounding the table for them in the past. I lost my interest when they started to dump shares all over the place to keep the stock price above a dollar while they were being attacked by short sellers like Citron and Muddy Waters.
When I started here, there were only 40 million shares outstanding and I don't even want to know what it is now. There's nothing left to move the needle here, they are always going to be really good. There's just no public interest like there should be and the share structure got destroyed with all their bullshit secondary offerings..

Brenton W. Hatch Brenton co-founded Profire Combustion, Inc. in 2002. Since that time he has served as the Chief Executive Officer and General Manager of the Company. He has been responsible for the day-to-day operations of Profire Combustion since its inception. Prior to founding Profire Combustion, between 2001 and 2002 he was a Management Consultant and General Manager of Titan Technologies, Inc., an oilfield service and distribution company in Edmonton, Alberta, Canada. In this position, he performed an in-depth analysis of the operations and management of all divisions of Titan Technologies. Based on his analysis, company-wide operational changes were implemented to improve company performance. From 1989 to 2000 he served as President and Chief Executive Officer of Keaton International, Inc., an educational services company based in Edmonton, Alberta, Canada. He managed all executive functions of the company and particularly focused on the development and management of the company's educational services. During his time at Keaton International, Brenton led corporate networking and marketing campaigns world-wide. He earned a Bachelor's Degree in Education from the University of Alberta in 1974. He is not, nor has he in the past five years been a nominee or director of any other SEC registrant or registered investment company. We considered Mr. Hatch's experience as a founder and as the principal executive officer of Profire Combustion, as well as his previous management and operational oversight experience in concluding that he should serve as a director of the Company. Harold is responsible for research and development of new products and services. He oversees our Canadian operations. From 1993 to 1996 he was employed with Natco Canada doing start up and commissioning of oil and gas facilities in both Canada and Russia. Andrew graduated from the University of Utah with a Bachelors of Science degree in Finance in 1994. He earned a Masters of Business Administration with an emphasis in Finance from Westminster College in 1998. He joined The Flooring Zone, Inc. in November 2007. From 1998 to 2008, Andrew was an investment advisor with Belsen Getty, LLC, providing wealth management direction and strategic and financial advice for several investment banks. For the past 15 years he has founded, consulted on and funded numerous businesses in the private and public arenas.
