PRRSF: effective Feb. 4,2020: PayFacto Payments Inc. will acquire all of the outstanding common shares of Posera Ltd. Shareholders will receive: (i) an initial cash consideration in the amount of $0.1126907498;(ii) any amount available after 24 month period after completion of the Arrangement pursuant to an escrow agreement (iii) the pro rata amt of cash balance remaining at the eff. time of the Arrangement and (iv) any amounts available from the collection of an interest bearing secured loan to DLT Labs Ltd.
