A. Polar Molecular Holding Corporation is a Delaware corporation with its principal office in Denver, Colorado. Polar, through the operations of its wholly-owned subsidiary, Polar Molecular Corporation (“PMC”), is in the business of developing and marketing fuel additives. Since 2003, Polar has had one class of securities, common stock, registered with the Commission pursuant to Section 12(g) of the Exchange Act. Polar’s stock was quoted on the OTCBB until June 2005, at which time such quotation was halted due to Polar’s failure to file periodic reports with the Commission. Polar’s stock is currently quoted on the Pink Sheets, which is operated by Pink OTC Markets Inc. under the symbol “POMH.” According to Polar’s most recent Form 10-K, it has over 600 shareholders of record.
B. Polar has failed to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder while its common stock was registered with the Commission in that it has not filed an Annual Report on Form 10-K since January 5, 2006, or periodic or quarterly reports on Form 10-Q for any fiscal period subsequent to its fiscal quarter ending September 30, 2004.
C. Polar has failed to comply with Section 13(a) of the Exchange Act and Rule 13a-11 thereunder while its common stock was registered with the Commission in that it has not filed a Current Report on Form 8-K disclosing that its sole operating subsidiary, PMC, filed for bankruptcy protection in 2008.

"We continue to protest the Murdock debt allegedly assumed by Polar in the merger – Approximately twelve months after Polar completed our merger with Murdock Communications, we became aware of a $500,000 note payable that had allegedly been signed by Murdock Communications Company and Polar Molecular Holding Corporation and payable to Republic Credit Corporation. The note was signed by Wayne Wright, who was appointed by Murdock Communications to Polar’s Board of Directors. Wright had no authority to execute a promissory note for Polar Molecular Holding Corporation. The note, signed by Wright, was not disclosed to Polar at the closing of the merger and Polar received no benefits associated with the execution of the note. Polar is vigorously contesting this liability and has filed a third party complaint against Wright who signed the loan document without authority, and against Thomas Berthel, a controlling shareholder of Murdock Communications, and Berthel Fisher, the brokerage firm that was a paid consultant for Murdock Communications in the merger with Polar. We believe, and our attorneys concur that the Company has meritorious claims in the third party complaint which would require Wright, Berthel and Berthel Fisher to pay any amounts due Republic."

You reckon they're done diluting yet? They even admit to the dilution in one of the filings, though obviously, it doesn't appear they were out to scam shareholders as it was a necessary action to keep the company afloat.
I briefly looked through some of the filings. They aren't very active, haven't put out a pr in years. I'd be a little careful here, though it does look like it has some potential chartwise, it is a very thinly traded stock.
The chart looks good in that it appears to have finally bottomed and could possibly be reversing the hideous downtrend it's been in for years! Feel for the bagholders that got in this thing a couple years back.

Based on the tests conducted at the independent laboratories, it can reduce HC and CO emissions by up to 40 and 20 percents respectively.
How does DurAlt® FC work in both gasoline and diesel engines?
Both gasoline and diesel fuels are mixtures of hundreds of different hydrocarbons which differ in their chemical structure and composition. During the combustion process encountered in gasoline and diesel engines, these various hydrocarbon molecules mix with oxygen supplied by the air and compete for the combustion reactions in which carbon is converted to carbon dioxide and hydrogen is converted to water. Due to the complexity of combustion reactions, some of the hydrocarbons are not completely consumed, thus contributing to incomplete combustion and formation of pollutants such as carbon monoxide and unburned hydrocarbons. The oxides of nitrogen (NOx), another pollutant from motor vehicle emissions, are formed by the combination of oxygen and nitrogen which are present during the high temperature combustion process.
DurAlt® FC’s unique polar formulation improves the dispersion between fuel molecules and enhances their mixing with the air, thereby improving the overall combustion efficiency in both gasoline and diesel engines. The results are better fuel economy and reduced harmful emissions. More specifically, in gasoline engines the most important effect is the reduction of combustion chamber deposits that results in lower Octane Number Required (ONR) by the engine. In diesel engines, DurAlt® FC increases the Cetane number of the diesel fuel and, thus, reduces the ignition delay, which results in improved combustion and a reduction in fuel consumption and emissions.
What is the significance of ONR?
For satisfactory operation of a gasoline engine (without engine knock) it is important to use a gasoline with the Octane rating for which the engine has been designed. As the new engine accumulates mileage, combustion chamber deposits (CCD) are formed and they continue to increase until they reach equilibrium after 10,000 to 15,000 miles. The CCDs result in an increase in the octane number required (ONR) for the satisfactory operation of the engine. For a typical gasoline engine, the increase in ONR can range from 4 to 8 octane numbers.
Vehicle manufacturers compensate for this increase in ONR by detuning their new engines for lower octane gasoline so that after 10,000 to 15,000 miles when the ONR is stabilized, the vehicle may run satisfactorily using the commercial gasoline available in the market place. If DurAlt® FC is consistently in the marketplace fuels, the ONR can be minimized. In that case, new vehicles can be tuned by the manufacturers to perform at lower octane resulting in up to 5 percent better fuel economy.
How does DurAlt® FC reduce the ONR?
DurAlt® FC improves the combustion process and therefore minimizes the build up of CCDs in gasoline engines which increase ONR. Tests conducted at independent laboratories have shown that DurAlt® FC reduces ONR between 55 to 80 percent or by 3 to 5 octane numbers.
Does DurAlt® FC work in all grades of gasoline?
Yes. DurAlt® FC works in all grades of gasoline from regular to premium reducing the ONR by up to 5 points.
How does DurAlt® FC benefit both new and used vehicle engines?
In new vehicle engines, DurAlt® FC minimizes the formation of CCDs and reduces ONR. The engine stays cleaner, runs better, requires less maintenance, gives better fuel economy and produces lower emissions.
In used vehicle engines, DurAlt® FC will give instant noticeable benefits through improved combustion of the gasoline or diesel fuel. Used engines that are running roughly will have a noticeable smooth out effect when DurAlt is added to the fuel. Additional cost benefits can be obtained by enabling the engine to obtain peak performance with reduced premium fuels in both gasoline and diesel.
Modern gasoline powered vehicles are equipped with knock sensors. When these engines operate at borderline knock conditions, the knock sensor recognizes it and retards the spark timing to avoid engine knock. However, retarded spark timing has adverse effects on engine performance and fuel economy. When DurAlt® FC is used in gasoline, it immediately reduces the ONR, and the knock sensor advances the spark timing resulting in significant improvements in engine performance, fuel economy, and emissions.
How does DurAlt® FC improve performance of my vehicle?
By creating a more uniform and complete combustion in the engine, DurAlt® FC provides the horsepower originally designed by the engine manufacturer. DurAlt® FC accelerates combustion, therefore releasing more energy when the piston is at the top of the stroke. This provides for more power and smoother performance. There is little or no loss of power due to incomplete combustion of fuel, as experienced in untreated fuel.
Does DurAlt® FC work as well in an engine with a carburetor as in one with a fuel injector?
Yes. Carburetors and fuel injectors are two different devices to introduce the fuel into the engine. In both cases, DurAlt® FC will improve the combustion process and deliver the benefits.
Does DurAlt® FC help stabilize the fuel?
Yes. However, PMC recommends the use of DuraSta which has shown to restore the fuel quality of deteriorated fuels. A single treatment of DuraSta will provide fuel stabilization for up to one full year. DuraSta contains the key additive components of DurAlt® FC. Fuel that is regularly treated with DurAlt® FC will not require the use of DuraSta.
Does DurAlt® FC contain detergents?
No. In the US all grades of gasoline must contain detergents to keep the injectors and intake valves clean. However, these detergents generally tend to increase the combustion chamber deposits. DurAlt® FC reduces the combustion chamber deposits. Hence, the combination of DurAlt® FC with a detergent will keep the entire engine clean from the tip of the injector to the engine exhaust. PMC has developed fuel additive packages containing detergents combined with DurAlt® FC which are covered by U.S. and foreign patents.
Does DurAlt® FC contain MTBE, ETBE, ethanol or methanol?
No. DurAlt® FC does not contain any of these octane boosters. DurAlt® FC has an oxygenated polar compound that improves the combustion process in gasoline and diesel engines. In gasoline engines, it reduces the combustion chamber deposits (CCD) thereby reducing the octane number required (ONR) by the engine. In diesel engines, it reduces the ignition delay and improves the Cetane number of diesel fuel. Yes. DurAlt® Fuel Conditioner has been beneficially used in conventional diesel fuel for many years. DurAlt Technology accelerates the combustion process and significantly reduces the smoke and particulate emissions from diesel engines. It has shown to improve cetane number by about 2 points, reduce engine noise and improves fuel economy by an average of 8 to 12 percent.
Based on the experience in diesel fuel, DurAlt can be safely used with Bio-diesel and Bio-diesel blends. Since Bio-diesel has similar properties to conventional diesel, DurAlt is expected to provide similar benefits. In some cases there may be a synergistic effect and greater benefits may accrue by using DurAlt with Bio-diesel. The most important benefits are discussed below.
Bio-diesel reduces the emissions of insoluble particulates. DurAlt significantly reduces PM emissions, hence the combination of Bio-diesel and DurAlt would result in much lower smoke and particulate emissions from diesel engines. Bio-diesel offers lower overall life cycle CO2 emissions. DurAlt improves fuel economy by an average of 8% to 12%, therefore, the use of DurAlt in Bio-diesel would offer even lower CO2 emissions.
The use of Bio-diesel may result in loss of power and lower fuel economy. DurAlt accelerates the combustion process, increases cetane number, improves fuel economy, and reduces engine noise. Hence, it would compensate for power loss and fuel economy drawbacks of Bio-diesel
DurAlt would reduce the cold start and gum formation problems that are sometimes encountered with use of Bio-diesel. The use of Bio-diesel in diesel engines may require more frequent oil change and increased engine maintenance. DurAlt reduces deposit formation in engines and improves engine cleanliness. Therefore, it would compensate for increased maintenance and oil change problems encountered by Bio-diesel. Bio-diesel is more expensive than conventional diesel fuel. The use of DurAlt is economically very attractive.
Does DurAlt® FC work in dual-fuel engines that use gasoline or diesel fuel along with natural gas?
Yes. DurAlt is a specialty additive for use in gasoline and diesel fuels. Hence, when the engine is running on diesel fuel, DurAlt (blended with the diesel fuel) would provide all the stated benefits. However, when the diesel fuel is blended with gaseous fuels (such as natural gas) the benefits are derived only from the percentage of the treated diesel fuel used. There are no harmful effects from using DurAlt with the natural gas. However, the natural gas (since not treated) will not show any additional benefits.
Does DurAlt® FC work in Railroad engines?
Yes. DurAlt is effective in all types of diesel engines. The main benefits of DurAlt results due to improved combustion and thus the benefits also accrue in railroad engines.
How does DurAlt® FC decrease smoke and particulate emissions and reduce noise in diesel engines?
In diesel engines, during the compression stroke only air is compressed and it heats up above the self-ignition temperature of diesel fuel. Near the end of compression stroke, liquid fuel is injected as very fine droplets, where it mixes with hot air. After a brief period called “Ignition Delay”, the fuel-air mixture ignites causing a rapid rise in pressure and temperature. This is called “Premixed Burning Phase”, where the bulk of NOx emissions and noise are produced. The rest of the diesel fuel is burned in the “Diffusion Burning Phase” where the rate of burning is controlled by air-fuel mixing, time and temperature. Diesel soot (unburned carbon particles) is formed in this phase. Most of the soot that is formed is subsequently burned during the later portion of the expansion stroke.
DurAlt® FC improves the Cetane number of diesel fuel, reduces the “Ignition Delay” period, shortens the “Premixed Burning Phase” and promotes complete combustion during the “Diffusion Burning Phase”. By reducing the ignition delay and the amount of fuel burned in the premixed burning phase, noise is reduced and slightly lower NOx emissions are formed. Early release of fuel energy in the diffusion burning phase results in higher temperature and its availability for longer duration of time for subsequent combustion. It helps in burning the soot and results in significant reduction in smoke and particulate emissions as well as improvements in engine performance and fuel economy. The higher temperature in the diffusion burning phase slightly increases NOx formation and offsets the NOx reduction achieved during the premixed burning phase. The net result is essentially no change in the overall NOx emissions.
Does DurAlt® FC work in direct injection as well as indirect injection diesel engines?
Yes. The direct injection and indirect injection are simply two different ways of injecting diesel fuel into the engine. The benefits of DurAlt® FC are not altered by either mechanism.
How does DurAlt® FC extend the maintenance cycle of my engine?
By creating a more uniform and complete combustion, DurAlt® FC reduces the deposit formation in engines. DurAlt® FC contains a polar compound which attaches to cylinder walls and piston rings providing increased upper cylinder lubrication in both gasoline and diesel engines. Based on tests conducted by the additive division of a major oil company, DurAlt® FC enhances lubricity in low sulfur diesel fuel and helps in reducing fuel pump wear. In addition, DurAlt® FC contains a hydrocarbon component that inhibits corrosion. The combined effect of all these benefits is significantly reduced engine maintenance and longer engine life.
What are the long-term effects of using DurAlt® FC in my engine?
Continuous use of DurAlt® FC will improve engine cleanliness, lower maintenance costs, and extend engine life. Operationally, it will improve engine performance, provide better fuel economy and lower harmful emissions.
Does DurAlt® FC work with two-cycle engines?
Yes. 2-stroke engines generally emit much higher amounts of hydrocarbon and smoke compared to 4-stroke engines. The use of DurAlt® FC will help in reducing both these emissions and it will also improve overall fuel economy of the 2-stroke engines. It also increases torque up to 13%, accelerates and improves combustion, substitutes for lead, stabilizes the fuel and lowers exhaust temperatures (thus lowering maintenance costs).
How should I use DurAlt® FC in 2-stroke gasoline engines?
In 2-stroke engines the lubricating oil is directly mixed with gasoline by adding it into the fuel tank. DurAlt® FC can be added to either the fuel tank of the 2-stroke engine (just like in the case of a 4-stroke engine) or it can be added to the oil prior to mixing into the gasoline.
What happens if I put too much DurAlt® FC in my gasoline or diesel fuel?
There are no harmful effects of over treating gasoline and diesel fuel with DurAlt® FC. However, DurAlt® FC benefits do not increase with over treating.
What kinds of tests have been performed on DurAlt® FC?
DurAlt® FC has been widely tested at independent laboratories including Southwest Research Institute, San Antonio, Texas; National Institute for Petroleum Energy Research, Bartlesville, Oklahoma; Ricardo Consulting Engineers, England; Elf Aquitaine Oil Company, France; and Automotive Laboratory of Lemigas, Indonesia.
Tests for gasoline engines include: reductions in combustion chamber deposits (CCD) and octane number required (ONR); engine cleanliness; fuel economy improvements; measurement of emissions; use of DurAlt® FC in leaded and unleaded gasoline; use of DurAlt® FC during the phase out of leaded gasoline; and compatibility of DurAlt® FC with different types of detergent packages and other gasoline additives such as ethanol, MTBE, MMT, etc.
Tests involving diesel engines include: Cetane number improvement in various types of diesel fuels; fuel economy improvements; measurement of emissions and engine noise; measurement of lubricity enhancement; improved storage stability of fuel; and compatibility of DurAlt® FC with other additive packages including biodiesel.
Does DurAlt® FC work with low sulfur diesel?
Yes. During the production of low sulfur diesel, desulphurization processes at the refineries reduce the fuel lubricity. DurAlt® FC enhances fuel lubricity and is the perfect product for use in low sulfur diesel fuels.
Does DurAlt® FC help in reducing corrosion?
Yes. DurAlt® FC contains an active hydrocarbon component that acts as a corrosion inhibitor.
What kind of engines can use DurAlt® FC?
All internal combustion, 2 and 4 cycle engines using gasoline or diesel fuel will benefit from the use of DurAlt® FC.
Does DurAlt® FC help with cold flow problems in diesel engines?
Yes. DurAlt® FC will assist in cold weather operations. However, in winter conditions PMC recommends the use of DuraFlo, another patented diesel fuel additive that is marketed by PMC. Yes. DurAlt® FC reduces condensation through its water tolerance properties. Also, small amounts of moisture will dissolve during the combustion process.

Yes. DurAlt® FC substantially inhibits tank corrosion, improves stability of fuels, reduces gum formation, and has no deleterious effect on systems tested. Our long term fleet tests demonstrate that DurAlt® FC protects fuel systems from corrosive attack, especially when water is present. Use of DurAlt® FC in regular treatments also maintains stability in short-term storage. For long term storage (1 – 2+ years), we suggest DuraSta® Fuel Stabilizer (FS) .
