OK, the dilution and massive selling seems to have stopped in mid-December. Last week, SCHB showed up @ .0002 and bought everything that was for sale @ .0002. Then they went away.
The purchasing started @ .0003 this week and the bidders came back. Slowly the ask thinned out and finally it broke out to and closed @ .0004 on Friday in low volume.
Does anyone know any facts that suggest that NITE or any other MM still has a large inventory of S-8 shares to sell? Is there any reason to think that this price cannot rise now?
Notice, I know it won't if there is no interest. I mean is there anything that could stop a run?
Did anyone else notice that SCHB stepped up at the last minute and bought everything that was for sale @.0002?

Pacel Corporation (OTCBB: PCOR) in a DEF 14C filed today, reported that the Company intends to take the following action pursuant to the written consent of a majority of stockholders of the Company:
1. Increase the authorized capital stock from 2B to 10B shares of common stock;
2. The change of the Company's state of incorporation from Virginia to Nevada;
3. The approval of the Employment Agreement of David Calkins;
4. The election of Gary Musselman; Joseph Amato; and Thorn Auchter as directors.
And it could be death-spiral, you're right. I really don't know. Anyway, we'll see.
The diluter stocks are really hard to play, I agree. But I like them because they're always up to something. I was watching DDYN today. It dropped 65% down to .01 Then a perfect bounce back to .012. I like that kind of bounce play.
PCOR is not special in any way. I just think it is the most likely to get a serious bounce from all the Most Actives from the last couple of weeks.
Anyway, we'll see.
I agree the totals aren't very high. Supposedly, they represented about 68% of the o/s two months ago which was around 484.7 million.
Many small company financiers set up death spiral deals. As a stock's price drops, they keep getting more and more stock. Who knows how much those guys hold today. Considering the company wants to raise the a/s to 10 billion, the o/s now is probably near or past the 2 billion mark.
I hope you get a really nice play here. These diluter stocks are really hard to play.
This is a concern, sure. When I wrote "the current dilution" I mean the current round of dilution, by the way. I'm not implying that PCOR will stop diluting forever now or that they have changed their ways. I'm sure they will not and have not. But the massive batches of shares we were seeing each week has dried up this week. Maybe they are just on holiday.
The quantities you reference from the PRE-14C are not large, relatively speaking. The current dilution has involved billions of shares, I think. The VC selling is not the problem, unless they have also been diluted. The shares are probably being exchanged to vendors or given to employees.
No one can claim that an R/S and/or more dilution is not just around the corner, but...
The MM behavior is interesting. 1) The MMs on the bid has not changed in weeks, despite sales @.0001. 2) The .0002 orders are diliberately not reflected. If you want to buy, you must buy @.0003 and an unreflected .0002 order to sell is filled. If you want to sell, you must sell @.0001 and an unreflected .0002 order to buy is filled. In effect, the MMs are not changing their inventory of PCOR at all. Good or bad? I don't know, but 3) No one is dumping the stock @.0002 as if there were no tomorrow. They are not lining up @.0002 for a funeral and cannibalizing .0001, like these cash-register stocks normally do when they are ready to R/S.
Yes, my analysis is no better than reading tea leaves and may be wishful thinking. But the fact is I have seen a lot of similar situations that resulted in a pop. But I am sure of one thing: either the primary in-the-know holders of this stock have already sold it all, or they have no reason to believe that an R/S is around the corner. They just aren't acting like that.
All IMHO, of course.

These financers will want to dump their shares sometime unless they intend to completely take over Pacel. There may be brief periods where dumping lets up and the stock's price recovers a bit. Don't get over confident into thinking dilution is completely over. This stock has been a heavy diluter for a few years now. IMO it probably always will be one unless the feds shut it down.

The current dilution may really be over at this point. No more dumps from NITE @.0002 this week (so far) and the volume has dropped to nothing on no news.
If that is true, then any positive news event at all will probably make this one pop.
Well, it does matter a good deal to me for the moment if they do an R/S now or not. But, that aside...
You're right, Calkins is setting himself up to be heavily compensated in the event of a catastrophic problem, but the actual details of compensation are a bit starry-eyed if everything really went south.
Anyway, I'm sure they will R/S again in the next few months, I just don't want it to be now.
Does it really matter if they do a r/s here again? Why not play stocks which have potential to move up in price or succeed in their chosen business line? I see David is setting himself up w/ a nice big parachute should the SEC lawsuit be successful and he's ban from being an officer/director of a public company.

I've just re-read the PRER14C and I don't think an R/S is imminent. If they wanted to do an R/S they could do it in the process of the "merger" from NC to NV incorporation.
Without a doubt they are doing some dilution, but it seems like we may be safe from an R/S for some time.
I pretty sure anyone who plays this is dancing between the raindrops, just managing to stay dry if they dump it before the next R/S.
But today it is .0001x,0003. I think we may be able to sell @ .0004 or maybe a litlle higher and double most of the money. If it looks like it may actually pop, I'll hold some.

My main thought about the risk of this high risk stock is that although they have increased the authorized shares to 10B from 2B, they did not mention a reverse split in their last DEF PRE-14C. This at least indicates to me that the risk of a R/S is low and that with the current volume remaining high we may see a short run within this month.
I like the ASL side of the level 2: there is NITE on the ask @.0002, then 2 MMs on .0004 and then .0005. It hit .0005 intraday today and has been extremely volatile in the last 4 trading days.
PCOR was the new symbol as of the last R/S in September.

Matin, Thanks very much for your thoughts. They all seem to make sense. The volume today is starting out slow after yesterday's. Let's hope mid-teens are the bottom. I feel ok with .0018 right now...as I will all the way to .0014 (if it gets to that).
I've been watching this stock a long time. This .0017x.0018 is a repeat of the situation last month. It hit the same levels, a little lower in fact. That is when they announced they were being removed from the Berlin exchange where they had been listed without their permission.
At that time, JSLP was the principal seller/shorter of the stock. Since that time, to the day I think, JSLP is gone. Now NITE is heavily selling the stock. NITE has been selling several others that are also in positive news cycles, like RNKE, which recently cancelled the issuance of 700M+ shares and still did not get a sustainable bump.
I know that PCCL is issuing a lot of paper and NITE may be in charge of selling it. I have not contacted the transfer agent to ask. However, I think we are probably still seeing some naked shorting, a weak market and a general outflow from OTCBB to the MYSE and MASDAQ exchanges. Almost every day, the majority of the most active OTCBB stocks are down.
I know it is a long-winded answer. Sorry, but I don't think we can look at PCCL in isolation. It has strong support in the mid-teens and will probably bounce back into the mid-20's. I usually watch NITE to see where they are buying. Today NITE was buying @ .0018, so I bought @ .0019. When NITE dropped to .0017, I bought more @ .0018. So, I'm not worried about it. It has been here and bounced before, after the selling pressure lets up.
Oh, and one more thing, PCCL had the highest volume of any stock on the OTCBB today. To me, that is a sign of a major switch within days.

Jawz_2020 had been hoping that following the de-listing from the Berlin exchange, the run from .0017 to .0067 was indicative of substantial immenent news, BUT NONE HAS BEEN FORTHCOMING. The "we are gonna try harder to market better" P R Wed is a poor substitute for NOT hearing that the merger has been finalized.
THERE HAS BEEN NO P R ANNOUNCING THE FINALIZATION OF THE MERGER WHICH WAS TO HAVE CLOSED BY 30 JUNE. THAT WAS ABIG NEWS ITEN JAWZ WAS HOPING WOULD SEND IT BACK TO A PENNY.
Without this substantial news, it is no surprise to see the PPS retrace.
We may still hope that news of the merger completion will boost the PPS and jawz may not swing out here, as I am tempteed to do, so I may hold to not miss the merger completion P R spike.
Hoever, if the merger completion P R had come 2 or 3 days ago, it would have come closer to getting the PPS to a penny from .006 than it will from .003
All to say that jawz may swing out of PCCL after the expected PPs spike on news of the merger completion

ALWAYS SELL ONCE YOUR POSITION IS NEGATIVE BY 7 TO 12 % somefolks use 10 to 15% but <15%> is TWICE the loss of <7.5%>
Again, it depends on whether you are swing trading (cut losses sooner) or holding longer term (maybe tolerate a higher % loss)
IMHO, one should always close a position after it is down by <15%> This is a good disciple to preserve capital. Better to live to trade nother day. Then, if it continues lower, you have saved money. If it does not go lower, you have never-the-less re-enforced an excellent trading discipline that could save you in the future BIG TIME. Never regret sticking to the discipline of limiting loss at <10%> to <15%>

Of the 2,000,000,000 shares authorized, 101,341,006 have been issued as outstanding as of the last filing (covering through Mar 2004). This is up from 16,757,368 shares issued 3 months earlier (period ending Dec 2003).
Seems to me folks will have to buy a lot of paper to get the price moving.
