Hi shane, Orbit still has a chance to become compliant again by filing a 10SB12G which only requires financial reporting for the immediate previous two years, or if they file dormancy, they only need to file the 18 months rule.

In the Pacer document, it mentions that it would be in the best interest of creditors, equity secuity holders and the Debtor to have a chapter 11 dismissal. It also mentions how the Debtor had sought to confirm a plan that does not impair creditor and equity security holder interests, and that case dismissal would effectuate their fully unimpaired plan proposal. They would not obtain the benefit of a confirmation order and resolving claims objections through the BK Court process, they could still litigate claims in state or federal courts if necessary. It also mentioned the plan couldn't be completed through the chapter 11 process since their is the problem with the SEC revoking their registration, and that could not be resolved through the chapter 11 process, but the purpose of the plan could be fulfilled without chapter 11. The Debtor also requests that the Court retain juridiction over matters related to employment and final compensation of professionals for the estate.

Everyone should read the Pacer documents themselves; has anyone read the Pacer documents and "To Parties in interest"? Any comments would be appreciated. TIA

Shareholders have left messages for answers and return calls to the company, but as far as I know, no one has heard from Orbit since the SEC revoked their registration on Dec. 19, 2007; shortly before the 19th we still heard that they had a chance to receive the loan.

That is pretty interesting with all the creative paper swapping that went on over the last few months. Seems that Orbit may have gone private, in effect. Fortunately I had only $150 sunk into this. I think that money is gone now no matter what. And I would wait to try to get it back on any kind of EFGU investment.

Dean Bornstein and Jim Townsend's new company EFGU selected January 18, 2008 as the theatrical launch date of Blond and Blonder. In order for Orbit Brands to receive their share, they needed to resume trading or the agreement most likely was voided now that the SEC revoked their registration. With what the SEC stated in the last document and what we've heard doesn't add up and is quite disturbing. Also, I'm surprised that there was not yet a press release from Orbit to inform the shareholders what their intentions are and what will happen to our investments in their company. Dean Bornstein and Jim Townsend of Malibu Entertainment Group, a subsidiary of Orbit Brands, still are very involved with Orbit, and a Malibu Entertainment Group website is updated almost everyday now. With Bornstein, Townsend, and the Anderson's so involved with Orbit, there is still some hope that they will find a way to treat the faithful shareholders of Orbit fairly.

Shane I understand the registration has been revoked. Game over in other words. I am not sure if they have an appeal left. My broker called me Dec 20 and said I can pay a $5 fee to close out the position with the security declared worthless.

Blonde and Blonder due out Feb 5th. Maybe, if it generates enough money Orbit will be able to complete their audits, and submit paper work to the SEC to begin trading again. That would take at least 6 months. So, I wouldn't expect anything soon. That is my take.

If that is MEG's website and it could very well be especially with the IP address in Canada, it is under construction; they didn't have one before. I really don't know what could happen but maybe still some hope there. Orbit's regisration has been revoked by the SEC. I don't see why Dean Bornstein and all with so much that they have going for them would be involved with Orbit if it was a scam so I'm hoping that there is more to this, and that they will do something positive and include the shareholders of Orbit. With all the time and expense that Orbit put into this, I'm still hoping something good will come of it. Right from the beginning, Joe said that this BK would be good for the shareholders, so, who knows?

Dec. 19, Orbit Brands will be revoked. There's still some hope with Malibu Entertainment Group's new website being continuously updated and could very possibly be our MEG, and with Dean Bornstein and Jim Townsend of MEG and with them and the Anderson's being very involved with Orbit Brands and their new public company, EFGU, I'm hoping that something fair will happen that includes the shareholders of Orbit. One thing I noticed is OBBCQ traded 150K shares on the grey sheets today so its registration could not have been revoked (yet).

It's possible maybe Orbit will reattempt to complete audits with any revenue from the release of blonde and blonder.

PACER documents of Dec. 11, 2007 states OBBCQ has been officially revoked on that date, and Orbit does not plan to petition for review. According to the SEC, as of August 28, 2007 Stark Winter was still awaiting materials from Orbit that it needed to complete the audits, and that they ceased work on the audits because Orbit was not paying them.

Orbit expects revenue between three million and twenty million dollars from Blond and Blonder,coming out January 5, as long as trading resumes soon, and so far no updates on EDGAR; hopefully Orbit comes up with the loan soon. This week may tell us something with the court date scheduled for Thursday.

There is a Malibu Entertainment Group under construction and has been updated seven times in the past month and very possibly is our MEG. Empire Film Group's business plan on the web site still not completed. I'm hoping that ITREX's Media Exchange plays an important role here, and just maybe this could be all about timing. GLTA

This is an initial decision by the Sec from Nov.20, 2007; now Orbit Brands has twenty days to respond from the date it was served to them. Then, proabably another twenty days for the SEC to make an official decision. Orbit Brands still could come up with the loan in time.

INITIAL DECISION AS TO ORBIT BRANDS CORP.

The registration of the stock of Orbit Brands Corp. (Orbit Brands),
has been revoked. Orbit Brands had failed to file any annual or
quarterly reports with the Commission subsequent to the fiscal year
ended Dec. 31, 2004. Thus, it violated a crucial provision of the
federal securities laws that requires public corporations to publicly
disclose current, accurate financial information so that investors may
make informed decisions. Orbit Brands is currently unable to predict
when past-due and current periodic reports will be filed. The
revocation was ordered in an administrative proceeding before an
administrative law judge. (Initial Decision No. 338; File No. 3-12706)

Coolwhip and I checked it out and found that SEC has up to 120 days by regulation to rule on OB's trading status. The suspension was about the end of July so that would put the deadline about the end of November; they can rule sooner but not later. As with all things OB it will probably go right to the deadline; so it seems.
