Qualcom tender offer extended another month, still only have 12% of our shares (yea!) but haven't even upped their offer.
Meanwhile, our independent PPS should be rising steadily as we continue to make deals and alliances. put out new chips, and so on.
Sure would be pleased if Qualcom would quietly go away when their tender offer expires.
Our PPS had been appreciating briskly till they made their offer 1/2 a year ago,
but they have not raised the ante.
We are much better off without them.
Andrea Electronics who sells Audio Related Apps for iOS Devices is Suing Apple over Noise Cancellation Technologies
Andrea Electronics Corporation who sells 'PureAudio' Pro Recorder and Live Recorder apps for iOS devices is suing Apple Inc. on five counts of patent infringement relating to noise cancellation technology.
Andrea is a publicly-held company with its corporate headquarters located in Bohemia, New York. Andrea engages in substantial engineering, research, and development related to audio technology and has developed microphone hardware and software that provides solutions to current sound fidelity challenges.
Andrea has a decorated history as a leading industry developer of product solutions which optimize the performance of voice user interfaces. Its technology has been applied to products related to, among other things, voice over internet protocol ("VoIP") telephony, VoIP teleconferencing, video conferencing, speech recognition, computer gaming, in-car computing, and 3D audio recording.
According to Andrea Electronics formal complaint before the court, they claim that "infringing products made and sold by Apple, include but are not limited to, desktop computers, all-in-one computers, notebook/laptop computers, tablets, smart phones, headsets, headphones, earbuds, and wearables, are widely advertised.
For example, Exhibit 2 includes a chart comparing the asserted independent claims of the '607 Patent to Defendant's iPhone 6S product. Exhibit 2 shows that the iPhone 6S product and its use are covered by at least the asserted independent claims of the '607 Patent.
The iPhone 6S is a representative example of Defendant's infringement of the '607 Patent. Andrea believes that Defendant's devices in addition to the iPhone 6S product, including Defendant's desktop computers, all-in-one computers, notebook/laptop computers, tablets, other smart phones, headsets, headphones, and earbuds, and their uses, are covered by at least one of the Asserted Claims of the '607 Patent."
They further note that Apple has been aware of the '607 Patent and of Andrea's allegations of infringement since at least being sent a notice letter by Andrea's counsel on May 13, 2015. Despite Defendant's awareness of the '607 Patent and Andrea's allegations, it has knowingly and actively induced others to infringe the '607 Patent.
The other patents that Andrea Electronics claims is being infringed upon include granted patents 6,377,637 and 6,363,345 that cover noise cancellation as well. In addition, Andrea Electronics is slapping Apple with additional counts for willful Infringement and Notice of the Asserted Patents bringing the total of five counts against Apple.
The patent infringement case presented in today's report was filed yesterday in the New York Eastern District Court, Central Islip Office. At present, no Judge has been assigned to the case.

So now qualm com has again extended the undersized offer, to May 2 this time.
Lousy deal!
They didn't even raise their offer! We should be seeing a 40% premium or better in light of our growth rate.
If we take the pitiful offer we either get qualm com stock which isn't growing or even paying a good dividend...
Or we take less cash than NXPI is worth and will find it very difficult to find a better stock to invest in.
Please don't go for it!!

Only about 17% of the shares have been tendered and they need 80% to close.
I urge all shareholders to hold out so we can continue to enjoy the rapid growth in value we've experienced as NXPI share holders.

SAN DIEGO, March 7, 2017 /PRNewswire/ -- Qualcomm Incorporated (NASDAQ: QCOM) today announced that Qualcomm River Holdings B.V., an indirect wholly owned subsidiary of Qualcomm, has extended the offering period of its previously announced cash tender offer to purchase all of the outstanding common shares of NXP Semiconductors N.V. (NASDAQ: NXPI). The tender offer is being made pursuant to the Purchase Agreement, dated as of October 27, 2016, by and between Qualcomm River Holdings B.V. and NXP. The tender offer is now scheduled to expire at 5:00 p.m., New York City time, on April 4, 2017, unless extended or earlier terminated, in either case pursuant to the terms of the Purchase Agreement.
American Stock Transfer & Trust Company, LLC, the depositary for the tender offer, has advised Qualcomm River Holdings B.V. that as of 5:00 p.m., New York City time, on March 6, 2017, the last business day prior to the announcement of the extension of the offer, 58,021,126 NXP common shares (excluding 10,835 shares tendered pursuant to guaranteed delivery procedures that have not yet been delivered in settlement or satisfaction of such guarantee), representing approximately 17.2% of the outstanding NXP common shares, have been validly tendered pursuant to the tender offer and not properly withdrawn. Shareholders who have already tendered their common shares of NXP do not have to re-tender their shares or take any other action as a result of the extension of the expiration date of the tender offer.
Completion of the tender offer remains subject to certain conditions as described in the tender offer statement on Schedule TO filed by Qualcomm River Holdings B.V. with the U.S. Securities and Exchange Commission on November 18, 2016, as amended (the "Schedule TO"). I rescinded my vote and wrote 10 Jan 2019 110.00 Calls pulling in 3200 in premium. This deal will likely close in q4 as originally planned. Jan calls will simply go away and I keep an extra 3200.00.

This company has a heck of a lot of growth all coiled up inside,
and i think a mere 7% gain ain't nothing if we are patient.
That's much too cheap a selling price and i sold my interest in Qualcom long ago when it just squatted there and didn't budge.
New tender offer is expiring on march 7, if it closed there it's an easy 7% in your pocket.

The offer expiration date from Qualcom should be around now and the PPS has remained parked.
Meanwhile NXPI keeps racking up encouraging PR issues and the PPS just keeps squatting.

First tender offer by Qualcomm ends on february 6 guys, if this one pass already Qualcomm will be buying your share for 110 as soon as next week.

Fair Value Analysis
According to Cramer, if a deal with Qualcom was never made NXPI would be at lest 110 right now. He said Qualcom is underpaying. In the very unlikely event the deal did not happen it would run to 110 anyway.
Given that Qualcom seems to be having some anti-competitive problems, i read, the merger is in a bit of doubt.
I just put in a limit order for more, figuring i get 110 if it goes through and will be a happy camper if it doesn't.
Given where NVDA is, if the merger never happened NXPI might be more than 110 a share right now.

Let me say that I had got to the point that I don't know what is going on with this stock's price, so...
I just exited my position, I was holding calls @ a 1.08 basis and I sold today for 1.70.
It just makes me a bit nervous when the price keeps stringing along like it has , jmo but I would have expected some kind of upward movement here.. It didn't so I'll take what I got..
I agee that NXPI has very good prospects for the future without the deal going through..
If the opportunity to buy back in surfaces I would be a buyer.

Downtrend partially explained...seems Freescale merger shareholders are liquidating their buyout position in NXPI stock.
Considering they held a reported 18% of the float, that the stock has only retraced $6.00 (6.7%) to date off it's recent highs is pretty amazing. I am attempting to find out details on exactly why they dumped their entire position and where that money is going...due to NXPI's announcement of their recent note issue and the fact they are still engaged in a stock buyback. It could end up being a major positive under the circumstances.

Sometimes I wonder if these guys realize how important reporting results and future guidance really is. They claim to spend so much of their time, resources and thought on improving shareholder value then hold CCs with all the pre-emptive concentration of a fifth grade Christmas skit.

Hard to find anything bad at all in the entire 2nd quarter report except that management is somber and realistic on AI tech projections having to do with autonomous commercial vehicle production near term, so naturally stock tanks. Sometimes I wonder if Cramer being behind a company does embolden short hedge fund managers to come after it despite the fact the company is strong. Maybe he should expand his program to have a segment where people call in, give him a big 'f*** you' instead of a booyah and ask him to stop touting their company for a couple years so the stock price can recover....

Most recently NXPI has been heavily touted at $78 to $80
on his show. Now that it is at $88 (as high as $89.97 if you count AH frenzy on the anticipated earnings/revenue beat tomorrow), looks like he called a 13% profit over a three week period. So where is his credit for that? NXPI is a LT hold...10 years from now is when the truly smart money will be able to brag. You don't get a chance to pick up a MSFT or an AAPL or an INTC in it's infancy but once or maybe twice in a lifetime and NXPI, even if it misses tomorrow and crashes back into the 70s, is one of those exceptionally rare occasions. I have no idea what Elon Musk is thinking, but you know he's going with either NVDA or NXPI for his new chipset platform. He might even be considering a buyout of one of the companies (NXPI is by far the cheapest) although I would see that of more of a distraction than a good M&A move for Tesla. Still when the Tesla announcement is made, figure the winning company is up 25% on the news. $114 will be a distant memory soon after that....

The real problem with his show is that fact that he is dealing with "home gamers," as he calls his amateur audience.
They were likely not to hold when this stock fell from $114 to $70 because they couldn't take the pain. So they sell and lose.
Another thing,depending on the day and perhaps the swing of the market he'll say, "I'm just trying to make you money" to "I'm just trying to save you money."
He should wear a fright wig.
