What are the terms and timing of the ASNB reverse split? TIA
After the split:
"Reddington will purchase an additional tranche of shares of common stock from the Company such that after the issuance thereof Reddington shall own 90% of the total issued and outstanding shares of the Company’s common stock"
https://www.otcmarkets.com/filing/html?id=15285364&guid=RfSwkHUxZWc5Oth
Reddington owns about 42% pre split, 21,136,250
https://www.otcmarkets.com/filing/html?id=15285471&guid=RfSwkHUxZWc5Oth
Current share structure
Authorized Shares 50,000,000 01/03/2022
Outstanding Shares 49,398,621 01/03/2022
Post split share structure will be
Authorized Shares 50,000,000
Outstanding Shares 989,972
Reddington post split shares will be 422,725 so Reddington will have to purchase a lot of shares to get to 90%.
Why a reverse split with small share structure.
Sweet move here today. Anyone who has followed this stock for a few months has a good idea of what is coming. Just the start.
ASNB, cash: $3. LOL! Here:

ASNB has great potential but not many paying attention to what's happening on the otc these days.
R/S filing came out before market opened and we still had almost all buys and still closed up 25%. Not looking good for our dip buying.
Been here since polymedica spin-off. Made out really well there. Collected asnb dividend. Still got my shares. Stranger things have happened. Just going to sit back and see what happens.

I'm not thinking of the dividend. I believe the new owner is going to make some real money with ASNB. Happy to tag along, maybe I'll profit some too. Not a big player with these things
Sorry, I think I wrote nonsense!
If I understand correctly, they pay in total only $400000. That's very disappointing.
That means we have to hope for something positive to come in the future.
I think your math is wrong:
On Sep. 23rd 28262371 shares were outstanding.
On Oct. 12th another 21136250 were sold for $400000, makes in total 49398621 outstanding.
These will be reverse splitted 1:50 to become 987972 shares.
Then the company will sell so many shares that the new owner has 90% of outstanding shares in total. That should be based on the 28262371, not the 49398621 because he already owns a part of these, therefore it should be calculated this way: 28262371/50*10=5652474. 5652474 should be the outstanding share count at the end.
Cash distribution is not completely clear because they seem not to know how much all costs will be. They seem to estimate, that $200000 up or down will remain. These will be distributed to the shareholders as of Oct. 11th. Therefore divided by 28262371 shares. That's about $0.007 per old share. Or $0.35 per reverse splitted share (but will only be paid to shareholders of Oct. 11th). That's not much.
But we will still own 10% of the company.
I don't know how much the new company will be worth and I even don't know how much the buyer has to pay for the rest of the shares. He did pay $400000 for 21136250 old shares. But then he has to buy another 254361339 old shares resp. 5087227 new shares.
What will he have to pay?
- Current closing price, something like yesterday's, 0.033: $8393924? No, I don't think so.
- The same as he did for the 21136250 shares of first tranche?, 0.0189: $4813746? Perhaps, but I also don't think so.
But if he does, the company has $4813746 cash on hands of which 10% is our share. That's $0.85 per new share or $0.017 per old share.
I guess something like that is the deal. And I hope my math is correct.
Then we have to wait for whatever comes.
Another sale of the company? Or buyout of another company using the cash?
e-ore,
Remember only stock holders as of October 11th will benefit from the one time cash payout. I am not sure any additions to your holding will be paid the special dividend. They could just say all share holders as of October 11th will get the dividend. This could mean the person you buy share from will get the dividend. Not good.
The way I figure, the buyer will hold 90% of 1 million OS shares of ASNB. (that is after a 1 to 50 reverse stock split.
That leaves 100k OS shares to split $200k of funds or a $2.00 special dividend.
Anyone who could get a $2.00 special dividend by buying 50 shares for $0.033 per share would surely be moving on it. $2.00 for a $1.65 invested? Not a bad rate of return. That is if those shares you added to an existing holding get fair treatment.
Looking forward to seeing how this works out.
Welcome. Looking to add on dips - ASNB
Joined ya for a few. Could see a nice move here when things play out if one has a little patience. Figured now was a good time to grab some while it is quiet. Most traders dont have a clue unless they read the filings. We shall see. Very low SS and should get much lower.
I think he will look for a merger and sell it for way more than the $400,000 he paid for it. Just my opinion though
https://www.bloomberg.com/profile/person/18935094
Seems to me that we will still own 10% of the company. What then could be the business of ASNB?
ASNB 1 for 50 r/s coming, being bought by Henrik Rouf for $400,000.

Filings are finally current again.
I hope for a merger as next step.
I am wondering if they are preparing for an upcoming merger or just doing their longly neglected job.

Subsequent to the Closing Date, we became ENGAGED in efforts to identify an OPERATING COMPANY to #ACQUIRE or #MERGE with through an equity-based exchange transaction that would likely result in a change in control.
A few more filings to go to become current. The direction is the right one for now.
That was my point the other day. But we can be relatively sure that they will file the remaining ones after they filed the first one now.
The NT was for period end date 03/31/2021, but the 10-K is for 03/31/2020.
10K just filed http://archive.fast-edgar.com/20210716/AP2YK22CZC2R92PZ2A2N22Y2QQOAZZ22Z232/
ASNB is up sharply
Nothing.
Just checked the NT again:
The subject annual report on Form 10-K will be filed on or before the fifteenth (15th) calendar day following the prescribed due date of June 29, 2021.
I’m still here……holding original share pile.
wooowwwww........
ask down below 2c-,my price range finally!almost time to add a position: cheap stock and 100% pure speculation.
Yep they really need to come up with something and fast.
You are probably right and I hope they will file all the missing reports. It's high time for that.
I can see the point you are trying to make but in this case here they are behind much more than this 10k for 2021. The last Q they filed was for end of 2019 which was their Q3 since they don't have a regular fiscal year, even if they filed the 10k for march/21 which they filed the NT for, they would need to file the entire year of 2020 which they never filed an NT for either. They can't just miss out on these 2020 filings.
I do hope that they come through as you said but also for the entire year 2020 otherwise they won't get current anyway.
No, I did not talk to the company. But dontknowsht did: https://investorshub.advfn.com/boards/read_msg.aspx?message_id=163494952
My point is that they put out a NT 10-K on 06/29/2021 with that 15 days deadline. That ends today.
I expect them to publish the 10-K since last year they did not publish the NT 10-K. So, why should they act differently in regard of the NT 10-K but not for the 10-K itself...
How do you know? Did you talk to the company?
Mon, Tue or Wed is the day we should get the 10-K and I am pretty sure they will publish it. Can't wait for it.
yup, no idea how soon. Call him if you want. He is very professional.
Thank you!
Wondering if "soon" means soon.

He said they will be current reporting again soon.
Now I wait a whole year to get some information about what Ekimas is or should be. I wait for many months for the announced and further reports. And I wait two and a half months for a reply to my email to the company.
We are still shareholders and gave our money to the company.
You’re right...a ton of volume. I haven’t sold any. Just figured I’d see it through. What ever that may be.
Big volume out of nowhere for ASNB today - 1M shares so far vs. daily average volume of 53K shares.
Is it possible I could hit again here? Time will tell.....investor since 1996.
Big volume (by ASNB standards) the last couple days - has something changed?
Still holding on here as well. Not as early as you but since CTE times. A lot of the new investors to the markets are keen on penny stocks so who knows what may happen here.
Got out of a FORW that I had been holding for about 6 years a couple months back just to see it run up to $.50. Been investing for 15 years and have never seen the interest in penny stocks as I do now. Anyway, won't let this one run up without me. Holding till at least something modestly happens.
I keep looking but can't find anything in the pipeline with ASNB.
Still here.....been here since CTE was spun off of PLMD. CTE then became ASNB. Interesting things going on here it appears.
UPDATE:::
Today is December 17, 2020. Over seven months and what has happened. Covid19 out of control. Two new COVID19 vaccines hit the street in the past week. New York City is closed for business. And what is going on with EKIMAS Nothing...still holding...board of directors resign....looks like a take over is coming....With Biden in charge in 2021, look for more china companies needing to register in the USA. Looks like "shell companies" are vogue again. I am betting on Hunter!!!!!!!
