Sell side is light no walls . 5 doable?
Maybe tomorrow. I thought that pop this morning meant something was up.
New to board, put NCRA on my watch list.
NCRA moved to the Nasdaq from the OTC:

NCRA: two for 3 reverse split:

Signs of life returning to NCRA. I'm noticing the stock is trading daily. Plus a 9/2 news release says NCRA has a "next-generation of commercially operational Recirculating Aquaculture Systems (RAS) designed to improve productivity and sustainability in commercial aquaculture." The new tanks have an improved oxygenation system, which allows approximately 50% more fish to be raised in the tanks, and makes the transport of fish more convenient.
Nocera, Inc. (OTC: NCRA) Announces Agreement to Produce 6,500 Tank Systems for Procare International Co., Limited
ATLANTA, Jan. 6, 2020 /PRNewswire/ -- Nocera, Inc. www.nocera.company (OTC: NCRA) a provider of design, build, and installation services of aquaculture (fish farm) equipment is pleased to announce that it has entered into a Project Contract with Procare International Co., Ltd. to produce 6,500 Recirculating Aquaculture System ("RAS") for a RAS fish farm development in Ru Hu, Guang Dong province. The production and installation of the 6,500 RAS tanks is expected to begin late in the 1st quarter of 2020, and extend over a 3 year time period. Based upon the current exchange rates, each tank has a contract value of approximately $18,000; with the estimated total contract value of approximately $117,000,000 over three (3) years.
Procare International Co., Limited based in Hong Kong is a company in the sales and production of audio speakers and related parts to Walmart, Radio Shack, and Amazon, as well as other companies. After seeing our demonstration site in China and the demand for fresh water fish, the president of Procare, Ms. Lee Chin Chu signed a master contract with Ru Hu township to invest and build a fish farm containing 6,500 tanks over the next 3 years.
Ru Hu is a township with a population of 52,000 and is located approximately 2 hours northwest from Hong Kong and Shenzhen. Guang Dong province is a coastal province located in southeastern China, and borders Hong Kong and Macau.
Currently, the Company is awaiting the initial payment before the start manufacturing. It is currently expected the initial payment will be received in late Q1 of 2020, and with an expected production and delivery of 1,000 to 1,500 tanks during 2020.
Management Commentary
Yin-Chieh "Jeff" Cheng, Chief Executive Officer, Nocera stated, "We are very pleased with the contract agreement. The President of Procare, Ms. Lee Chin Chu believes this investment is a step in the right direction for addressing China's food supply requirements through the development of sustainable fish farms utilizing RAS tank systems. China introduced its new clean water policy in 2017, resulting in the removal of all fish farms in public waters, including lakes and rivers. As a result, Chinese fish farm operators have been forced to move to tank based fish farms in order to sustain production. In 2018, we produced and delivered 473 tank systems to our Chinese customers. We expect that the long-term demand over the next several years in China to be more than 10,000 systems, and more than 16,000 systems worldwide."
NDYN is owned by NCRA, look out for updates!!!

Nice little +46% move today.
Agreed, they are doing things right... Has taken longer than expected, but judging from the price action recently, they ought to be getting close.
#LockedAndLoaded
Who knows what the Asians have in store. You know sometimes they go nuts on their own stocks buying them up. Not only will this be SEC reporting but Ive seen Round ups go way higher than 10.00 before. Several of them have gone 15 bucks ++++
This might turn out to be a Goldmine.imo More often than not these RS Roundups go 4 or 5 bucks bc no shares available. Will see if it can blow past the .60s. People still whacking out or have those 200 lots selling for nothing. Got Asians involved, RM, Low float, most shares restricted, surprised its not 1.00 at the very least now. Can get .50s it appears relatively easy.imo Hopefully this dude wants it at 2 to 5 bucks initially. People who bought in last time appear to just want out but I dunno...., seems like its worth the wait now bc all of the stuff is coming out. No point to me to buy and hold a RM play only to sell it for even RIGHT when the RM is happening.
A lot of SEC filings out recently. Doing it all the right way. You dont see too many straight pinks go SEC filer
This guy is sure taking his time on filings. Is he going to wait a year... Man the time frames on these stocks always suck. Could be $2.00++++ with some filings and RM
Hey Shell, I can't post on "shell" message board today... Did you make it subscript only???? Please adivise
This was filed pretty recently

Shows July 2018 with one of Corals cos
OTCM is so out of date it shows DE as SOS... its actually NV now.

since a long while back....
Will see if these Georgia guys can pull off a great RM. Trying to recall any Awesome RMs from GA. Or the RM guys being from there pulling off some good deals...
Yup prob will tomorrow. Prob just a couple guys there I bet. Hopefully they got something planned. I know these always take months longer than they always say. Well I guess it means its just that much closer. Unless this was a NRSEC and its more difficult to get a 1012g?
Nope, I haven't called, but the action on the stock recently would tell me that we're getting closer...
If you call Coral Capital, let us know what they have to say.
NCRA OTCM page is pretty darn blank. At least they have the contact info but they could try to update some of the other stuff. And that filing would be nice. Or heck just do the OTCM financials unless they are wanting some uplisting here.lol Thats a stretch but a lot of these round ups like to uplist and keep those 300 shareholders.
They are a little overdue on their supposed filing. I hope these guys get on it and put the stuff out. They should be well aware of what could happen if they "dont" file.... Have you heard anything from them lately?
Activity seems to be picking up.
5k just got dumped to the bid at .18, did you get those shares $hellKing?
Somebody is buying up shares and the bid is creeping up. Hopefully they know that something is coming soon...
So whoever had at least 1 mil shares pre split has 5k post split now
1,000,000/40,000 = 25
25x200=5,000
So got an ok chance of being able to pick up 5k at some point on the bid. Someone will probably whack. They have twice already since RS/FS
There were some 1 mil 1.2 mil trades I believe. Saw one 1.2 mil that went off a few months ago before splits.
Could turn out to be one of those special ones.imo You never know where these things can go. When OS float is 1-2 mil anything is possible. Could go dollars for all we know. But since there are a few 5k lots here and there it can always be whacked down. Could be 5k bought at .50 then someone will come along and whack .03 for 5k.
but i would try to bid for a long time just in case .10s or lower drops. I would even venture to put 2500 at .20 maybe in future but thats just me. I rather get some than none before a run even if shares drop cheaper later.
wow shit this sounds good. 2 mil OS this is going over a buck easily.imo Prob could be patient and pick up a few k at .04 to .10s
Sounds good hes invested in this and A month or two ain that long in shell time
if RM happens would hardly be any resistance on the way up. Maybe some old holder dumps out not knowing whats going on. but They would of had to have a ton of shares before the RS FS ratio
For those who don't know... Coral Capital buys dirty shells, cleans up the share structure, brings the filings up to date and then sells the shell to a company in a reverse merger.
I just called Coral Capital and spoke with the guy who is acting as the transfer agent for Nocera.
Here's what he told me:
1) 2.2m outstanding shares
2) Will be filing a form 10 in late April or early May.
3) He is personally heavily invested in this shell, both in time/effort and financially.
4) Wouldn't tell me if he already had a company to buy the shell, but did say that he's going to get a good quality company to go into it, no toxic funding companies.
Hope that helps =)
This should be a good one.imo With such a large RS followed my a smaller one
I think the OS is 800k now with float maybe 50k if they had 300 shareholders or so?
In any case from past ones like this Ive seen these go multi bucks. I think we both remember several of these going 5 to 15 bucks a share. Esp the crazy ones that do large RS. but this one was a little cooler being that shareholders got 200 instead of 100. Who knows maybe they are thinking uplisting thats why keep the shareholders of 300 plus intact.imo Ive seen what 5 or 10 of these go big boards in the long past.
Thanks today32, yep, your numbers are about what I came up with.
Given the outstanding share count was 90.1m pre-split and the split was 1 for 40,000, that leaves roughly 2,250 full shares. I'm going to assume that there might have been say 250 sets of fractional shares that got rounded up to 1 full share, so that makes 2,500 shares post-reverse-split.
Then the 200 for 1 forward split occurred, making the outstanding share count roughly 500k.
Is that about what you came up with StockSeedGems?
Honestly the easiest way to find out for sure is to just call the transfer agent.
I ran some math possibilities based on Nevada SOS filings inclusion of pre split A/S and the FS/RS, and in my opinion, based on that info alone, I think this stock could trade at much higher levels. Any update from company would certainly be helpful.
Suggest checking and reading, "Nevada Secretary of State" site and search for Nocera Inc. filings.
Was unable to find out any information, however, am I incorrect in thinking that after a 40000 to 1 RS, there must be a very limited number of shares outstanding ( even taking into account the 200 FS following the RS ) ?
From what I understand so far, this is a shell company owned by Coral Capital and they likely have an incoming company to sell it to. I have not yet tried to call Coral in NYC (212-219-0159), but that would be the next step to get more info about the new company.
If you do call, please share a recap with us. Thanks!
Any insights at all anyone can offer is appreciated.
