It sure would be nice to know what secrets came through your email that the rest of this board isn’t allowed to see or know.
Thanks AO. Sadly, there are many who have to totally rebuild or just move on. The devastation is unfathomable. I got lucky. Very lucky.
I guess they can, but does it make sense?
Only if they sell to known party for an agreement price...
Just a speculation
What?!?! A SPAC wanting to invest $400 million!!!
Leave it to Mark Smith and his band of idiots to merge with GXII that actually cost shareholders $5 million net cost and now over $300 million in market cap loss. Not to mention that Dean Kehler and Jay Bloom now own just under 20% of the company.
Thanks for the fist f*@cking Mark!!!
The $300+ and growing market cap loss question is “WHO IN THE F*@K INTRODUCED MARK TO GXII!!!” I’d like to shake their hand and kick them in the crotch!!!
It would just be an adjustment to terms. Celularity had a similar reset. The terms reset lower. It may be a mute point. If Niocorp defaults in 30 days it will be bottomless bidbomb.
But you could be right, shrug. There must a provision in the agreement to cover this eventuality.
Agreed, but this is interesting too. Do you know what happens if the price drops below $2.14?
Biden signed MMIA in 2021. The EXIM chair was confirmed by the Senate and sworn in by Harris in 2022. She knows her role and her mission with respect to the administration. The 2024 NDAA included the ability for advance purchases and long term contracts for critical minerals along with $10 million for AlSc alloy production. That was signed by Biden. The first EXIM domestic loan was August 2023. If anyone else has any proof to the contrary that the Biden admin isn’t 💯 behind these projects, please put it out there without stating things as facts without backing them up.
Trump signed Executive Order 13817 of December 20, 2017 (A Federal Strategy To Ensure Secure and Reliable Supplies of Critical Minerals), which required the Secretary of the Interior to identify critical minerals and made it the policy of the Federal Government “to reduce the Nation’s vulnerability to disruptions in the supply of critical minerals.”
They both want it, the military wants it, the private sector wants and needs it. Do your own research and make your own decisions.
What? They walked away from a spac? That $400 mill assumed full buy in. We all know how that can work out. Smart of them.
I’d be more concerned about the $1.4mm repayments starting in June to avoid defaulting on the recent $8mm loan to avoid defaut. They need the stock over $3.30 US with volume starting May 27 for 5 days or they have to cut a check. MS has got to be thinking/praying he has something big coming. Otherwise how would he enter into such a dangerous (defaulting would result into a really bad terms bid bashing deal), dilutive (the 600k+ wts), and expensive (a million in fees) deal. Well he’s done stupid before. Many times.
Interesting, thank you for posting
With the $2.14 floor for Yorkville to convert in sight, I'm trying to figure out how much they have left of the $15million they advanced last year.
In the 4th quarter try converted $2.1 million (way down from the previous quarter, around $5.2 million) leaving around 5.5 million to collect.
Yorkville picked up the pace from the 1st of the year through Feb 13 converting $1.63 million. That left $3.87 million.
Assuming they have kept up the same pace, and maybe the fresh outlays in March slowed things down, they still have around $1.16 million to go. This is just my best guess.
Does anyone know how they recoup what they are owed if the price drops below the floor?

Well, I hope you’re not correct. I just don’t know how much Biden can stop EXIM from doing their job. Politics should not be involved. Our country, economy and defense need this mine. He must know that.
Correct AO. The law and rules change in the 2nd half of 2022. Previously EXIM could not fund US based projects.
I realize your have a distrust of mgt. I get it. That has nothing to do with whether NioCorp gets EXIM funding. It’s not MS’s call. It’s EXIMs.
As stated previously, MS is a f'n liar. He has known for years Elk Creek was a loooooong shot, but he deceived everybody, to enrich himself and the insiders. He's a f'n bas.....turd....taking salary increases, etc., on investors backs. He has ZERO shame. He's a scam. EVERYTHING he has been involved with/'leading,' has been an ABSOLUTE trainwreck. As the former Governor of New York, Al Smith, was famous for saying, "let's look at the record!' We were ALL manipulated/lied to by these kleptocrat bas...turds....I've accepted this inevitability.....
Because they just started this kind of domestic funding. It’s a new program. . Where have you been? I hope GMAN can post when this program started.
AO, what mine in the USA has EXIM funded that PROCESSES in the USA? Answer: NONE
I know that it’s going to Australia. It’s all there in the article. Is EXIM Biden? And why did EXIM send Perpetua Mining a Letter Of Interest From EXIM Bank For Potential Debt Financing up to $1.8 Billion? So they could spend ten of thousands, maybe hundreds of thousands of dollars or more?. I have no idea the cost of EXIM review process) and man power on exploring funding a mine they secretly know they won’t fund? Makes no sense.
You can’t get funding if you don’t apply. Too early to make that call. The best anyone can say is maybe they will get financing maybe they won’t. Nobody can say for sure they will or won’t get financing. Not our call. EXIMs call.
Indeed, what a mess. Mark Smith can really be proud!
Delisting from Toronto exchange is causing some panic selling. Not everybody is sure what to do with their shares and what will happen because not every broker provides transparancy and guarantees. This was really not the vibe that we needed.
LOI's mean nothing. Elk Creek will not be funded by EXIM....and likely never funded. As stated, there is likely to be a another/final 10/1 SS....and you will see, for the final time, what BS MS is....NB is a loser folks
Reminds me of a horse race where you bet on the favorite and the horse comes up lame out of the gate.I am stunned and disappointed at the same time. Thought this was a ticket to paradise and I wind up in the Bronx working at a bodega.
No reason not to believe this will happen,
But shares are bombed out, not forever guys, not forever....!
That’s not true. Politics aside, the US’s EXIM Bank expanded their program recently to offer a Letter of Interest to fund another mine for $1.2 Billion and recently approved $694 million in funding of export of U.S. mining and rail equipment to Australia.

The NioCorp rollercoaster. Been there before. We can only hope, I’m sure mgts scrambling to get this done or at least you’d think so.
Geopolitically, this mine will not be funded before the U.S. election. If Biden is re-elected, this mine will not get funded by EXIM. Biden's a radical climate change nut, so no funding and NB stock will continue to drop like a rock. NB Board knows this. Prediction: if Biden is re-elected, NB will have another/final 10/1 SS, and MS/Jim/Neil/The Board will all cash out and we'll all be totally wiped-out. We will know by 2024 year's end....
Money, big update coming in May
Anything besides a positive out of Exim is crazy....
All good points though NB will still soar if they get EXIM funding independent of the other situation you mentioned. It’s not all or nothing if NioCorp gets EXIM funding. Boeing with all their challenges is selling today at $172/share up 2.83% today.
A new low today! MS is a con. Everything he has been involved with, has been a trainwreck. He's a f'n liar!!
Mark Smith never fails to disappoint.
The Niocorp deal is stellar compared to the CELU butchering. CELU has completely wiped out their original shareholder base. I do not know what the past history of the company is but when the vipers of GX got their mitts into the biotech, the price was I believe near 8 dollars a share. Now it is lower than .03 because of a reverse split in Feb. 2024. That is insane but GX has managed to kill that company. Go back to 3/23 and Niocorp decides to get in bed with a SPAC that was close to closing down. Their insiders were handed a nice payday for providing nothing but a name. No support for the share price and Nio has to use Yorkville and now Lind. They might be worse than GX. Please tell me how management can **** up two companies so bad(IBC). The next time I hear the word "imminent" again concerning a stock I own, run for the hills.
Curious to see if any insiders unloaded on the pump and dump that ran this turd up to 4 dollars a share. That lasted all of one day. Penny stocks are basically hit on one and lose on 199. I am batting .000.
I believe you’re right about that. It’s been awhile since I’ve looked in those off takes. 25% to Traxsys and 50% to TK.
Only 50% is tied to ThyssenKrupp. CMC Cometals had signed an agreement for 25%, but they’ve been bought out since. The other 25% has not been locked in by anyone else yet
The GXII SPAC deal with Niocorp was absolutely horrendous, but the GX SPAC deal with Celularity hasn’t gone very well either. They have had two reverse splits and lawsuits are piling up. It appears the company breached their fiduciary duties to shareholders. It’s starting to sound familiar 🤔
https://www.marketwatch.com/press-release/kuehn-law-encourages-long-term-investors-of-celularity-inc-to-contact-law-firm-0f428d8d
Within a penny of the floor, does anyone know how Yorkville gets paid with the price drops below $2.14?
Good points MM and one that should be brought out in the open. As monocle pointed out, 75% of niobium is committed to Thyssen Krupp, a German Steel Co and if an agreement is reached, a REE off take with Stellantis, a foreign company. The benefit to America is Stellantis jobs (hopefully) in America, Govt stockpiling of mineral reserves (not exactly a foreign interest) but I don't think its an all or nothing arrangement. To sell anything to a foreign entity, NioCorp needs to have a mine built in the US, processing facilities constructed in the US, office building in the US, workers have to be hired and paid to construct the facilities in the US, engineering companies get paid in the US, Cement factories get paid in the US and the facility will have full time employees in the US (miners, staff) etc. All of those measures sink dollars back in to the local, state and federal taxes, companies and employees in the US.
Missed this news Friday, IBC will close its emc division this summer because they could find no new business when a current contract runs out.

I'm already laughing. At this point, nothing anyone writes matters but it might. Some may write to get people to sell others to buy. Personally, I don't care who buys or sells. Either EXIM funds or they don't. It's not our decision. If they do, ka-ching! If they don't. Well. Thank you for your post!
Dear AO, I recognize the feeling and empathize with you. I hope that we can laugh about this together in a short while as we look back on this downward rat race. If we reach the old targets set in the distant past: 'anything between 20 and 50 dollars is realistic once the mine is fully operational'. Pre-reverse split price!!! (equals 200-500 USD...). Just saying, my stomach turned when I just looked at the updated value of my portfolio this beautiful Monday afternoon...
Wait a minute. You posted 18 x on Lightwaves Message Board on April 24. Harrumph! Regarding the share price, if you keep talking the share price down you will be able pick up all those cheap shares like you said you wanted to happen. So look at the bright side. LOL
Isn't 75% of the niobium spoken for through off takes with foreign companies? Stellantis is a foreign company as well.
Wholeheartedly agree with your last sentence and don't forget they got their biggest ever haul of cheap as hell options as well. Unforgivable imo.
Didn't Mark have performance based compensation at Largo rather than a straight-up salary?

NioCorp Developments Ltd. is a U.S.-based mineral development company focused on developing several superalloy metals from the proposed Elk Creek, Nebraska Critical Minerals Mine. NioCorp plans to produce three commercial mineral products — Niobium, Scandium, and Titanium — from a single ore body in the Midwestern United States. NioCorp's Elk Creek Project is highly unique. It is North America's only niobium / scandium / titanium project. It is the highest grade niobium project in North America. It is one of the largest prospective producers of scandium in the world. Once in production, it will initiate the first production in the U.S. in decades of Niobium and Scandium. All three of the Project's proposed superalloy metals have been designed as "Critical Minerals" by the U.S. Government.
NioCorp is a publicly company that is listed on both the Toronto Stock Exchange under the ticker symbol "NB" and on the U.S.-based OTCQX exchange under the symbol "NIOBF." Shares are also traded on the Frankfurt Exchange, under the ticker symbol "BR3."

Overview of the Elk Creek Project: http://www.niocorp.com/elk-creek-project/
U.S. Geological Society description of Elk Creek Carbonatite
"The Elk Creek carbonatite, located south of Lincoln, has the potential to be one of the largest global resources of niobium and rare-earth elements (REE). These REE's have many important applications in industry, including petroleum-cracking catalysis, steel alloying, and glass polishing, and as sources of permanent magnets and phosphorus for television and lighting.
The Elk Creek carbonatite is buried beneath about 500 feet of overlying rock and is known only from drill cores, which, until recently, have remained proprietary. Scientists from the USGS and the Conservation and Survey Division (CSD) of the Institute of Agriculture and Natural Resources at the University of Nebraska--Lincoln have studied drill cores."

About NioCorp
NioCorp is developing a superalloy materials project in Southeast Nebraska that will produce niobium, scandium, and titanium. Niobium is used to produce superalloys as well as High Strength, Low Alloy ("HSLA") steel, which is a lighter, stronger steel used in automotive, structural, and pipeline applications. Scandium can be combined with Aluminum to make super-high-performance alloys with increased strength and improved corrosion resistance. Scandium also is a critical component of advanced solid oxide fuel cells. Titanium is used in various superalloys and has extensive uses in aerospace, defense, transportation, medical, and other applications. It also is a key component of pigments used in paper, paint and plastics.
