Nextwave Wirless net loss widens in Q3 as bankruptcy looms

US mobile broadband company Nextwave Wireless a net loss from continuing operations during the third quarter to 2 October at USD 65.4 million compared to 57.2 million the year before.. The company said it has funded operations, business combinations, strategic investments and wireless spectrum license acquisitions primarily from capitalisations and share offerings. The company began a restructuring programme in 2008, resulting in the sale, dissolution or closure of its network infrastructure and semiconductor businesses. Nextwave said it will continue as a going concern and that it is confident it will recover its assets and satisfy liabilities in the normal course of business, if it manages to pay all senior notes. The company is able to pay interest to noteholders and meet operational needs through September 2011, excluding the repayment of senior notes due July 2011. If means are not found to pay the July 2011 notes, the company will file for bankruptcy.

NextWave Chips Away at Net Loss

NextWave Wireless Inc., which sold its remaining interest in its main subsidiary, PacketVideo, in August for a net profit of $107 million, reported Nov. 10 a third quarter net loss of $79.7 million, down from the $100.6 million net loss for the like quarter of 2009.
For the nine months ended Oct. 2, NextWave reported a net loss of $154.2 million, compared to a net loss of $238.3 million for the like nine months of last year.
In its securities filing, the company stated its accumulated deficit as of the end of the third quarter was $1.34 billion, compared to an accumulated deficit of $1.19 billion at the end of the third quarter of 2009.
Banished from Nasdaq in July after its share price dropped below $1, the stock was traded on the Pink Sheets Exchange on Nov. 11 at $1.15, and has ranged from 70 cents to $5.11 over the past 52 weeks.

On October 4th, 2010, NextWave Wireless Inc. (OTCQB:WAVE) (the “Company”) announced the voting results of its special meeting of stockholders held on October 1, 2010. Stockholders of record on the record date, August 10, 2010, were entitled to vote at the special meeting.

NextWave, Cavalier highlight shadowy world of spectrum speculators
he new FCC has made freeing up additional spectrum for broadband wireless services a key element of its agenda. However, some of the spectrum recently freed for just that purpose remains dormant. The reason? A small but active group of speculators are sitting on auctioned airwaves with the goal of either funding a network buildout or selling the spectrum to the highest bidder.
Of course, NextWave is the most well-known of these players. The company gained notoriety during the FCC's PCS auctions in the 1990s by bidding for spectrum it could not pay for. After years of court battles, the company finally sold much of its spectrum holdings to Verizon Wireless (NYSE:VZ) and others, and used the funds to parlay itself into an array of seemingly random businesses: WiMAX (via its acquisition of Cygnus), streaming multimedia (via its acquisition of PacketVideo), WiFi (via its acquisition of Go Networks) and so forth. The company also invested in additional spectrum, including purchasing 154 AWS licenses for around $115 million during the FCC's 2006 auction.
However, during the past few years NextWave has gradually managed to offload much of its once-sprawling operations. The company in 2008 sold off a wide swath of its spectrum holdings to the likes of T-Mobile USA, MetroPCS (NYSE:PCS) and others, in 2009 it ditched IPWireless for $1 million, and earlier this month NextWave sold its remaining stake in PacketVideo to DoCoMo for $111.6 million.
What does that leave NextWave with? "Our continuing operations are comprised of our strategic initiatives segment, which manages our portfolio of licensed wireless spectrum assets," NextWave reported in its latest quarterly filing with the Security and Exchange Commission. "Since we now operate in only one business, we no longer provide segment reporting."
NextWave officially has gone back to its roots: spectrum speculator.
"We continue to pursue the sale of our wireless spectrum holdings and any sale or transfer of the ownership of our wireless spectrum holdings is subject to regulatory approval," NextWave said in its filing. "We expect that we will be required to successfully monetize most of our wireless spectrum assets in order to retire our debt."
A NextWave representative declined to provide any further information.
According to government filings, NextWave in the United States owns WCS licenses covering 208 million POPs, EBS/BRS licenses covering 47 million POPs and AWS licenses covering 6 million POPs. The value of this spectrum is difficult to ascertain. As one executive told me, "beauty is in the eye of the beholder," meaning T-Mobile might suddenly need additional AWS airwaves if users begin piling onto its new HSPA+ network.
But NextWave isn't the only company out there actively shopping its spectrum holdings. I recently spoke with Wirt Yerger, head of Cavalier Wireless. Cavalier spent around $20 million on 30 licenses during the FCC's AWS auction in 2006, and $62 million on 35 licenses during the FCC's 700 MHz auction in 2008. Cavalier owns AWS and 700 MHz licenses covering around 47 million POPs, mainly in areas east of the Mississippi.
Yerger, who cut his teeth in the 1980s building out wireless networks under the now-defunct Cellular One brand, said Cavalier is evaluating all of its options, including building out a network using its spectrum holdings or selling the airwaves outright to another company. Such efforts have precedence: Sprint Nextel recently purchased 16 PCS spectrum licenses from Wirefree after Wirefree failed to find success selling wireless services to business users.
On researching this topic, I became curious about how the FCC views these companies; they are essentially sitting on airwaves intended to provide faster speeds and greater capacity to wireless users. Indeed, the FCC has promised to free up to 300 MHz in the next five years for mobile broadband to satiate the growing data demands of an increasingly mobile, tech-savvy population.
The answer I got surprised me: FCC spokesman Matthew Nodine said the agency doesn't really care what auction bidders do with the airwaves they win. While the FCC does maintain buildout requirements for the spectrum it auctions (for example, most AWS licensees must make a showing of "substantial service" in their license area by 2025), what licensees do in the interim is of no concern to the agency. The FCC's goal is to get those airwaves out into the market, and then let whatever happens, happen. (Let's ignore net neutrality for a moment.)
The alternative to this approach, of course, is the beauty contest, whereby companies attempt to convince an agency they would make the best use of available spectrum. While seemingly logical, the beauty contest method of allocating spectrum chafes even the most ambivalent capitalist.
Now, it's worth putting this whole topic into perspective: Spectrum speculators represent a relatively small part of the overall game. Larger operators such as T-Mobile, Verizon Wireless, AT&T Mobility (NYSE:T), Sprint (NYSE:S), MetroPCS and Leap Wireless (NASDAQ:LEAP) typically dominate FCC spectrum auctions. Further, smaller companies that win spectrum in auctions are not necessarily spectrum speculators: For instance, a handful of bidders in the PCS and AWS auctions have teamed under the "ClearTalk" brand to build out their spectrum holdings and offer services to end users. According to ClearTalk's Eric Steinmann, ClearTalk comprises companies including NTCH, Flat Wireless and others that have built out networks running on spectrum purchased through FCC auctions or through after-auction transactions.
The bottom line, I suppose, is that spectrum speculators like NextWave, Cavalier and others are a byproduct of the booming demand for wireless service. They're the corporate equivalent of people who bid on the contents of abandoned storage units--you never know exactly what you'll get until you buy it. --Mike

NextWave Posts $71M Quarterly Loss

NextWave Wireless Inc., which announced earlier this month it is selling the remaining 65 percent of PacketVideo to NTT Docomo for a net gain of $107 million, reported Aug. 10 a second quarter net loss of $71.2 million, compared to a net loss of $55.5 million for the like quarter of 2009.
For the first half of the fiscal year, the San Diego business that owns wireless spectrum licenses said it had a net loss of $74.5 million, compared to a net loss of $137.6 million for the first half of 2009.
NextWave’s second quarter ended July 3.
According to a securities filing, the company issued $25 million in senior notes during the quarter. It is paying 15 percent interest annually on the notes.
Now traded on the Pink Sheets Exchange after it was delisted last month from Nasdaq, shares closed at $2.33 on Aug. 10, up 3 cents from the prior day’s closing price. The stock has traded from 70 cents to $10.15 over the past 52 weeks.

NTT DoCoMo to buy out rest of PacketVideo -Nikkei
TOKYO Aug 2 (Reuters) - Japan's NTT DoCoMo (9437.T) plans to spend about 10 billion yen ($115.7 million) to buy out the rest of U.S. multimedia software firm PacketVideo from NextWave Wireless WAVE.PK, the Nikkei business daily reported on Monday.
In July last year, Japan's largest mobile carrier acquired a stake of about 35 percent in PacketVideo, the Nikkei said.

TeraGo Networks Inc.’s $5-million acquisition of licences to operate broadband services in the 24 GHz spectrum band is a “great deal,” wireless industry consultant Eamon Hoey, a senior partner with Hoey Associates in Toronto, said in an interview.
TeraGo announced last week it has agreed to purchase spectrum licences from Mobilexchange Spectrum Inc., covering six large Canadian cities.
The company has bought 240 MHz of spectrum each in Montreal, Ottawa and Toronto, and 80 MHz each in Edmonton, Calgary and Vancouver.
The company says it plans to use the spectrum for Ethernet services for business, government and cellular backhaul.
Hoey said the spectrum’s $5-million price tag was a “great deal” considering the high costs associated with spectrum transactions.
He said NextWave Wireless Inc. is currently looking to sell 30 MHz of Canadian spectrum for WiMax services at a price of $46 million. The spectrum was originally purchased for $26.2 million US.

NextWave said it plans to sell its spectrum licences over time and has engaged Canaccord Adams to market its Canadian holdings. NextWave’s Canadian licences are held by the company’s Canadian subsidiary, and cover major cities including Montreal, Ottawa, Edmonton, Quebec and Winnipeg.
Hoey noted that the value for spectrum varies according to its frequency, and that different portions of spectrum are better suited to different purposes.
The lower the spectrum’s frequency, the further the signal can travel and more efficient it is for broadband use. Signals in higher spectrum ranges, such as WiFi, are more readily absorbed by the air and physical objects.
Bryan Boyd, TeraGo president and CEO, said in an interview that the spectrum purchase represented good value for the company, and that it is expected to rise.
“[Spectrum] is a resource that is limited, and demand is increasing over time,” he said.
Boyd said the backhaul system TeraGo will offer through the newly purchased spectrum will be useful for businesses looking for a back-up system or diversity.

NextWave Announces 1-for-7 Reverse Stock Split, Effective June 21, 2010

NextWave Wireless Inc. (NASDAQ: WAVE | PowerRating) (the "Company") today announced that it has filed a certificate of amendment to its Amended and Restated Certificate of Incorporation to effect a 1-for-7 reverse stock split that will become effective at 12:01 a.m. Eastern Time on Monday, June 21, 2010. The primary purpose of the reverse stock split is to raise the per share trading price of the Company's common stock to better enable the Company to maintain the listing of its common stock on The NASDAQ Stock Market LLC ("NASDAQ"). While You Were Sleeping - Looks at UNG, WAVE, and PLUG
Small cap stocks United States Natural Gas Fund, Plug Power, and Nextwave Wireless are sliced and diced.
Take Nextwave Wireless Inc. (NASDAQ:WAVE) for instance. The recent slide to $0.283 may seem innocent enough.... most stocks are struggling, so why wouldn't this small cap stock struggle as well? Take a closer look at the chart though. Specifically, take a look at the support line at $0.30 (blue)... which had held up a few times since the middle of last year, but now, failed to. But wait - it gets worse.
Now take a look at the last three major peaks from Nextwave Wireless shares, and where they occur in relation to the support at $0.30. That's right, WAVE just slipped into a bearish head-and-shoulders pattern... a bit of a kiss of death. I think a move to late 2008's lows around $0.07 is a distinct possibility, with now other real floor in sight.

Last week was the 10th annual Detroit Telematics Conference, a two-day demo of futuristic mobile technology. The buzz this year was all over mobile apps and platforms as part of a whole digital ecosystem that extends from the cloud, throughout your home, mobile device and into your car.
Telematics is loosely defined as wireless communications technology, the phrase has been largely co-opted by the auto-industry to mean digitally connected cars and automotive devices. Digital connectivity in the car is no longer restricted to Satellite Radio or GPS systems. Instead, a combination of satellite, wireless digital networks and in-car sensors are shaping up to build the future of Knight Rider’s intelligent car, Kit.
Although many of the ideas on display at the Telematics show were incomplete or lacked a distribution channel, that’s the real beauty of a real industry trade show. It represents a future potential rather than, like CES, a forum to advertise and announce polished products.
Two of the more polished demonstrations included Twonky and Rovi. Both sytems used local wi-fi network to extended digital media throughout your home and into your car. The Twonky demo had a certain polish and completeness that Rovi lacked, it seemed like more of a platform waiting for an implementation.
Twonky Goes for a Ride
At the show - PacketVideo and JDM System Consultants announced they’re bringing Twonky for a ride in your car. PacketVideo system’s media sharing solution TwonkyMedia has been a reference server for the Digital Living Network Association (DLNA) since 2007.
The partnership will bring Twonky Media network to DLNA, UPnP and wireless digital head-units and media storage systems for your car. JDM has developed a unique set of voice-enabled controls allowing drivers to manage their mobile music collection with simple voice commands. Drivers will be able to play, stop, pause and mute digital media without taking their attention from the road. Together with Twonky’s connectivity products, users will be able to share music, movies, photos and even the AV Rant podcast with ease.
Rovi
One of the earliest names in DRM, dating back to the 80s, Macrovision is now known as Rovi. Ironically, Rovi is attempting to blaze new ground in the media-sharing business (as opposed to prevent sharing) with its Connected Platform. It’s another platform in search of a manufacturer (OEM) to plug Rovi’s software into their products. Connected Platform offers complete interoperability between home and mobile entertainment products through standards like DLNA, UPnP, DTCP-IP and OCAP/Tru2way. These home media devices share digital media throughout the home as well as into your smartphone or automobile.
Rovi has another offering for devices looking to incorporate the Connected Platform into their media devices - Lasso media recognition system. Lasso is like the Compact Disc Database (CDDB), except it’s designed for any digital media. Lasso will recognize and then assign metadata to your media, helping to organize your digital collection.
At the show Rovi demonstrated a 2-din Kenwood head-unit (with a bold full-color screen) that could recognize your digital media and would display metadata, including album cover art on-screen. The head unit itself was not connected to a network. Instead it would rely on Rovi’s massive media database that the exhibitors claimed would recognize over 80% of your media. Downloadable updates were available online that could be loaded onto the car stereo system. Future products incorporating Connected Platform and Lasso are likely to be digitally connected, so Lasso’s library updates would be automatic.
Unfortunately this particular Kenwood head-unit was only available in Japan at the moment.
This telematics ecosystem and cloud we heard so much about at the show (I find ecosystem a poor choice for an industry buzzword but that’s another story) gives us a glimpse into the direction of digital media. Someday your entire movie, music and photo collection will be dragged and dropped wherever you want or will already be in the cloud waiting for you to access – whenever, wherever and however you want.

PacketVideo Ends Development of TwonkyMedia Server for Windows Home Server
In a forum posting today on their company forums, PacketVideo revealed that they have ceased development of the standalone TwonkyMedia Server add-in for Windows Home Server. Users who wish to continue using newer versions of the company’s DLNA media server will be forced to install the standard version of the produce, most likely via a remote desktop session. The company’s Product Manager announced:
We’ve decided to move away from dedicated TwonkyServer builds for WHS starting with TwonkyServer 6.0. In a few days we’ll be posting detailed instructions telling all of you how to install the regular version of TwonkyServer on your NAS. Of course, we’ll continue to support HP on their MediaSmart servers as we have in the past.
Although this might be a disappointment for some, I think you’ll find the normal versions of TwonkyServer to much more stable and better performing — because they get a lot more testing. You’ll also find that bugs are fixed much more quickly on these releases. I will be happy to collect any WHS requests of problems with TwonkyServer 6.0.
Support for the standalone add-in has been sporadic with releases and updates being skipped or shipped late. Reading between the lines of the forum post, it seems that the company recognise the add-in has not had the quality and performance testing it really should have.
With the forthcoming next version of Windows Home Server offering in-box DLNA compatibility via the Windows Server 2008 R2 codebase, the company may have seen the writing on their wall for their software.

PacketVideo have announced updates to two applications, TwonkyManager 2.0 and TwonkyServer 6.0. The latest version of the software allows the aggregation of media located across multiple PCs and media servers throughout the home into one cohesive view, as well as a new Auto Copy feature which ensures that digital media files are copied to the master media library as soon as a new mobile device enters the home.

In other words, chillax. It's going to happen. Just sit tight.
Why no rush? Android, as we have found out a time or two, works in the sandbox method. This means that whatever is done within an application, stays there unless you grant permissions to an app to cross over somewhere else. The stuff that happens on the web should stay confined to the web. There should be no fear of someone, or something, looking into your emails or phone contacts, unless you told the app to.
This goes back to the old standby rule. If you have to question something, then don't mess with it. Don't open email from people you don't trust and don't visit sites you aren't too keen on. And for Android apps, don't install a card game that wants to access your phone book, unless you know why.

The Android Security Team responded by contacting PacketVideo, T-Mobile, and oCERT, a public Computer Emergency Response Team. PacketVideo developed a fix on February 5th, and they patched Open Source Android two days later. oCERT assisted PacketVideo with coordinating the fix, and they published an advisory detailing this issue. We offered the patch to T-Mobile when it became available, and G1 users will be updated at T-Mobile's discretion.
