8-K Filed on March 17th (UGLY!)

Reporting a Global Restructuring (reads more like foreclosure by Trafalgar IMO) that occurred on the 11th.

In effect, the result is... "Accordingly, the Registrant no longer operates an ongoing business."

They've also filed for delay in 10-Q.

Someone please turn out the lights. :(

Watch for a renegotiation of terms, I've seen it happen many times. I'm sure neither party wants to see NWMD fail and it will be in both thier best interest to make the terms more attainable.

Esspecially in today's climate, we have been seeing new terms and extensions as well as forgiveness of debt and/or interest pmts.

So.... Don't rule anything out here is the bottom line!!!

Debt Default and Seizure Risk

Please read the last 10Q (December 21) about payment defaults on October 31 and November 30 to Trafalgar Capital and that institution's ability to seize the company's assets. That could lead to an immediate Chapter 13 and worthless stock. Here is the quote from the 10Q:

"We did not make the payments to Trafalgar under any of our debt instruments that were due by October 30, 2009, which aggregated $41,326 and €336,581. Nor did we make any payments due on November 30, 2009, which aggregated $33,797 and €261,407. Accordingly, as of November 30, 2009, we owed Trafalgar the sum of $75,123 and €597,988 for past amounts due under these instruments. Accordingly, we are in default under all of the debt instruments to which we are a party in favor of Trafalgar. As a consequence, Trafalgar is entitled to exercise all of its rights under the various agreements we entered during the period June 2008 through August 2009, including seizing all of our assets which would terminate our operations."

I'm also concerned about the company not filing an 8K to disclose the default (a major Material Event), when the missed October 31 payment (triggering default) occurred. That could lead to an SEC trading halt (I've seen them halt for less). The company also delayed the 10Q filing until December 21.

The likelihood of further missed payments and action is pending, e.g. a missed December 31 and January 31 payment would place them in 90 days past due and 4 missed payments for any Notice of Default as prelude to seizure. It's unclear when or if Trafalgar will exercise a seizure or whether the company can rework the debt issues (no filings since the 10Q).

I have no postition long or short and am not a paid poster. I came across these problems in the course of normal DD.

well i don't know about a dollar

there is a large congestion range at about .10 cents

but in June of 2009 this stock did an opening gap of .14 cents before it even started rallying..

so NWMD definitely falls in the wild west category of penny stocks

the way the chart looks now actually looks similar to the way it did right before that opening gap in June of 2009, heck I wouldn't be surprised to see a bid of .10 cents tomorrow and an ask of .15 just to get the trading day started

i know it sounds crazy, but that type of opening gap only occurs when there are no shares left for new buyers.. and looking at level II one can sort of see that.

if we get bombshell news about wireless lotto or revenues or something then who knows how high we go...

these spotty volume types of charts can make some of the biggest moves... so definitely seems to be a good hold here

Trafalgar, being the major debtholder, can seize the assets leaving the company (and shareholders) with nothing. And, yes, Trafalgar can sell the assets with no benefit to other than Trafalgar. The risk is what Trafalgar can do, and my guess is they are giving them all the rope necessary (full 90 days and 4 missed payments).

BTW....I think they may be in trouble in not filing an 8K the minute they failed to make payment on October 31, i.e. that was a very significant material event that should have been immediately disclosed to the market, as the default triggered the possibility of seizure and bankruptcy. Anyone who bought stock after that date until the 10Q filing should be POed as hell.

I'm not impressed by yesterday's walk-up on small volume/$. Seen that one before.

25 BAGGER FROM HERE when i make DD i put in all my 20 years of expertise in these penny stocks,well this had gone down just on the news of that default which actually may not come as trafalgar is holding almost 50% of the stock and they know what potential such companies have instead of decalring the default and compelling teh company to file insolvency i feel they will look for a potential buyer who could pay for the debt and make teh necessary expansion as they know in such companies only software cotent and patent have values and as such in BK they will have very little recovery.

Further look at that 10Q the debt of other 2 shareholders have been converted into equity at a whopping .70 cents per share and that too for a amount worth 6 mio USD do you think thse guys will just have their investments valued at this price of .01.

Look at Gtech the brazil company worth now 5 Bio USD was worthless just 5 years back.

And let me tell you NWMD has infact more sound technology than Gtech and i feel soon they will have the investments to prop up their value.

And just see with a trade of just 59000 shares yesterday the stock is up than imagine what will happen if you see the O/s too small with the two large investors along with trafalgar i feel are controlling close to 70% whil the managment might be holding almost i feel close to 25% to keep their majority holding than that leaves a i feel a float of just over 4% in public so think of that and grab what ever you can at these throw away prices.

I've been wondering if UK Trafalgar has the guts to foreclose on an operation in benefit of a REPUPLIC OF IRELAND based charity.

Was thinking of waiting till it drops back near par on dump (probably next week), buying, then messaging Dublin and UK newspapers on the possibility of "evil hedge" Trafalgar foreclosing on the social rehab charity bingo. :)

What they really need is a good restructure with no debt service for a few years, and sufficient capital to advertise and grow (which they didn't get on the last pass).

If they also missed December and the coming January service payments (4 payments including the already reported October and November), I'd expect that notice on or after February 1 (full 90 days).

If that happens, I would expect Chapter 13 (probably not 11) to immediately occur. Trafalgar being the largest stockholder and the major debtholder makes it Trafalgar's move.

I'm honestly wondering if a hedge or other sees that possibily and is pumping now to sell short for the possibility. It's why I'm not playing.

BTW...Trafalgar Capital is also a hedge.

TRAFALGAR CAPITAL HAS STILL NOT SENT THE NOTICE OF DEFAULT and for such companies the amount of 1 mio is not that big mobile gaming and lottery is catching the attantion of big industry players specially in asia and and south america,i will not be surprised at all if this gets bought out by bigger player just look at Gtech in brazil where it was in 2000 peanuts and now its a 5 billion dollar company,this company has been in brazil and launched their services much before them it looks that they only are looking for finances and i feel their silence tells me that its coming in a big way.

the float is too small just watch i had placed my order even at .011 yesterday even when the ask was .009 ther was no trade and i could not get shares that means even the MMs dont have the inventory.Few months back you could find this was trading at around the 20s.

Well they have the right projects going on in Ireland and for this low floater they are generating sufficient revenues to roll on but i think any major investments by any major will send this new orbit the float is too small and it looks more than 90% is being held by insiders

On the basis of stated default to Trafalgar, I would hold off on taking any position until that situation is remedied. The possibility of Trafalgar pushing them to bankruptcy is real, and should be considered before taking any long position.

If you want to make that play, do it with same kind of odds and $$$ you do to play a lottery. ;)

I would welcome any DD that helps make a call on Trafalgar's next move.
