well there is one piece of good news in a year
No new stock issued, no dilution, at least that's good news.
But think they saved on postage. It was interesting to see by those reports they had not issued anymore stock. So hard to tell what his new game might be. As I knew I should have bet he missed the 8/31/06 PR. Damn I could have made some of my money back. Is that inside info when you know a guy will fail before he does?
At least someone on the inside seems to be paying attention.
2 days after it was pointed out here that Motion DNA was in default with the Arizona Corporation Commission, forms that were due 18 months and 6 months ago were filed. What a coincidence! It cost them about 6,000 shares of stock, however, in fees and penalties. What a shame, they were probably going to take their softball team out for pizza with those shares. Oh well.
And hey, look - Zig is not President/CEO anymore, Jason Bodine has taken that position, I wonder why we didn't get a huge PR with that breaking news that has been anticipated since March. LOL.

I think much more. This is the time of year.
The only way this company will turn around is if Zig is gone and they becomes a reporting company, OTCBB. The reason I put "company" is because almost nobody except novice penny traders take a pink sheet company seriously. As I posted many times: there're no disclosure. Who wants to invest hard earned money in a company where you cannot really tell what is going on. Case in point: MTDX and many others.
Go and tell a experienced trader that you want to "invest" in a pink listed company and see what he tells you.
99% of the people who buy pink sheets, hold for a quick trade and that's all. Buy on the rumor, sell on the news and their out.
If you want to invest, wait until they become fully reporting so you can at the least tell what's really going on. And even OTCBB stocks carry an enormous amount of risk.

The only way you can really see what is going on with a company is when they file a 10QSB report with the SEC. Without this, you're trusting (gambling on the integrity) in the management. Where does this leave MTDX??
Just remember when a news release comes out like this, think about how the "company" can use "the foward looking statement" to it's advantage, especially when dealing with this company's history.
The pink flippers may try to flip on this news for a nickle, beware when everybody goes for the exit door.

"We are viewed as a small fish with very little credibility," added Ziegler.
Now why on earth would Zig think they are seen as having little credibility? Shocking.
But yet, 3 multi-million dollar purchase orders are expected any minute now. Who would issue a multi million dollar order to a company that has no credibility?

Here is an email I sent to Motion DNA on Wednesday July 26 talking about there violation of Arizona Securities Laws as well.
I of course didn't get a response back.
Mr. Zig Ziegler,
Article R14-4-103(B)(1) of the Arizona Securities Rules states:
"No advertising, communication (press releases), prospectus, or sales literature of any kind shall contain:
1. Any untrue statement of material fact nor any omission to state any material fact necessary in order to make the statements made, in the light of the circumstances under which they were made, not misleading."
Under Intent and Construction It states the, "The intent and purpose of this Act is for the protection of the public, ...the suppression of fraudulent or deceptive practices in the sale or purchase of securities...This Act shall not be given a narrow or restricted interpretation or construction, but shall be liberally construed as remedial measure in order not to defeat the purpose thereof."
Mr Ziegler, there are numerous examples of "deceptive practices" in the press releases your company issues. Two examples are (1) saying Motion DNA was going to file for a patent at the end of 2005. (2) Issuing a press release stating Motion DNA will be renewing a contract with NPF when they didn't know about the press release. Their website states, "the parties did not have an agreement, definitive or otherwise, concerning the final terms or form of contract to be utilized in connection with any such relationship."
Myself along with all of the other investors in this company are not happy at all with how this company has been managed and is reflected in the fact that when you said you were stepping down the stock about doubled in price.
Besides losing my money, I have lost all patience, trust and confidence in you and this company. This is an email venting my frustation and also letting you know I am going to be looking into filing some kind of lawsuit or complaint with the Arizona Corporation Commission or whoever else will listen to me.
Information about the "Safe Harbor" clause in PR
Here is an article I found about those great forward-looking statements. From my understanding of this article, there needs to be reasons why all of these great "pending" or "in process of" events might not occur. Let me know if you guys get the same impression. If so, none of the PR's qualify under that regulation/law and therefore Zig was pretty much just lying the whole time.
Safe Harbor For Forward-Looking Statements Under The Private Securities Litigation Reform Act Of 1995: What’s Safe And What’s Not?
Overview: Describes the safe harbor under the Private Securities Litigation Reform Act of 1995, which covers forward-looking statements made in certain securities law filings and oral statements. Focuses on which statements fall within the definition under the Act and what cautionary statements are necessary.
What constitutes a forward-looking statement. Congress enacted the Private Securities Litigation Reform Act of 1995 partly to encourage companies to tell investors their projections of the company’s future performance without the threat of liability for securities fraud. The PSLRA provides a safe harbor from liability for companies sharing forward-looking statements, which include financial projections and management’s business plans. The safe harbor is similar to the common law’s bespeaks-caution doctrine, on which companies have relied since the Eighth Circuit formulated it in 1986. To merit protection, the statements must be specifically identified as "forward-looking." In a 1999 case, the Eleventh Circuit decided a statement is forward-looking if its truth cannot be determined until sometime in the future. It also viewed a mixed list—one that includes both forecasts and existing facts but excludes material factors which might affect the projection—as a whole in determining whether the list qualifies as forward-looking.
Meaningful cautionary language. To qualify for the PSLRA safe harbor, a company must include meaningful statements warning of important risks that may prove the forward-looking statements untrue. As the legislative history makes clear, boilerplate, generalized warnings will not satisfy the requirements of the Act, nor will warnings about existing facts be considered meaningful cautions. On the other hand, a warning may be sufficient even if it does not describe the actual risk that ultimately makes the forward-looking statement become false. Companies should include the cautionary language within the same document as the forward-looking statement. When making an oral statement, the speaker should begin with a safe harbor warning and reference the documents in which the specific risks are listed.
(This would be the hard one to prove. However, with patents, supposedly thousands of customers calling, pending contracts with every sports organization out there, I think it might not be so hard.)
Lack of actual knowledge. Even if a company’s forward-looking statements fail under the cautionary or materiality prongs of the Act, the company may gain safe-harbor protection if the speaker of the statement lacked actual knowledge that the statement was false when made. The PSLRA imposes heightened pleading requirements on these claims. Plaintiffs must plead specific facts supporting their contention that the speaker knew a forward-looking statement was untrue. These strenuous pleading requirements make it more difficult for a claim of actual knowledge of falsity to survive.

Hmmm...I know people that were around the NSCA convention the entire time and word on the street and activity was not good for Ziggy. In fact, there were other vendors that had technology and products that made him look like a joke. Let's see those orders Zig! How about a quote or two from their reps when the deal is signed?
