From GRC letter to shareholders dated July 20 2007:
Q.'How will I get my new Global shares when they are registered?'
A.'When the shares are registered and able to be distibuted, our stock transfer agent (Olde Monmouth Stock Transfer CO. Inc.) will notify you and advise you as to the procedure. Basically, you will send in your Mobilestream or CRC certificate(s) and you will be sent back the new Global certificate(s) Your Mobilestream or CRC certificate(s) will be cancelled and, when we are finished, Mobilestream and CRC will be legally dissolved and cease to exist.'
From this I presume there will be no issue about lifting legends since the new GRC shares will be issued in exchange only when SEC registration is completed ie the new shares will be restiction free.Shareholders using a broker will,I would expect have the issue looked after by that broker.IMO

I was under the impression that the GBRC shares, that are to be issued to replace our MSRM shares, are going to be free of all restrictions and so we didn't have to do anything but wait.
Do you think that is wrong and we will still have to lift the MSRM share restrictions before exchanging them for GBRC shares?

I did a lot of research, before giving up my money, these guys were very good in 'scamming' people, please also read my post # 1411, I have noticed that a professional looking web site does not mean much and that you can check how long they've had the website. If its a year or less, stay well away from them.
You can also ignore their phone calls, which is what I'm doing currently until I change my contact number.
Ask them who their company is registered with and confirm this your self, most of all checkout the Escrow agent, get their contact details phone them and email them to confirm they exist, then checkout they are registered with a professional association and that you would be compensated if things went wrong. Do thorough due diligence.
If you live in Canada, pop down and see them, if you still want to go ahead, arrange everything via your own Escrow agent, get them to checkout the company and the legality of their documents. I personally would never trust any person or company that have contacted you without you personally requesting them to do so.

I've read your post with great interest and we have had exactly the same situation as you not just with mobilestream shares but various other ones too. We were originally contact way back in 2000 by a company based in Spain, who gave very good spiels (as you can imagine) they do not leave you alone in any shape or form until you agree to buy what they are offering etc. We have bought lots of the pk shares, and most of them have split in one way or another, hence we have ended up losing a fortune, I really wouldn't like to guess how much but goes into £10's of thousands. We did however reap approx £15,000 last year from one lot of shares the (Xsnx shares), found a company in Canada who lifted the restriction for us and the monies were paid direct into my HSBC account here in the UK.
Unfortunetly since then we haven't managed to get any more restrictions lifted off the rest of the pk shares, and also because they have split so many times, they are probably worthless now.
Getting back the mobilestream shares, our bank also HSBC are in contact with the US for us to find out if the Company in Canada are legit or not, but whilst we are waiting to hear, we are still being hounded by this chappy from Canada, he doesn't seem to be phased by the fact that we have got other people involved checking them out etc.
As soon as we hear something, which hopefully should be very soon, I will post an update, but at present they are not getting a penny from us!!!!! If these deals are soo good, why do you have to pay and then they refund you it back, doesn't make much sense????

I noticed my post was left incomplete. In the end I lost my US$12500.00. It was a very good setup. I contacted law enforcement but have to date had no joy. Those low life scum have got away.
I have been contacted so many times since. Within the last week, I have had 3 calls, 2 from the US and 1 from Hong Kong, all following similar patterns to what happened previously;
they never email you directly with a personal email address,if you get an email it will start with info@xyz.com.
Check with Whois,e.g. (http://www.internic.net/whois.html) copy this address, then type in their company address to find out when their website was created, question them how long they have been trading? If you really believe in them, ask them for contact details for the Escrow agent, they will unlikely give this to you,If you do get it, confirm that the are registered with some law association of Canada, contact the Escrow agent directly by phone and email, question them.
My best suggestion would be ignore their phone calls or better still change your number. Just don't get involved, they are after your money, once they get it, they will disappear.
Just one more thing, restrictions from S Reg share certificates can be lifted for US$175 (http://www.regulation-s.com/), why pay more?

Hi, was wondering if anyone has received a call during the last 5 days from a Company in Canada offering to pay you out of the Mobilestream shares?
We think this is a scam, its been placed in the hands of our Bank for them to do some digging around, but as yet not heard anything?
A few days ago a call received from Canada offering to buy our shares for $2.40. Documentation has just been received, advising us to sign and return asap, they are asking for a registration fee of $7,650.00 which according to them is fully refundable, once registered they are promising to forward the full amounts within 5 working days???
Would really like to know if anyone has been contacted and also took up any of the offers available, also has anyone (which I doubt) received any monies whatsoever.

I agree, definitely a con, we have had a lot of those, I have had 3 offers, the last for $5 a share and the highest for $9.50 (although none since the SEC got involved).
They usually want you to register and sell the shares through them before they pay you. You pay the registration, commision fee etc at the price per share they have offered you.
So the higher their offer the more you pay them.
All covered by the price you will get when they pay you for your shares, of course.
So far nobody on this board have said they got paid for their shares after paying their fee’s, so the rest of us have saved our money and stayed out.

I read about Mobilestream Oil Inc. and I'm not interested in it.
As for seperating oil from tires, back in 1997 or 1998 there was a fire at a used tire landfill in CT. A buy product of the fire was a seperation of oil from the tire (it was all over the news at the time). It seems to me, that it would be easier to build a cylow which doesn't allow air to get in, heat up the tires inside to burning point (with no air no fire), the tires would then just melt into oil, rubber and steal belts. But then again I'm no expert.
Please don't respond to this comment, as I said I'm not interest in this company.

I agree with your view, the msrm situation is messy, though I dont believe it is gbrcs fault, there was a lot of dodgy trading done with msrm shares and unfortunatly it has caused the honest share holder problems.. I appreciate your concerns re a lot of shares coming into play around the same time but I dont think it will be a major issue, There should be a lot of good news re contracts after the demo and this share is only going one way on the back of that... with oil going north out of control there will be massive interest from everyone big and small in something that offers a solution.. on sentiment alone this share could go to $10 on back of a successful de

There will be no demo on the 21st, it will be at least 2 to 3 weeks, they are just demonstrating the technology to their shareholders, I'm sure there will be an update and some positive news but very good news is just around the corner, expect gbrc to move exchanges shortly
this was post on gbrc board. if gbrc move to another exchange, we have to get our gbrc stock first.
think about this, they raise enough cash that we have enough money to go to amex exchanger once the mess with mobilestream clean up and we get our gbrc stock. we got ---- on merger. we own everything and we did not get the right amount money for our asset plus we own ton of gbrc stock too. why do you think they will not still put screw to us. try get hold of jeff . he does email you back or return your call.
Today's 8-K. They continue to play games with shares. As recently as a few weeks ago, they sold units at a $1.20, which included a share and warrant exercisable at $2.00. The shares are at more than a 50% discount, and even the warrants are significantly in the money......and they wonder why everyone is losing faith LOL.

The Company has issued a sufficient number of additional unregistered shares of its Common Stock such that the total issued since April 11, 2008 exceeded 5% of the 43,647,714 shares issued and outstanding on April 11. The total number of shares of Common Stock issued and outstanding as of the close of business on May 13, 2008 was 47,237,613 including 2,665,666 shares which were in the process of return from escrow and which upon return will be cancelled but not including 17, 618,094 shares issuable upon conversion of the 2006 Series of Convertible Preferred Stock.
Common Stock
On April 25, 2008 the Company issued a total of 1,487,139 shares (as a part of 1,487,139 Units) to a group of non-U.S. citizens for a total investment of $1,772,853.94. The issuance of the shares was considered exempt pursuant to
Section 4(2) of the Securities Act of 1933 as amended.
On April 29, 2008 the Company issued a total of 833,333 shares (350,000 and 533,333 shares, respectively) to two consultants in payment of consulting fees valued at $892,500 and $1359,999, respectively. On May 7, 2008 the Company issued 1,000,000 shares to a consultant in payment of consulting fees valued at $2,550,000. The issuance of the shares was considered exempt pursuant to Section 4(2) of the Securities Act of 1933 as amended. .

DM - irrespective of the 'Thomas' posts (there must be a secret code to get an answer from Jeff) my point is that I see no reason why the company cannot offer shareholders simple updates re the registration progress. They may not be able to reveal content at this stage but surely reporting the basics of events eg has the company received/answered any comments etc should be no problem. Whilst you may be correct with your government comment...if you have'nt seen/received anything from GBRC how do you know?

Mobilestream Oil, Inc. Signs Memo of Understanding with Global Resource Corp.
WEST BERLIN, N.J., Oct. 30, 2006 /PRNewswire-FirstCall/ -- Mobilestream Oil, Inc. (OTC Bulletin Board: MSRM.PK) and Global Resource Corporation (OTC Bulletin Board: GBRC.PK) jointly announced today they will be entering into a preliminary, non-binding Memorandum of Understanding for Global Resource Corporation's ('Global') acquisition of the assets and business of Mobilestream Oil, Inc. ('Mobilestream'). Mobilestream owns certain microwave technology, embodied in a pending patent, and various proprietary trade secrets for technology that had been exclusively licensed to Carbon Recovery Corporation. Global has recently acquired the assets and business of Carbon Recovery Corporation, including the exclusive license. The technology is a method of decomposing petroleum-based materials by subjecting them to variable frequency microwave radiation at specifically selected frequencies for a time sufficient to at least partially decompose the materials. The initial application will involve the decomposition of waste tires, as described in Form 8-K filed September 27, 2006.
It was originally intended that the licensee would be the operating company, while Mobilestream would continue its R&D into the development of further applications for the technology, including: (1) re-cracking heavy or slurry oil to retrieve the components of hire grade fuels; (2) the recovery of oil from oil shale and oil sands; (3) the reduction of hydrocarbons in drilling cuttings to permit on-site disposal; and (4) the stimulation of mature oil and gas well ('stripper' well) production.
Upon analysis however, both Global and Mobilestream believe that, given the interrelationships of the Companies' management and the probable interface of the R&D with field operations, it will be more efficient, both financially and operationally, to combine the Companies. It is anticipated that the current management charts and the respective responsibilities of the licensor and licensee will be adjusted for maximum effectiveness.
The major acquisition term not yet resolved is the value of the Mobilestream technology and its reflection in the securities of Global. Mobilestream is retaining Corporate Valuation Advisors, Inc. to provide a fairness opinion on the terms when negotiated. Corporate Valuation Advisors, Inc. has previously evaluated the tire decomposition portion of the Company's technology and is therefore generally acquainted with it.
