Tape Drives

The Company's Packet Technology enables VXA Packet drives, autoloaders, and tapes to read and write data in small, digital packets similar to the Internet, providing reliable restore integrity, higher transfer speeds and scalable tape capacities. VXA-320 Packet drives and autoloaders deliver transfer speeds up to 86GB (compressed11*) per hour, allowing network administrators to backup 320GB (compressed22*) of data (equal to one VXA-320 tape) in less than four hours. With PerfectWrite and 4-level Reed-Solomon Error Correction, VXA products have highly reliable restore capabilities.

LTO (Ultrium), the latest technology, offered by Hewlett-Packard, IBM and Quantum, is a high-performance tape technology offering versatility, reliability and performance. The Company's patented ExaBotics make its automation products featuring LTO technology superior in engineering, quality and reliability. The Company was among the first manufacturers to offer automation featuring first and second generation LTO tape drives and the first to offer Fibre Channel in mid-range drives and libraries. The Company also integrated third generation LTO tape drives into the Company's automation products in 2005. Its automation products featuring LTO technology offer the simplicity of plug-and-play capabilities and remote management.

The Company has also sold M2 tape drives based on MammothTape technology platforms, which are integrated systems encompassing both a helical-scan tape drive and advanced metal evaporated (AME) media. All aspects of the technology work together to optimize recording performance and to ensure the integrity of vital data. The Company has discontinued the manufacture and sale of Mammoth related drive and automation products in 2005. Sales of the Company's tape drives, including end-of-life products, represented 23% of net revenues for the year ended December 31 2005.

The Company's tape drives face competition from tape drive products manufactured by Quantum, Hewlett Packard, Sony and the LTO Consortium.

Automation and Exabotics

The Company offers and supports automated tape drive products. These automation products incorporate one or more tape drives and multiple media cartridges to provide much higher data capacities than using a single drive and, with more than one drive, higher data transfer rates. The Company offers automation products incorporating VXA and LTO (Ultrium) tape drives. The Company's automation products are designed to be scalable, allowing the Company to develop different sized autoloaders based on the same model, with the ability for expansion. This capability enables the Company's designs to accommodate increases in customers' data storage needs and allows its end users to protect their automation investment.

ExaBotics is the Company's patented robotics, based on its 20-year history of introducing new products to the industry. The Company engineers specify conservative electronics and ultra-reliable mechanical components that undergo intensive testing to ensure data security, accessibility and retrievability. Automation systems are designed to share electronics and processor architecture with drives, adding to reliability and economies of scale. Sales of automation products, including end-of-life products, represented 37% of net revenues for the year ended 2005.

The Company's automation products face competition from companies, such as Advanced Digital Information Corporation, Quantum, Overland Data, Sun Microsystems and QualStar.

Media Products

The Company sells various types of media cartridges, as well as cleaning cartridges and data cartridge holders, for its tape drive and automation products. The high-quality media, produced by multiple third parties, is available in different lengths and formats to handle various data storage requirements. The Company markets all its media products exclusively through Imation Corp.

The Company offers for sale two types of media cartridges for use with its VXA Packet Technology products. V Tape was the first version of VXA tape cartridges released for use with VXA-1 and VXA-2 Packet Drives and autoloaders. X Tape is the newest version of media cartridges designed for use with only VXA-2 and VXA-320 drives and autoloaders. V Tapes and X Tapes share similar cartridge shells, come in a variety of tape lengths, utilize AME (Advanced Metal Evaporative) media and offer the same read/write speeds and capacities. However, X Tapes are specifically designed for higher performance, with a lower cost achieved through increased manufacturing volumes.

AME media with SmartClean technology is only available for use with M2 tape drives and includes a section of cleaning tape at the beginning of each data cartridge. The Company specifically designed this cleaning tape to remove chemical films that can build up on recording heads. These films are caused by organic compounds and cannot be removed by other cleaning methods. The M2 drive keeps statistics on its own operation and activates the SmartClean technology when the drive needs cleaning. With normal use, extra cleaning cartridges are needed less frequently. Although the Company has discontinued its MammothTape-related hardware products in 2005, it will continue to supply AME media to the existing installed customer base of MammothTape-related products for the next several years. Sales of media and media related products represented 39% of net revenues for the year ended 2005.

In October 2009, Cisco Systems made a $3 billion recommended offer to acquire Tandberg. After upping its offer to almost $3.4 billion, Cisco announced on December 4, 2009 that over 90% of Tandberg's shares had been tendered, allowing it to squeeze out the remaining shareholders. In February 2011, Tandberg will have been officially rebranded to Cisco and the Tandberg name will cease to be used.

CET Universe to Use Tandberg Data LTO-4 and LTO-5 Drives with CET’s Constellation VCM™-Based Tapeless Workflow Products

Westminster, Colo., and Studio City, CA (April 11, 2011): Tandberg Data, the global supplier of data protection solutions, today announced that it has reached an agreement with CET Universe, a leading provider of services, systems and solutions for professional audio and video production, to be the exclusive provider of internal tape drives for CET’s products that use the Constellation VCM™ asset and storage management system.

Tandberg Data has certified CET’s Constellation system for use with all Tandberg Data LTO library products. Tandberg Data will also provide its reseller network for CET’s products that use Tandberg Data drives.

“The growth of tapeless workflow in the production community has created insatiable storage demands that require the most robust products, with diversity of information backup, and we have a strong partner in Tandberg Data to help us further our goals in the media & entertainment industry,” said Steve Klein, CEO of CET Universe. “Our clients have recognized the value of our best practices for on-set workflow, and we are improving our hardware-based solutions with products from firms such as Tandberg Data.”

CET will certify exclusive use for all Tandberg Data LTO-4 and LTO-5 single internal drives that will be integrated into CET’s Andromeda Server, Fusion Drive, and Archive Station products. The Andromeda Server is a media asset management server appliance, with a plug-and-play system. Fusion Drive combines four removable hard drives and both LTO-4 and LTO-5 drives in a single interface that can run off a laptop. Archive Station is an on-set/near-set video capture system for file-based workflow.

On October 1, 2009, the Company announced that it had entered into a definitive agreement with TANDBERG ASA (“Tandberg”) by which the Company has made a tender offer for all outstanding shares of Tandberg. Tandberg is a global leader in video communications, including a broad range of video endpoint and network infrastructure solutions that provide intercompany and multivendor interoperability. The proposed acquisition of Tandberg supports the Company’s strategy in relation to its expansion of its collaboration portfolio to offer more solutions to a greater number of customers and to increase the use of video within and across enterprises.

The purchase price for the acquisition is payable in Norwegian kroner, and the originally announced aggregate consideration had a U.S. dollar equivalent of approximately $3.0 billion. On November 16, 2009, the Company extended the tender offer and increased the aggregate consideration. The U.S. dollar equivalent of the aggregation consideration, after the increase, is $3.3 billion based on the exchange rate in effect on January 23, 2010. As of the close of the tender offer period, the combination of Tandberg shares tendered and the outstanding shares of Tandberg owned by the Company collectively represents 91.1% of the shares and voting rights in Tandberg. Based on the terms and conditions of the tender offer and Norwegian regulations, the Company expects to make a compulsory acquisition of the remaining shares of Tandberg upon closing, which is expected to close in the first half of calendar year 2010. However, the acquisition of Tandberg remains subject to customary closing conditions, including regulatory approvals and there can be no assurance that the transaction will be completed. The U.S. dollar equivalent of the aggregate consideration is subject to exchange rate movements. See “Part I, Item 3.
