01:51 PM EDT, 08/19/2021 (MT Newswires) -- Technology stocks were advancing this afternoon, with the SPDR Technology Select Sector ETF (XLK) Thursday rising 1.1% while the Philadelphia Semiconductor Index was 1.0% higher.

In company news, Synopsys ( SNPS ) climbed 8.4% after the automation software firm reported non-GAAP net income per share of $1.81 for its Q3 ended July 31 on $1.06 billion in revenue, improving on year-ago levels and beating the Capital IQ consensus expecting a $1.78 per share adjusted profit on $1.05 billion in revenue.

NVIDIA ( NVDA ) rose 6% after the American chipmaker reported non-GAAP Q2 of $1.04 per share on $6.51 billion in sales, topping Wall Street expectations by $0.02 per share and $170 million, respectively, and also projected Q3 sales above the analyst mean.

Cisco Systems (CSCO) gained 3.2% after the networking equipment company reported non-GAAP net income of $0.84 per share for its fiscal Q4 ended July 31, up from $0.80 per share during the same quarter last year and beating the Capital IQ consensus looking for an $0.83 per share adjusted profit. Revenue increased 8% year-over-year to $13.10 billion, also exceeding the $13.04 billion Street view.

Nvidia Warns Its Proposed Acquisition for Arm Will Take Longer Than Expected

Nvidia Corp. ( NVDA ), the U.S. semiconductor maker, admitted Wednesday that talks with regulators on its $40 billion planned acquisition of U.K. rival Arm Holdings would take longer than expected and may stretch over 18 months.

Nvidia ( NVDA ) announced in September 2020 that it had struck a deal with SoftBank Group ( SFTBF ), the owner of Arm, to create "the world's premier computing company for the age of artificial intelligence."

The deal has since faced opposition from rival chip makers, and scrutiny from regulators in the U.S., China and Europe.

In the U.K., after the competition regulator launched a probe into the deal, the government in April also commissioned a report on its national security implications, and is now inclined to block it, according to media reports.

Nvidia ( NVDA ) CEO Jensen Huang said Wednesday that he remained confident that "regulators should recognize the benefit of the acquisition."

What's Next: Nvidia ( NVDA ) shares fell 2% on the news but were recovering Thursday in premarket trading, as investors turned their attention to the company's upbeat outlook, and its confidence that third-quarter revenue would beat current analysts' expectations.

When the prospectus comes out, look to see how much capital outlay they are planning for, new capacity is not cheep.

I suspect that INTC couldn't get permission and they didn't want to overpay. Capital outlay for the new capacity could rival that market cap!

Looks like the timing of the IPO will be closer to the beginning of the new cycle as opposed to the top of the market(end of cycle).

Exclusive-Chipmaker GlobalFoundries files confidentially for U.S. IPO -sources

(Reuters) - GlobalFoundries Inc has filed confidentially with U.S regulators for an initial public offering (IPO) in New York that could value the chipmaker at around $25 billion, people familiar with the matter said on Wednesday.

The move is the clearest sign yet that GlobalFoundries, which is owned by Abu Dhabi's sovereign wealth fund Mubadala Investment Co, is not eager to accept a potential tie-up with Intel Corp ( INTC ), which the Wall Street Journal reported last month was in talks to acquire the U.S. chipmaker.

GlobalFoundries is working with Morgan Stanley, Bank of America Corp, JPMorgan Chase & Co, Citigroup Inc and Credit Suisse Group AG on the IPO preparations, the sources said.

GlobalFoundries is expected to reveal its IPO filing in October and go public by the end of the year or early next year, depending on how quickly its application is processed by the U.S. Securities and Exchange Commission (SEC), the sources said.

The sources, who requested anonymity because the deliberations are confidential, cautioned that the chipmaker's plans were subject to market conditions and that the timing could change.

Intel ( INTC ) has yet to make a formal offer for GlobalFoundries and may not do so, according to the sources. GlobalFoundries is concerned that such a combination would upset some of its key customers that compete with Intel ( INTC ), such as Advanced Micro Devices Inc ( AMD ), the sources said. It could also face intense antitrust scrutiny from U.S. President Joe Biden's administration, which has become more hostile to transformative mergers, the sources added.

Mubadala, GlobalFoundries and Intel ( INTC ) declined to comment. The banks, the SEC, Advanced Micro Devices ( AMD ) and the White House did not immediately respond to requests for comment.

GlobalFoundries' IPO filing comes amid a boom in capital markets, with other high-profile names such as Robinhood Markets Inc, Coinbase Global and Roblox Corp already taking advantage with public listings this year.

GlobalFoundries manufactures radio-frequency communications chips for 5G, automotive, and other specialized semiconductors, and has emerged as a major resource for companies such as Intel ( INTC ) and Advanced Micro Devices ( AMD ) that have outsourced parts of their chip production. It was created when Advanced Micro Devices ( AMD ) spun off its manufacturing facilities in 2009 and Mubadala later merged it with Singapore's Chartered Semiconductor Manufacturing Ltd.

GlobalFoundries CEO Tom Caulfield told Reuters in July the chipmaker was planning to go public in 2022. The chipmaker has pledged to boost output to meet robust demand and announced plans to build a second factory near its Malta, New York, headquarters to address the global chip shortage.
