SEC Charges Medlink International and Two Executives with Fraudulent Filing
The Securities and Exchange Commission today announced that it filed a civil injunctive action against MedLink International, Inc., its CEO, Aurelio Vuono, and its CFO, James Rose, accusing them of filing an annual report falsely stating that its audit had been completed and defrauding a MedLink investor. MedLink's principal office is in Hauppauge, New York, and it purports to be a healthcare information technology company. Vuono, age 46 and a recidivist securities law violator, resides in Huntington Station, New York. Rose, age 33, resides in Hauppauge, New York.
The Commission's complaint, filed October 24, 2012 in U.S. District Court in Brooklyn, New York, alleges that on April 25, 2011, MedLink filed with the Commission an annual report on Form 10-K for the year ended December 31, 2010. Included in the filing was an audit report with the electronic signature of MedLink's auditor, which stated that the auditor had conducted an audit of MedLink's financial statements for the years ended December 31, 2009 and 2010. The complaint alleges that the Form 10-K was false and misleading because the audit had not been completed, and the auditor had not authorized MedLink to include the audit report or to use its electronic signature. The complaint also alleges that the Form 10-K was false and misleading because it contained the electronic signature of MedLink's founder and director, even though the director had not reviewed it nor authorized use of his electronic signature.
The complaint further alleges that in approximately April 2011, a MedLink investor agreed to purchase 210,526 shares of MedLink stock for $149,473.50. Vuono promised the investor that MedLink would delay this purchase and not cash the investor's check until the investor had sufficient funds in his checking account. Shortly thereafter, the investor informed Vuono and Rose that MedLink was not authorized to cash the check and instructed MedLink to return it. Instead of returning the check, Rose deposited it in MedLink's bank account. Despite repeated requests, MedLink did not return the investor's money or issue any MedLink stock to the investor.
The Commission's complaint charges: MedLink, Vuono and Rose with violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5; MedLink with violations of Section 15(d) of the Exchange Act and Rules 12b-20 and 15d-1; Vuono and Rose with violations of Exchange Act Rule 15d-14; and Vuono and Rose with aiding and abetting MedLink's violations of Section 17(a) of the Securities Act, Sections 10(b) and 15(d) of the Exchange Act and Rules10b-5, 12b-20 and 15d-1. The Commission is seeking against MedLink, Vuono and Rose permanent injunctions, disgorgement of ill-gotten gains with prejudgment interest to be paid jointly and severally, and civil monetary penalties. The Commission is also seeking against Vuono and Rose officer and director and penny stock bars.

The U.S. Securities and Exchange Commission on Wednesday temporarily suspended trading of MedLink International Inc. (MLKNA) citing questions about the accuracy and adequacy of its public filings and financial statements.
Medlink, based in Hauppauge, N.Y., provides information technology to the healthcare industry.
The last time it published a press release on its website was in May 2011 and the latest press release filed with the SEC was in December about the sale of $1.25 million in senior secured convertible debentures to several institutional investors.
The SEC also suspended trading of seven other stocks as it continues to crack down on companies that haven't filed periodic reports with the regulator.
The companies delinquent in their filings are China Voice Holding Corp. (CHVC); China Yongxin Pharmaceuticals Inc. (CYXN); Creative Technologies Holdings Inc. (CRTV); Crestek Inc. (CRST); Fleet Management Solutions Inc. (FLMG), formerly known as Crys*Tel Telecommunications.com Inc.; CSI Computer Specialists Inc. (CSIS); and Legacy Holding Inc. (LGYH), formerly known as CST Entertainment Inc.
All of the suspensions end Nov. 6.

The usual and most likely reason for the de-registration of MLKNA stock is to avoid an SEC trading suspension for lack of filing for an extended period.

So why did you compare BMW Motors -- a foreign company that trades on multiple foreign stock exchanges and is fully reporting to its native Frankfurt Stock Exchange -- to MedLink -- a US company that has gone dark, de-registered its stock and is traded on no stock exchange whatsoever? MedLink is "quoted" only on Pink Sheets, which is not a stock exchange.
Wouldn't it be deceptive to equate the two companies and claim they are both non-reporting Pink Sheet stocks?

MedLink International remains in default of the forbearance agreement by not filing the required belated financial statements.
Vuono disgusts me. The lack of information given to investors is unforgivable. Please alert me if he starts another company so I can short it. This investment cost me megabucks. That light at the end of the tunnel - that was an oncoming train.

I spoke with Tri-State Financial Press a few minutes ago and was told that MedLink did submit an amended 10-K after hours on Friday but that the company is still making changes to it.

Once finalized, it takes less than 24 hours to be filed on EDGAR.
It's misleading for Ray Vuono to claim it was submitted without revealing that it is not final and ready to be filed.
This seems to be SOP for MedLink/Vuono.
Note Charles that I said it was not "filed," which is still a correct statement. BTW, thanks for posting the receipt. It helped me track down where it was sent and the actual status.
I don't see any date or time when that was supposedly filed and it is still not on EDGAR. It could have been submitted today for all anyone knows. What's the hold-up in getting it on EDGAR?
Interestingly, that is amendment #2 of the 10-K filed on April 25, 2011 for YE 12/31/2010 and amendmended on May 12, 2011.
There is still no financial information for 2011 at all.
It seems clear that there are some serious financial issues at MedLink.

The Securities and Exchange Commission announced today that on May 23, 2013, the U.S. District Court for the Eastern District of New York entered default judgments against MedLink International, Inc., a medical software company, its CEO, Aurelio Vuono, and its CFO, James Rose. The Commission had charged them with filing an annual report falsely stating that its audit had been completed and with defrauding a MedLink investor. The court ordered permanent injunctions from violating Section 17(a) of the Securities Act of 1933, Sections 10(b) and 15(d) of the Securities Exchange Act of 1934 and Rules 10b-5, 12b-20, 15d-1 and 15d-14. The court also ordered each defendant to disgorge, jointly and severally, $149,473/50, representing their illicit profits, together with pre-judgment interest of $8,942.48, for a total of $158,415.98. In addition, the court ordered civil penalties of $650,000 against MedLink, $130,000 against Vuono, and $130,000 against Rose. Finally, the court barred Vuono and Rose from penny stock offerings or severing as an officer or director of a public company.
