Markland Technologies Announces Technest Holdings Common Stock Dividend Payout Ratio
Wednesday July 5, 3:02 pm ET


WARWICK, RI--(MARKET WIRE)--Jul 5, 2006 -- Markland Technologies, Inc. (Other OTC:MRKL.PK - News), a company transforming advanced laboratory technology into real-world products, announced today the payout ratio for its planned dividend of shares of Technest Holdings Inc. common stock. Markland common stock holders of record on May 1, 2006 will receive 1 share of Technest common stock for every 194 shares of Markland common stock they owned as of May 1, 2006. No fractional shares will be paid out and holders with fewer than 194 shares will receive no dividend stock.


On May 1, 2006, the record date for the dividend distribution, there were 485,944,539 shares of Markland common stock outstanding (determined on an as-converted basis, taking into consideration the conversion of all Markland Series D Preferred Stock outstanding on such date, which by its terms is entitled to participate in such distribution). Markland will distribute 2,500,000 shares of Technest common stock to Markland stockholders of record as of the record date following the effective date of a registration on SEC Form SB-2 covering the distribution of such dividend shares. Of the 2,500,000 Technest shares to be issued as part of the dividend distribution, approximately 325,743 shares will be issued to holders of Markland Series D Preferred Stock outstanding on the record date. On June 29, 2006, Technest filed with the SEC a registration statement on Form SB-2 covering the distribution of these dividend shares. Following the effectiveness of such registration statement, the dividend shares will be distributed to stockholders of record as of the record date.

WASHINGTON, July 4 /PRNewswire/ -- On the afternoon of July 4 (Washington, DC time), the U.S. detected multiple missile launches from North Korea, including the Taepo Dong 2. The United States strongly condemns these missile launches and North Korea's unwillingness to heed calls for restraint from the international community. We are consulting with international partners on next steps. This provocative act violates a standing moratorium on missile tests to which the North had previously committed. Based on the SEC filing, the Transfer Agent will await instructions from the receiving shareholder, read the last sentence. Once you tell the transfer agent where to send the shares, then you'll see them.

Just a note I was informed yesterday by my clearing firm NFS (the largest in the world) that an unauthorized party submiitted a fradulent request (and got from NFS) shareholder lists of several companies, one having to be MRKL These lists were obtained 11/05 thru 2/06 which included my name address and number of shares held. Now who do you suppose did that?

Recent SB-2 shows MRKL O/S at:

422,627,231 as of May 1st.

Also indicates that 4,304,000 shares TCNH stock have been placed in escrow to secure the conversion of MRKL Series E stock.

Couple of items in the fine print under 'Legal Proceedings' should be considered:

"In the event that Mr. Moulton prevails in any of his claims against Markland, Technest shares owned by Markland would be among the assets available to satisfy a resulting judgment."

"In the event that Mr. and Mrs. Williams prevail in any of their claims against Markland, Technest shares owned by Markland would be among the assets available to satisfy a resulting judgment."

This is the SB-2 filed by TCNH to register the 2,500,000 shares MRKL is distibuting shareholders.
