Major League Football Announces SEC Approval of S-1 Registration

MLFB wishes to inform our shareholders that our pending S-1 was approved on Monday April 17th by the SEC. This will allow us to proceed with planning for the upcoming 2023 training camp, and season. Additional updates to be announced this week.

There seems to be some confusion this morning related to the significance of our withdrawl of the “Amended S-1”. This is a procedural matter requested by the SEC through our attorney, an identical S-1 is expected to be filed this week with the SEC.

Coaches Shea, Wilson, and Conley, along with Personnel Director Mike McCarthy continue to scout new talent for this season and beyond. They attended a Special workout for quality players in Houston, Pro Days at Ohio State and Kansas, and regularly review tapes and stats sent to us by the players or their agents.

We continue our discussions with our potential TV broadcast partner and have had follow up discussions on a merger with a substantial group of attorneys and investors.

MLFB Provides Additional Details To Our Most Recent Press Release and From Our Jan 31, 2023 10Q

Negotiations with a major broadcaster have progressed. As noted previously, the dates most favorable for their national and local schedules will in large part determine our playing schedule.

Several former NFL players and their families have minimum six figure investments, and wholly support both our model and staff. They are: Marc Bulger, QB. Rams. Jason Baker, Punter, 49ers, Chiefs and Panthers. Cooper Carlisle, Offensive Line, Broncos and Raiders. Brett Jones, Center, Giants, Vikings and Broncos.. All were in the league for ten or more years and will serve on our Advisory Board.

We have recently met with a minority owner of a major national franchise who has an interest in investing.

That seems pretty bold that some NFL players would be involved with a competitive business league, unless something is stirring. I couldn't resist adding a tidbit more shares just because of that.

Our 10-Q for 1/31/23 is being filed today, but we want to supplement it with other exciting developments at MLFB that are not included in it. As noted in our last official release, our management team remains fully intact and continues to work on a variety of important items for our 2023 Season. In addition:

S-1 Registration: We have filed an S-1 Registration with the SEC for another $2.5 million dollar stock Equity line with Alumni Capital with whom we have an active S-1 in the same amount. This, coupled with the previously approved $2.5 million dollar Janbella line, gives us access to more working capital for the upcoming season.
Broadcast Partner: We have also been in extensive and active discussions with a major broadcast company to both telecast and stream our games. We have discussed using their extensive in house sponsorship sales force both locally and nationally. We are working with them on game dates which are best suited to be compatible with their stations' overall schedule of broadcasts, and will be guided by that in setting the exact dates of our games and training camp. At this point, we anticipate that our games will be in June and July with training camp in May, 2023. We stress the importance of accommodating our broadcast partner on these dates.
Merger/Joint Venture: We have also been in extensive discussions with an investor group interested in forming a League similar to ours, with more direct fan ownership of portions of each franchise by individual local fans. We are discussing generally at this point a merger/joint venture, using our combined resources and expertise. More details will be provided as matters develop but this is an exciting and potentially beneficial venture for MLFB.

Not likely. With all due respect, every alternative league in the last 40 years has been an abject failure. Nobody goes the games, nobody watches on TV, nobody buys the merch, and soon the owners can't make payroll and it's over.

That is the objective. The NFL is a political brainwashing tool of the Chinese US Government and it is time for a league that is about the game and not politics to step up and promise to fans in its charter that it will never become a tool of government propaganda.

No idea how this is going to play out. A couple of times they lost huge funding commitments and it crashed the stock. Then Covid hurt it for a couple of years. Yet, they keep trying.

What intrigues me is that football is so popular that if they just announce several million in funding, it might actually be enough to launch the 4-team league this year. Plus, they have data from the other startup football leagues, allowing them to show potential investors that a local football team can indeed bring in money (average of 15,000 ticket holders per game plus television broadcast).

I estimate that each team could bring in $500k in revenue per week for two months, between ticket sales and ad revenue split with the cable tv station. Over two months, that could be in the $16 million range for a season of revenue, for only 4 teams. Even if it's only $10 million it might be enough to convince a more legit long term investor to jump on board.

In the meantime, if the stock drifts down, I'll add more shares.

Looks like a reasonable long-shot gamble to me. I estimate the company can raise roughly $211k to try and get off the ground again, if they sell all 280+ million shares at $0.00075, which would be the 75% discount purchase price from the $0.001 floor price, as specified in the prospectus.

The funders can take a reasonable $100k gamble each and the company doesn't have to deal with any toxic death spirals. I've take worse risks. Took a starter this morning; maybe 2023 will finally be the big year.
