Item 1.01 Entry into a Material Definitive Agreement
On September 10, 2010, MRV Communications, Inc. (the “Company”) and its wholly-owned subsidiary, Source Photonics, Inc., entered into a Settlement and Cross License Agreement (the “Agreement”) with Finisar Corporation. Pursuant to the Agreement, the parties resolved the claims and counterclaims asserted in Civil Action No. CV 10-00032 WHA filed in the Northern District of California, and further resolved issues raised in an arbitration involving a patent license agreement previously entered into between Finisar and a company subsequently acquired by MRV in 2007.
Pursuant to the Settlement Agreement, Source Photonics shall pay a license fee to Finisar in the amount of $14.5 million for a fully paid-up license through December 31, 2015, to be paid by September 30, 2010. The Settlement Agreement also provides a license to Finisar of certain Source Photonics patents through December 31, 2015. The agreement also contains a covenant not to sue for certain products currently made or sold by Source Photonics through December 31, 2015. If Source Photonics is subject to a change of control, the license fee will cover sales up to an annual growth of 20% per year, and provides for a 5% royalty on products exceeding this amount which may be exercised at the sole discretion of Source Photonics or its assignee.
The Company estimates that the portion of the Settlement Agreement attributable to past damages is approximately $4.3 million. During the second quarter of 2010, the Company recorded an accrual related to this litigation of $1.4 million and disclosed a range of potential loss of $1.4 million to $8.1 million, based on the settlement discussions at the time. Accordingly, the Company expects to report an additional expense in the third quarter of 2010 of approximately $2.9 million in selling, general and administrative expenses related to this settlement.

On September 10, 2010, the Board of Directors of the Company approved a repurchase of shares of Common Stock of the Company in an amount up to $10,000,000 under a stock repurchase program operated in accordance with the requirements of Rule 10b-18 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”). Upon review of the Company’s financial position, business needs and recent prices of shares of the Company’s Common Stock, the Board determined that it was in the best interests of the Company and its stockholders to authorize a repurchase of the Company’s Common Stock from time to time at prevailing market prices by means of open market purchases, privately negotiated transactions, or otherwise. This authorization expires on December 31, 2011.

MRV Announces First Quarter Fiscal Year 2010 Financial Results
MRV COMMUNICATIONS, INC. (Pink Sheets:MRVC), today announced financial results for its first quarter ended March 31, 2010.
“I am pleased to announce that we continued to make operational improvements across all of our operating segments, gross margin improved for the fourth consecutive quarter and we achieved profitability for the second consecutive quarter,” commented Noam Lotan, chief executive officer of MRV.
“We believe we are well positioned in the market and we see initial signs that our markets are improving, yet our environment remains challenging and competitive. It is a pivotal time for MRV as we execute upon our strategy and focus on innovation, technology leadership and profitability,” said Lotan.
Consolidated Results
Revenue for the first quarter was $109.1 million, compared with revenue of $124.4 million in the preceding quarter and $103.6 million in the first quarter of the prior year. The sequential decline in revenue is due primarily to normal seasonality.
Gross margin continued to improve both sequentially and year-over-year. First quarter 2010 gross margin was 36 percent, compared with 33 percent in the prior quarter and 20 percent reported in the first quarter of 2009.
The company reported net income from continuing operations attributed to MRV stockholders of $3.6 million in the first quarter of 2010, or $0.02 per diluted share, which included share-based compensation charges of $0.4 million, and depreciation and amortization of $2.4 million. This compares with net income from continuing operations attributable to MRV of $24.7 million, or $0.16 per share in the prior quarter. The prior quarter net income included share-based compensation charges of $0.6 million, depreciation and amortization of $3.1 million, and $24.0 million in income from one-time items comprising a gain of $20.5 million attributed to a settlement agreement, which decreased the potential deferred consideration related to the acquisition of Fiberxon, Inc., and a gain on the sale of our investment in Dune Networks, Inc. of $3.5 million. Net loss from continuing operations attributed to MRV stockholders was $15.4 million, or $0.10 per share, in the first quarter of 2009, which included share-based compensation charges of $0.6 million, and depreciation and amortization of $2.5 million.
Operating Segment Results
The Network Equipment group reported revenue of $30.0 million, compared with $29.7 million in the prior quarter and $24.9 million in the first quarter of 2009.
The Network Integration group reported revenue of $32.7 million, compared with $41.2 million in the fourth quarter of fiscal 2010, and $33.1 million in the first quarter of fiscal 2009.
The Optical Components group, consisting primarily of Source Photonics, Inc., reported revenue of $49.5 million in the first quarter 2010, compared with $56.6 million in the prior quarter and $48.1 million in the first quarter of 2009.

(MRVC, Trade ), a leading provider of products and services for out-of-band networking, WDM and optical transport, metro Ethernet, fiber optic components, 10GE and other service aware networking products, today announced that Ethernet demarcation and aggregation devices from its OptiSwitch(R) product line have demonstrated interoperability as part of the world's first mobile backhaul interoperability demonstration at MPLS and Ethernet World Congress 2008 (Feb. 5-8 in Paris) that is organized by EANTC and supported by IP/MPLS Forum and the Metro Ethernet Forum (MEF).
The multi-vendor interoperability demonstration highlighted Circuit Emulation Services in the radio access network, packet-based backhaul, MPLS transport services backhaul and Ethernet operations, administration and management (OAM) tools to maintain and measure SLAs. MRV demonstrated the MEF standards-based carrier Ethernet features of three of its OptiSwitch products that enable mobile operators to differentiate their services portfolio with advanced service level agreements (SLA).

MRV's OptiSwitch OS9024-M demonstrated MPLS / hierarchical-VPLS multipoint-to-multipoint transport services and compliance to standard-based traffic engineering, signaling and sub 50ms service protection in a first-mile MPLS aggregation network. For the end-to-end transport connectivity, MRV provided multicast (E-Tree) services according to an MEF draft version of Ethernet Service Definitions, Phase 2. The demonstration involved the OptiSwitch OS910-M acting as a root in an E-Tree that facilitated and enabled point-to-multipoint service.
Additionally, MRV demonstrated the OptiSwitch OS910-M by using the MEF-8 specification to encapsulate TDM traffic arriving at an E1/T1 interface over a packet switched network (PSN). The emulated circuit used a standard point-to-point Ethernet (E-Line) transport service across a provider backbone bridge with traffic engineering (TBB-TE) metro network, the MPLS core and the MPLS metro networks. In a separate test, an MRV OptiSwitch304 was used as a cell site CPE to successfully backhaul voice and data traffic from a WCDMA base station across a packet-based access network to an aggregation switch.
Native Ethernet fault management and measurements are essential for delivery of high-quality end-to-end services to business customers and mobile stations. By incorporating a wide spectrum of end-to-end Service OAM tools to monitor SLAs, MRV successfully demonstrated standard-based connectivity fault management (IEEE802.1ag connectivity check, loopback and link trace), performance measurement (ITU-T Y.1731- latency, jitter and loss) and Ethernet in first mile OAM (IEEE802.3ah discovery, loopback and dying gasp).

NEW YORK, Jan 6 (Reuters) - MRV Communications' (MRVC.O: Quote, Profile, Research) plan to take its optical-equipment business Source Photonics Inc public should unlock the company's "tremendous value," Barron's reported on Sunday.
Last month, Source Photonics filed with U.S. regulators to raise up to $130 million in an initial public offering.
It's a tangible sign MRV "finally is going to force the street to value the separate entities at their respective multiples, which we believe will unlock tremendous value," Leo Saraceno, director of North American equities at Sun Life Financial -- which has nearly 10 million MRV shares -- told Barron's.
Saraceno told Barron's that Source Photonics has a value of $338 million, based on a multiple of 1.5 times 2008 sales, which are estimated to be about $225 million.
Its core network products unit might be worth another $230 million and its third-party network-integration segment is worth $95 million, Saraceno told the weekly newspaper.
Factoring in net cash, MRV could rise to $4.50 a share, Saraceno told Barron's, up from its Friday closing price of $2.11 each. (Reporting by Justin Grant, editing by Martin Golan)

The Mesquite school district's implementation of an OptiSwitch solution garnered recognition as a best solution in the Southwestern Region (Texas, Arkansas, Oklahoma, New Mexico or Louisiana). The program was open to all GTC Southwest exhibitors, with winners being recognized at the show in Austin, TX, January 28-31.
The Mesquite Independent School District of Mesquite, Texas, serves more than 33,000 students and employees each day through its 53 facilities--31 elementary schools, nine support facilities, eight middle schools, and five high schools. When faced with the choice of continuing to pay service providers or installing its own fiber and network equipment, the MISD decided to move from multiple leased data circuits to its own Gigabit Ethernet network in order to meet growing bandwidth demands.
