The proposed acquisition by AT&T (T) has changed the game for the stock. After years of continuous declines, it has done great over the last few months. The company has been reporting losses for several years, and it carries a huge accumulated deficit. AT&T also has its own problems, and there was an article on seekingalpha which outlined the threat of competition in the near future. Players like America Movil (AMX) and Deutsche Telekom (DTEGF.PK) are offering lower cost, less restrictive prepaid and postpaid services which may hurt the company's topline growth and also put pressure on the margins. The acquisition of leap, which offers such less restrictive services (no contracts, no limits) may help, but it is important that the losses reduce so that Leap becomes a positive contributor soon. There is also indirect competition from the used phone market which is growing fast. Some of the price conscious customers go for previous version of a good quality used high end phones available through companies like Usell.com (USEL). Usell, which provides a platform for buying / selling used phones, reported excellent growth in revenues in 2013. Meanwhile, analysts are not so upbeat on Leap as the stock has already run up quite a bit. Zacks has a neutral rating with the price target at 16, and its analysts anticipate that continued loss of subscribers coupled with significant increase in promotional activities may put pressure on profitability. On the other hand, launch of smartphones coupled with the slashing of non-profitable subscribers may drive ARPU in the near future. There have been other downgrades, like those from Raymond James and Wells Fargo, mainly based on valuations. The stock has already factored a lot of short term positives, and the future is linked to the performance of the entity after the acquisition is completed.

Leap Wireless International Inc (LEAP) more than doubled after AT&T Inc (T.N) said Friday it would buy the company for $1.19 billion and at least two brokerages raised their ratings on Leap's stock. The stock was trading at $17.16 and was the most active on the Nasdaq. I have been in leap for a while. I am long with tight trailing stop.

LEAP shareholders also get the rights to the proceeds from the radio spectrum assets LEAP purchased last August for $200MM - that would be another 2.50 a share if they sold those assets for what they paiod for them.

Given that one of the drivers behind a deal like this is the big guys wanting to acquire leases on more of the radio spectrum, it certainly seems to me that that asset is likely to be sold for more than the $200MM it is on the books for.

Don't forget that a couple years ago leap tried to get bought out and the deal fell through and the stock dropped right back to where it was before the news. That could happen again... Jmo

7:08 PM Leap Wireless (LEAP -2.3%) might end up with a lot of spare iPhones in its warehouses. The prepaid carrier disclosed in its 2012 10-K it's on pace to buy only half the iPhones it has agreed to purchase from Apple as part of its commitment. BTIG's Walter Piecyk thinks Leap, which sells the 16GB iPhone 5 for $500 without contract, could be on the hook for $100M worth of extra iPhone purchases in 2013, and $450 over the course of its 3-year deal. Falcon Point Capital LLC says shareholders could see the value of their stakes doubling in a takeover from $4.96 a share yesterday, while Pivotal Research Group sees a deal driving the stock to $16.

Aug 14 - Standard & Poor's Ratings Services said today that it raised its
issue-level rating on the senior unsecured debt at Leap Wireless International
Inc. subsidiary Cricket Communications Inc. to 'B-' from 'CCC+' and
revised the recovery rating to '3' from '5'. The '3' recovery rating indicates
our expectations for meaningful (50%-70%) recovery in the event of a payment

Leap Wireless International Inc. will start selling Apple Inc.'s iPhone next month, making it the first prepaid carrier to offer the popular device in the US.
The addition of the iPhone increases the reach of the popular device for Apple and brings a marquee product to Leap's Cricket service, which has been seeing customer growth slow.
The San Diego company will offer the iPhone 4S and iPhone 4 with its $55 per month wireless plan beginning on June 22. It will sell the 16-gigabyte iPhone 4S for $499.99 and the older eight-gigabyte iPhone 4 for $399.99.
Those prices are higher than offered by other larger carriers that require customers to sign a two-year contract in exchange for the subsidy that covers a portion of the phone's cost. AT&T Inc. offers a comparable iPhone 4 for $99.99 and Verizon Wireless sells a similar iPhone 4S for $199.99, according to the carrier's websites.
J.P. Morgan analyst Philip Cusick estimates that Leap will subsidize each iPhone by about $100 to $125, which is above its typical $50 to $100 smartphone subsidy.
The iPhones will come with a $55-per month unlimited talk, text and data plan, but full-speed data will only be available up to a threshold of 2.3 gigabytes a month, after which the data speed will be slowed.
