Entry into a Material Definitive Agreement, Completion of Acquisition or Disp
Item 1.01 Entry into a Material Definitive Agreement
On March 1, 2010, Kodiak Energy, Inc. ("Kodiak") closed all transactions related to a loan guarantee enabling Cougar Energy, Inc. ("Cougar Energy"), a private company, to secure financing with a Canadian bank. The closing of Cougar Energy's formal financing agreement (the "Agreement") with a Canadian bank was announced through a press release by its publicly traded parent, Cougar Oil and Gas Canada, Inc. ("Cougar"), on March 2, 2010 and subsequent 6-K. Kodiak provided guarantee to the Agreement between Cougar Energy and the Canadian bank consisting of two credit facilities. The first credit facility is a revolving demand loan in the amount of Cdn$1,000,000 at a per annum rate of prime interest plus 3.5%. The second credit facility is a non-revolving acquisition/development demand loan bearing an annual per annum interest rate of prime plus 3.0%. The loan was drawn down by Cougar Energy on March 1, 2010. All documentation related to the Agreement was concluded prior to the draw down, to be effective at the funding.
Kodiak will continue to function as a parent company with respect to the Cougar assets, now through its shareholder position in Cougar Oil and Gas Canada, Inc. as previously press released on January 26, 2010 and subsequent 6-K filing. Cougar Energy's performance will be reflected on Kodiak's consolidated financial reporting.
Item 2.01 Completion of Acquisition or Disposition of Assets
On March 1, 2010, Kodiak completed the acquisition of 64.6% of the common stock ownership of Cougar Oil and Gas Canada, Inc. The description of the acquisition and the related acquisition agreement are incorporated by reference from the filing made by Cougar Oil and Gas Canada, Inc. on Form 6-K, filed with the SEC on January 26, 2010, including the form of agreement filed therewith as Exhibit 4.2.
Item 9.01 Financial Statements and Exhibits
(a) Financial Statements
The financial statements of the acquired business will be filed within 71 days after the date of this report, in accordance with Item 9.01 (a)(4).
(b) Pro Forma Financial Information
The pro forma financial statements of the acquired business will be filed within 71 days after the date of this report, in accordance with Item 9.01 (b)(2).
(c) Exhibits
The form of acquisition agreement is incorporated by reference from Exhibit 4.2 of the Form 6-K of Cougar Oil and Gas Canada Inc. filed on January 26, 2010.
We have one more support to cross now.
However, I'll hold through it and buy in more, because I feel that something is in the works here. They were pumping up the stock transfer with Canada Ore. Look like they unloaded debt, but still held onto the assets, while Cougar can go out and get much better financing.
I just watched Jayhawk Energy play the project financing by going from .5 to 2.00 rather quickly with paid advertisment pumps.
For me it is just the waiting game, and if does drop to lower levels, I can load up more for later on.
As big oil has stated....cheap oil is dead...
I agree buckster, I see a double top on the weekly chart @ 0.77 and 0.72, if we break support levels @ 0.35,0.33,0.30 we could the test a double bottom @ 0.23 & 0.25 & load the boat.
Just depends on what the company PRs in the near future.

Thanks for updating and helping with the charts! Looks great. Much better than what was there. Charts are not perfect, but I like the bollie's tightening up and the WM% being so oversold... could be fun when it gets going.
I definitely agree on the volume, which is 'ok' that its drifting lower on very low volume. If it gets any news, I think it could pop .20 more easy.. Jumped from .25 to .45 on medicore news. I'm just glad I added at .26.
Watching closely.

KDKN looks ready to move up again. Imo
This company seems to be putting together a strategy that I believe might put them into a better position then they were before. Remember that they had been chiefly an exploritory company, but if they have increase production numbers it would be anybody's guess.
What I will be looking for is revenue numbers, distibuted shares, and anything on the 10k which points positive or negative. The news stream has been dead the last few months with Kodiak.
Back in March this company's PPS was raked over the coals when oil PPB was so low.
Do you think it could go back to the five year highs?
I think as stated in the last 8k, that it will probably be due to project debt financing for Cougar
Either that or a better bottom line on the 10k
That is just my opinion. I have been keeping my eye on this company the past two years.
When do you think the next PR will come out?
I think it is a general play with the slump of oil and the fact that there hasn't been any news for a while has been keeping this one from jumping.

There really hasn't been much news out of Kodiak for the past few months after the Cougar deal. I would assume that there is something coming soon.
I watched a little company called Jayhawk go from .25 to over 2.00 in a matter of a couple of pump blogs.
I always felt that Kodiak is a much stronger company than that one.
Otherwise .75 to 1.00 is my opinion, there has been an aweful lot of loading up going on over the past month to month and a half.

Nice Pop after the 20 day crossed the 50 day. First time since late October after the last two pops over .50.

February natural gas has been in positive territory all session so far and rallied to new session highs of $5.401 per MMBtu as pit trading began at 9:00ET. In the last 30 minutes, natural gas has been trading just under that level, up 4.9% at $5.384 per MMBtu.
Seems the 200ma is become the resistance.
Soon it will get broken, and the longer the wait, the higher the bounce.

Seems that either there is worry about the 200 day MA, or the lone fact oil is down to 75. I think it is the 200 day MA move myself. Eventually it will bust through!
