On the closing date, the purchaser (tetra) shall deliver the Share Exchange Agreement to the Company, executed by the Purchaser to be delivered to the Company Stockholders.
...so I read this as, you'll get a letter in the mail to confirm or deny whether you want to swap your shares...
I could be wrong though, since I am not a lawyer and have never dealt with a scenario like this one.
How do we do the exchange?
Section 1.4 of the pre14c.
The purchaser (tetra) agrees to provide all of the seller's (insd) with the opportunity to exchange their presently held shares of common stock if the seller for newly issued shares of common stock of the purchaser on a 1:1 basis.
They also identified that there are 531M shares outstanding.
This all just looks like rebranding.
I mean Antonio Rocco Franchino signed for both companies as the CEO.

It's a bit confusing but if I'm understanding correctly, INSD would no longer have any assets and would go back to being an empty shell....essentially taking Instadose(Canada) back private....which is now known as TetraPharma Royalty Corp. TPRC would own both INSD and Instadose(Canada) but who knows what the plans are for INSD, perhaps they could sell it to someone cheap, who could then clean it up..??

They bought Instadose Canada, renamed Tetrapharma Canada. The INSD public shell was not acqujred.
So where will the assets end up ?
Looks like Tetrapharma Roalty Corp bought INSD and all shares of the sharholder. And company debts. I red it in the pre 14k posted. Everything posted there.

It's possible, we will know that's the plan if they start catching up on the SEC filings they are missing. The fastest its ever been done, from suspension to getting the CE off and resuming normal trading is 1 1/2 years but that's highly unusual, it typically takes several years.......but it can be done.

Hard to say what the plan is here, file Form 15, do a share exchange, go back private and then take TetraPharm public at a later date....??
INSD is not going to be revivable any time soon. PNPL was able to come back from suspension here recently, after a promo in 2016 got it suspended and a CE..... but it took 7 long years. At the current rate, the OTC may not even be around anymore in 7 years.

When i red the 8k I thought that INSD was sold to Tetrapharm. Tetrapharm took over the shares 1 for 1. Maybe I thought wrong or was just hoping.
Hmm...that is interesting. Unfortunately the public company is a mess right now....and there is pretty much zero chance that FINRA would approve a name change here, until they get this cleaned up, which could take years.

Not holding my breath, but also curious to know why they bothered to start building a new website if they weren't up to something.

IDK I've never seen that website before but I think its just an old one that I must have missed somehow....so probably nothing interesting.

It may have actually been an old site, maybe around 2018 or so, as the latest news was Grants meeting with the Agriculture Minster of the DRC and it still has Colombia listed as one of their production facilities.

Opens for me but looks like a work in progress, none of the links work only the main page... but yes it does look as though Grant is back as Chairman and CEO of Instadose.
However, if the SEC is not pursuing any enforcement action against him or the company.....and the OSC's 'fraud' charge did not go anywhere, then none of the allegations against him have ever been proven, so I don't see any reason why he could not be instilled as CEO again IMO.

i said 3 years ago that this congo weed would never make it to an API. Instead its growing microbials and mold in storage. I would love to see the COA from the university on this weed. No way any real pharma buyer would ever buy it in my opinion. The vendor qulaification requiremnts that real pharma buyers use would never ever ever be apporved from the congo.

i looked up alex wylie and ann barnes on linkedin and both make zero mention of instadose in their work history. they clearly are trying to erase all history of it as it relates to them. wylie is working for a lithium compnay now. volt lithium and surprise they just announced andrew leslie to board. lol sound familiar.

yeah its all strange. you could read it either way.
I personally believe grant sanders should be in jail by now. he ran a 30 billion( fully diluted) pump and dump. no different than FTX and Sam Bankman Fried. OSC says grant stole money and spent it on his family. He bought 100 percent of shell, including free trading shares, and put them into his kids names.
No different than what SBF did with transferring assets out of FTX and gifting his parents property.
At least FTX has some recoverable assets. Grant Sanders and Instadose pharma went to 30 billion, all the way down to a total market cap of 50 dollars. Only world record they will hold is the largest and most spectacular pump and dump fraud IMO. Complete losers.

Antoni Franchino, who has a long history of financial compliance, and anti money laundering compliance for banks, is taking over instadose.
The same Instadose who is accused of fraud by both the OSC and the SEC, class action lawsuits, illegally promoting stock to 60 dollars before deal closed. complete lies in press releases. Failing to properly file disclosure in a timely fashion regarding the illegal fraudulent shipments leaving congo. the list goes on and on.
Mr. Franchino has an uphill battle to be sure.
the real question is why did alex wylie resign? he has been grants loyal soldier from the start.
