To Be Held On November 13, 2009

To the Stockholders of iB3 NETWORKS, INC.:

NOTICE IS HEREBY GIVEN that the Annual Meeting of Stockholders of iB3 NETWORKS, INC. (the “Company”) will be held at 9:00 a.m. local time, on November 13, 2009, at the offices of Carlile Patchen & Murphy LLP, 366 East Broad Street, Columbus, Ohio 43215. You are cordially invited to attend the Annual Meeting, at which stockholders will be asked to consider and vote upon the following proposals, which are more fully described in the enclosed proxy statement:

1. Election of Directors - to elect a Board of two (2) Directors to serve until the next Annual Meeting of Stockholders or until their successors have been duly elected and qualified; and

2. Other Matters To Consider - Such other procedural matters as may properly come before the Annual Meeting or any adjournment or postponement thereof.

These items of business are described in the enclosed proxy statement, which you are encouraged to read in its entirety before voting. Only holders of record of the Company’s common stock at the close of business on October 5, 2009 are entitled to notice of the Annual Meeting and to vote and have their votes counted at the Annual Meeting and any adjournments or postponements of the Annual Meeting,

All stockholders are cordially invited to attend the Annual Meeting in person. To ensure your representation at the Annual Meeting, however, you are urged to complete, sign, date and return the enclosed proxy card as soon as possible. If you are a shareholder of record of common stock, you may also cast your vote in person at the Annual Meeting. If your shares are held in an account at a brokerage firm or bank, you must instruct your broker or bank on how to vote your shares or, if you wish to attend the Annual Meeting and vote in person, you must obtain a proxy from your broker or bank. Ya, If I didn't get scared and put a silly sell order in for .06 and then not look at it all day till after market closed. ARG ! Made alittle but not as much as I could have, Duh Me ! lol.

I have another buy order in for tomorrow @ .04... Im hoping it does what its been doing and drop alittle more tomorrow before going WAY UP !

my only insight is that this was promoted by a large group for market awareness. it worked well and ran it to 1.00+. once the selling kicked in it dropped like a rock. this is about where the market seems to value it and it just has no interest and no volume. ive heard that another promo could start any time. once we see some sustained volume accumulation we will know that the promo is close at hand. all of this is just my opinion and who knows. i would say .05 is fairly safe.
