Hub Cyber Security Ltd. (NASDAQ:HUBC) ("HUB Security" or the "Company"), a developer of Confidential Computing cybersecurity solutions and services, today announced a 1-for-10 reverse share split of its ordinary shares, no par value per share (the "Ordinary Shares"). The reverse share split and corresponding share capital adjustment will become effective at 11:59 p.m. Eastern Time on December 14, 2023. The Ordinary Shares will begin trading on a split-adjusted basis on The Nasdaq Stock Market LLC ("Nasdaq") at the open of business on Friday, December 15, 2023, under the existing trading symbol "HUBC," but the Ordinary Shares will trade under a new CUSIP number, M6000J135. HUB Security's outstanding warrants will continue to be traded under the symbols "HUBCW" and "HUBCZ" and the CUSIP numbers for such warrants will remain unchanged.

As a result of the reverse share split, every 10 issued and outstanding Ordinary Shares will automatically be converted into one Ordinary Share. No fractional shares will be issued as a result of the reverse share split. Instead, in accordance with the Company's Amended and Restated Articles of Association, all fractional shares will be rounded down to the nearest whole share. The reverse share split affects all shareholders uniformly and will not alter any shareholder's percentage ownership interest in the Company's issued and outstanding Ordinary Shares, except for adjustments that may result from the treatment of fractional shares.

The reverse share split will also affect the Company's derivative securities, including outstanding notes, options, warrants and restricted share units (collectively, the "Outstanding Equity Rights"). Generally, the plans and other documents pertaining to the Outstanding Equity Rights include provisions providing for adjustments in the event of a reverse share split in order to maintain the same economic effect. Specifically, the exercise price and the number of Ordinary Shares issuable pursuant to Outstanding Equity Rights will be adjusted pursuant to the terms of such instruments in connection with the reverse share split.

I agree. HUBC was my final pie-in-the-sky lesson and all I do is short and cover and nothing else because that's all you have to do. Read shorty scared this and that posts on the stock tweeter and I don't care because already took a little bit so don't have to worry when "shorts learned lesson" when some stock goes up $2 on Friday because every last one will turn a $10,000 investment into cents over time because of the nature of how share structures increase with dilution and every one of them are negative financials with some perceived catalyst that they're about to make boatloads of money with some new deal. No, I say, don't just short and stay in when some stocks really do go up 10 times before falling 90%.

Great news gets a pop at the release PR then a pull back and it doesn't look like just a taking profits event. It is amazing to me how the manipulation is just blatantly allowed. This could not have been a buy on the rumor and sell on the news even since it was totally unexpected. The contract is worth $25 mill by itself. The market cap right now is $22,5 mill. Help make sense of the SP action?????? Especially with the following excerpt.

I got my ballots today for the HUBC Dec 4th meeting & I voted for it. As we all know the previous RS vote carried. It's approved for a 1:10 to 1:20 This drops the RS down to 1:2 to 1:20 My view is if there is gonna be a RS or a RS plan to get an approved to get the extension 1:2 is better than 1:10

Ditto on all counts...I couldn't be more disgusted...As for the reverse split, HUBC only has 109 million outstanding shares as it is, so if they did a 1:10 that would leave an O\S of roughly 11 million shares--and if a 1:20 got approved it would be half of that if my math is correct--a total that's microscopic...Or is the reverse split for total authorized shares?

JMHO I never like RS & I will vote against it. On stocktwits people feel that they will apply for an extension. But I’m not confident in the management thus far. Plus I worry they may not even ask for the extension????They cant even get the email formatted correctly & do nothing to fix it. Yesterday was the new CFO first day I had hoped we would get good news this week.

In June, HUB received a notification from the Nasdaq that its shares did not satisfy the minimum bid price requirement of $1. HUB will have until Dec. 6 to close at or above $1 for at least 10 consecutive business days.
