Penny stocks are specifically excluded from safe harbor protection. They like to put the safe harbor claim in their PRs anyway.

That would make it a private company Lucky. Then they would have to do an IPO. Which would be good for the insiders and not for the investors. If they did a reverse merger with a Nasdaq shell then it would trade under nasdaq which the management would have to go through all kinds of regulations with the SEC.

I still don't see an auditor who will sign off on there financials.

I also don't see this company trading under a growth companies price/earnings ratio because they make sponges. I say that because a steel company would have a greater price/earnings ratio compared with SPNG. The companies that make steel trade at 8 price/earnings ratio.

The public can say that this company grows like a growth stock, but I don't see cash growth like I do see in the growth stocks. If the EPS grows at 100%, so does the cash.

When earnings grow, so does the cash. When cash grows the big boys want to invest because of a chance of a dividend.

We are all traders here, think about it.

This company issues or the holding company sells shares to increase there market share to advertise there product. I saw on television that they sell there sponges for a cheaper price then at there retail stores that they are connected with.

If I was a retail store, I would be outraged if I saw there TV commerical stating that there sponges are buy 1 get 1 free plus 2 cleaning pads for only 9.99. I don't see any growth in the retail chain by this happening. All I see is lower prices the retail stores are conducting so they make some kind of profit and to get there product off of the shelves. This means that SPNG's profit margin will decrease dramtically.

The problem that I have is that the 10-k is way off date to the press releases that they release. They can release an artilce stating sales orders but we won't see it in the 10-k until Decemeber.

So, in all, my opinion is just stating that the share price is inflated and the market capitalization is over valued.

The Price to earnings ratio should be 1 or 2 if they truly make any profit by the increase in cash. That is why I am going to conduct a price to asset ratio and a ratio to complex for the board to comprehend, this involves cash growth to the share structure and so on.

This post will come soon and I will explain my formulas that fortune 500 companies use to measure cash to debt, cash to etc. ratios...

If you want to criticize this post, be my guess. If you want to analyze this company like a mutual fund does then stay tuned.

This naked short theory is just false. There might be some shorters but they are legal shorters who are in regalutions of the SEC.

Do some due diligence on the other stocks that are on the list. It's almost laughable to me to say least because the other stocks are all most entirely contrived of insiders. Insiders who dump there stock on which the stock they own but they don't have yet when they sell them. Now think about that for a minute or two.

If the insiders sell stock they don't have then wouldn't that show up on the Reg Sho list? Yes it will.

Now, a whole new topic is brought up because of this Reg Sho list and the insiders who are compliant with the SEC.

Every OTC:BB or pinksheet company need market makers for them to trade. Every company who are in compliant with the SEC or registered advisement advisors need a market maker to trade with, either for clients or companies with a 401k or a 403b plans. These market makers hold inventory with the OTC:BB or pinksheet company. But, the problem sometimes that the public does not see is that the principles of the OTC:BB or pinksheets also own market maker companies. It doesn't matter if the principles own the market makers now a days because they could have friends who own them and can sell them to the individuals for a discounted share price the company provides.

The individuals sell the discounted shares into the market, it could be 100 billion shares, it doesn't matter through a PIPE (Private Investment in a Public Entity).

As long as the individuals give the company cash for shares as a registered PIPE which usually get a discount per share. They as the individual can profit because the company itself issues press releases to the public then the PIPE investor can dump his shares for profit every time and as long as the share price is inflated then he can profit regardless of what the share price is at. As new investors come along and buy the stock the more the PIPE investors make money because they can get the share price at a discount.

This is a huge profit potential for PIPE investors because of the over valued market capitalization and the inflated share price.

I don't use an alias, so why would I conduct any unethical business practices if the government or the SEC are watching what I post. Think about it.

A/S = 2.75 billion
O/S = 722 million
Difference = 2.028 billion

Company issues 2 billion of the A/S and sells to shorts for them to cover at $30 per share, for a total of $60 billion dollars

Shorts are off the hook and all our air shares become legit shares.

Company does Tender Offer for all but 100 million shares at $20 per share.

We sell for $20 per share, we're happy, Company pockets $10 per share profit.

Company goes to nasdaq with tons of cash and O/S of 100 million shares.

Since they own preffered shares with voting rights of 100 votes per share, they can force the Tender and we have to sell.

NSS example:

When the company issues shares and they don't have them what do you think that's called.

I'm not accusing the company of dumping unregistered shares, but I've seen it before. It has happened before even though it is illegal.

Why do you think they were sending opinion letters to the T/A to unregister there shares when the stock price was above .20? They had over 100 million dollars worth of stock that weren't registered, suddenly these opinion letters started to pop up, how many shares do you think they unregistered and dumped above .20?

When RME dumped there shares, it allowed shares to be borrowed. Then shorters took advantage of this and started shorting the stock.

The only proof is there are shorters who have to buy back shares. I think the amount is 50 million, It's Aug 11 and the report is from July. So when the volume was over 100 million how do you know they didn't buy them back already when the stock was in an uptick. Suddenly the volume is way below avg. and everybody is waiting for the shorters to buy them back. Everybody is also waiting for the short squeeze. I don't think it's going to happen. I could be wrong, but we will see with time.

NSS don't buy shares back because they don't borrow them, therefore it won't show up on the Reg Sho list.

If people did NSS the stock when the price was at 28 cents, then it's in the past now, it's over. There is no proof of them even existing. I'm sure they don't exist here, but if it happened then it happened. But it's over. No NSS buy back by the hedge funds because they don't buy them back.

Sorry to bust your bubble and the boards.

Also, I've never heard of a hedge fund paying people to post false information. NSS don't buy back shares (cover) so why would they pay the people to post false information to keep the stock down?

SPNG: IR example.

I had a IR tell me once that this pinksheet indeed had a billion dollar mining claim. To bad the IR wasn't even near the management or it's assets. Just sitting at home telling people and the investors what they want to hear and saying the PR must be true. If the IR number is different then the businesses number then the company isn't liable, the IR company is. Depending on the contract if it is a IR company rather then an employee being a IR for SPNG. Big difference.

True story, I hope everybody enjoyed that story.

You listen to someone who says the PR must be true. "Must" is in the safe harbor clause, kind of like "if" and "when" it ever happens.

When and if they do uplist there will be alot more shares to borrow, I'm sure the float will be in the 200 millions and I think that more then 20% of the float will be short. I doubt that they will uplist because of the new IASB rules that were released the other day, but you never know. The auditors will make them comply with GAAP, and looking at there 10-q it will be difficult for them to comply. Good luck, Harvard, Crashman. I'm with you because your right and that's all I've got to say. Your education and knowledge are way beyond mine and others and I'm surprised the board doesn't recongize that but I do. People make bank on NSS. Usually they naked short a stock while owning a shit ton of put options. Fined only 4 million and no charges, I'm sure they suspended trading for the company and all the brokers.

People on the SPNG don't seem to get. One even replied to me .28 to .07 and it wasn't naked shorted and called me an idiot. It's simple it's liquidation. "Dump". with SPNG.

Good example of NSS.

For example: DNDN. In 1 minute, the stock went from 25 to 7.50 then suspended 5 minutes later. You should have seen the PUT action.

SPNG thinks NSS is taking place, they have no idea what it is.

I had my LvL2 chart on DNDN right when it happened. I was going to buy puts myself because of all the speculation around it and heavy put buying. Even if I owned the puts, I know myself, and I wouldn't of sold right when it happened. I would have waited, it went up 10,000% in 5 minutes then to
-100% right when the stock opened again the next day after being suspended.

I don't mean to go TavyCal, but I've been getting alot of Private Messages lately and they seem to be scared to reply back to me in public.

So I go on.

The difference between SPNG and DNDN. DNDN is a billion dollare company with 100 million shares outstanding. For one DNDN float is small compared to SPNG. I saw a post where someone posted a preferred share A/S. you can expect SPNG to trade down here on out. Preferred shares can be converted into common stock increasing the dilution even more, what the board doesn't get, is that the company needs share volume to dump these converted shares without the share price tanking. The Press releases which I saw today were 3. Another were NXGH. (NXGH is another story which I'll bring up.) Which had SPNG as the ticker symbol on my streamer news. First I have Tampa Tickets, I love the Bucs, so it will be interesting to spot these SPNG advertisments. I'll see what they are actually advertising, I assume it will be there stock and not the actually product.

Good for SPNG. Let me guess on how they can actually buy these expensive advertisments.

RME, had shares at .003 and then suddenly over 500 million shares were dumped at .28, some claim naked shorting. Nope, they had registered shares or at least we hope they were registerd, it only shows up on the O/S when they sell to the public. Hmmmmmm, didn't they issue themselves over 500 million at .003. They did not buy the advertising from profits, because they have no cash to show for. It is clearing from selling shares.

You can go to the store, and see clearly that the page they were on was a advertising page. If IBD covered them, they would have a full chart and a stock detail on them for premium and regular users. Let me give you an example of what type of companies were on this advertising page that I've seen from the past, Sea Way Valley Captial, USXP (OH thats a great example). ADVERTISING! That's all, Some person on the SPNG board can pay for advertising saying SPNG is great and there sponge is not a sponge, buy sponge tech. Is it JUST ADVERTISING. Like PENIS pills on the back page of MAXIM, ADVERTISING. I'm sure you get my point, if you don't, then I'm sure who reads it and doesn't understand my point is retarded.

I understand the way of the CAN SLIM, ok, No one in there right mind of an IBD subscriber would buy NXGH stock just because it's in the IBD advertising section. The volume today, was just promoters manipulating the stock price to bring attention. IBD clearly sections that part of the page off and they call it Advertising. I'm happy for NXGH to be on the IBD advertising section, because that cost some money (Big MONEY). It isn't cheap. I'm assuming they got the money from the SPNG pump. Like how SPNG is paying for there advertising. Birds of the same feather, flock together.

I've been with IBD since I was 9. I can't believe NXGH actually said IBD is covering them, Does the company really think the public is that stupid. NXGH paid for advertising for IBD to cover them. It wasn't by choice of IBD, NXGH just paid the price and came out with a false press release. If you put your TV for sale on the Wall Street Journal, Do you say that the WSJ is covering you because your selling your TV. LOL.

Seriously, I've seen some crazy things on the PHGI/PRGL board and seen alot of people lose a ton of money.

Guess what PHGI was, a Pinksheet. A billion dollar mining claim, and some other BS LOL. The stock went up .08 to .50. and they thought the same thing, NSS. The companies outstanding went from 50 million to billions. The executives converted billions in preferred to common and R/S twice, I might as well add that they give away hundreds of millions in discounted shares to dump to the public, NSS, NO, just fraud. I've seen this BS all before. EESO, buy out LOL The executives dumped hundreds of millions to pubilc while they issued discounted shares to there friends to dump to the public while they issue press releases, one after another stating there stock is about to bought by a foreign country company. I don't know if they converted the preferred to common, I just don't know but I'm sure they did. Oh ESSO and NXGH? Amazing.

Here the about pinksheets that the general public doesn't understand.

1. It's a shell of the actual Corp or LLC. I've seen a CEO sell the LLC, and Corp right from the pinksheet. No Buy out no share price increse, just a 1.5 million dollar sale that went straight into the pocket of CEO. Get this, the CEO diluted the share price and pocketed the money and then did a R/S, then guess what, PHGI was formed.

2. Pinksheets don't have to report to the SEC, the safe harbor act backs them with lawyer print to back them with lies. They can say that they have a mining claim that's worth billions. What the public doesn't know is that my LLC or Corp can buy a claim for 10 grand. Then I can say that the geo-analyst of some sort that there is 1 billion in the ground from 1880, I can even get that information from another claim and claim that is mine.

3. Usually pinksheets can R/S before they get to pay taxes on there PR claims. Pinksheet dot.com isn't regulated, the company can post whatever they want.

4. T/A gagged, you can't short a Pinksheet, I was told, for the reason of shorting is that the B/D (Board of Directors or the insiders) can sell shares into the market, usually by selling common that was preferred. This is what makes the short list. This is what I'm told. T/A gagged, is a usual case of dilution.

5. Cooking the books. A very brief summary of cooking the books. A/R increases and profits decrease. This can happen with a OTC:BB or Nasdaq, for example ERON.

6. Pinksheets are usually a BDC. You can't be in operation. So the pinksheet opens a Subsidiary. The sub doesn't report, because under the pinksheet, they don't have to report. This is a red flag.

7. Don't drink Kool-aide. Don't buy the hype as a long term investor.

I can go on. But it's getting late.

In my opinion.

The auditors will look back to see how past due the accounts receivables are.

Most likely they will be using G.A.A.P.



Past due,

30,60,90,120 and over.

After a certain point the auditors will force them to write it off.

By force them, I mean enforce them to use general accepted accounting principles.

Writing off, say 20-40% of the A/R would be terrible for the share price.

Why are you using Russia?

The company would write a letter in Russian or english to the company that they sold product too, usually a demand on payment letter. It's easier just to call.

The company can either sue for the payment, or write it off.

It also depends what contract they have. I don't see any contracts under the 8-k. So I don't know how they do business.

Most likely it's FIFO.

The Product goes in the stores, SPNG records it as a sale.

Even if the product doesn't sell.

My colleagues and I both agree that this is happening here, and will hurt the company in our opinion because they will have to write some off if not all.

That is why they are so insolvent when we look at there 10-Q.

For example a basic cash flow analysis.

Increase in sales = Increase in profits

Increase in profits = Increase in cash.

what we are seeing is

Increase in profits = Decrease in cash

Huge Increase in A/R = Huge chance on Bad Debt showing up on the balance sheet.

Holly crap, I'm ready.

I Got my handicaping system down to the T this year.

I analyzed all of the teams and focused on the WAC this year. C-Mich, Nevada, E-Mich, are going to put up some numbers this year. UTEP will too if they play a shitty defense. Crazy talent this year. I'll be matching them up with Florida and OKLA, OKLAST. for Parlays.

Now think of dilution. Company A, gives market makers a,b,c,d,e.(The companies assigned market makers, every company has one) shares for inventory to create a float or a market for buyers and sellers. The company gives them the right to sell at market price to generate cash because the company needs the cash. The market maker gets the commission while the company gets the cash. At the same time this creates dilution and puts pressure on the stock price, when the T/A is gagged, people think that there are phantom shares floating around.

This is why companies issue press releases to create a buyers market to ease pressure off the stock price and for them to dump alot more shares so the company can get alot more cash, it also makes there assigned market makers happy.

The dilution is causing the phantom shares.

Got out of that with a nice 200% gain based on the fact I was able to get in in the trip Z's. Left alot on the table though. Took me awhile to realize you can't use a big board mentality playing pinks, LOL!

Maybe, but not right now. Alot of money is being made by the insiders because of press releases through MarketWire. If they were going to get bought out, they would have gone through a legit news broadcast like DJ news. I remember before USXP CEO went to jail, his shell was all over my ameritrade news screen. The SEC vs. USXP, go ahead and google it. He dumped billions of unregistered shares, and his accounts receivables were false and all of his sales too. He would pump PR after PR, it was such BS. I went on there board and told the board that it was a scam, no one beleived me until the shareholders were left with nothing.

I don't invest in penny stocks H-Tex.

With all my years being on I-Hub, I haven't seen one legit pinksheet stock on here. All the legit pinksheets don't hire promoters or issue mulitple false press releases on newswire, they are quiet companies with real agenda's and business models, if they have something to say, they say it publicly on DJ news.

I did get killed on my single games, but now I know what teams can cover while playing well and the ones that don't.

I still can't beleive New Mexico put up 70 pts.

Next week will be my last, unless I win big. Business has picked up and I don't have time to analzye games. However I do like my system. I haven't lost yet.

First of all, who cares. We are in debt to other countries more then 10 trillion dollars, whats another 10%. Do we have to pay them, NO. But the citizens of the United States have to pay there debts or the government repossesses the assets that person is short paying on. WTF?

I must be confused. If we wanted to be the most powerful nation in the world right now, we really could be. The countries that are struggling right now are our enemies. Erase the debt off the U.S books and don't forget to the tell the countries that we owe money too, opps sorry but we aren't going to pay you. We are going to give that 10 trillion to our citizens who make this country work so we can get out of this possible global depression. I think it would be funny if we added a Thank you come again Apu message on the answer machine before we hung up.

What are they going to do, go to war with us? If America is so worried about losing soldiers, we shouldn't be worried. We have laser guided missles and tomohawk missles. Yes, I can see the gov. saying that it is more complicated then that. No, It's not. What are the other countries citizens going to fight for when they are broke and have nothing and there economy is ruined. We even have stealth bombers that no one can see, what the hell uncle Sam. Why send our soldiers in war when we don't need to use them. We kill Terriosts with laser guided missles, how many terriosts were actually killed by our soldiers, and the other way around.? I don't see the risk/return ratio that our gov does, or they finally see that we don't need soldiers to patrol. We are technologically more advanced then most the countries on the planet. And yet we are using Rome fighting tactics and instead of swords we use guns.
